海运代理合同-中英文对照(范本)本海运代理服务合同（MARINESHIPPINGAGENCYSERVICEAGREEMENT）由以下双方于【】年【】月【】日在【】签订：1.委托方（以下简称“甲方”）：Principal(hereinafterreferredtoas“PartyA”):单位名称：【】统一社会信用代码：【】注册地址：【】联系人：【】联系电话：【】2.海运代理方（以下简称“乙方”）：MarineShippingAgent(hereinafterreferredtoas“PartyB”):单位名称：【】统一社会信用代码：【】注册地址：【】联系人：【】联系电话：【】1.定义Definitions1.1货物：指甲方委托乙方代理运输的所有商品、物品及相关包装材料，具体以双方确认的订舱委托单为准。Goods:Allcommodities,articlesandrelatedpackagingmaterialsentrustedbyPartyAtoPartyBfortransportation,asspecifiedinthebookingconfirmationconfirmedbybothparties.1.2订舱委托单：指甲方以书面、电子数据交换（EDI）或双方确认的其他形式向乙方发出的委托乙方办理货物海运运输的正式申请文件。BookingNote:TheformalapplicationdocumentissuedbyPartyAtoPartyBforhandlingtheoceantransportationofGoods,inwrittenform,electronicdatainterchange(EDI)orotherformsconfirmedbybothparties.1.3海运提单：指由承运人或其代理人签发的，用以证明海上货物运输合同和货物已由承运人接管或装船，以及承运人保证据以交付货物的单证。OceanBillofLading:Thedocumentissuedbythecarrieroritsagenttoevidencethecontractofcarriageofgoodsbyseaandthatthegoodshavebeentakenoverorloadedonboardbythecarrier,andthecarrierundertakestodeliverthegoodsagainstpresentationofthisdocument.1.4费用：指乙方为履行本合同项下服务所产生的包括但不限于海运费、码头操作费（THC）、报关费、拖卡费、装箱费、文件费等一切合理开支。Fees:AllreasonableexpensesincurredbyPartyBinperformingtheservicesunderthisAgreement,includingbutnotlimitedtooceanfreight,terminalhandlingcharges(THC),customsdeclarationfees,truckingfees,containerstuffingfees,documentationfeesandotherrelevantexpenses.1.5书面形式：包括合同书、信件、电报、电传、传真、电子数据交换和电子邮件等可以有形地表现所载内容的形式。WrittenForm:Includescontracts,letters,telegrams,telexes,faxes,electronicdatainterchangeande-mailsandotherformsthatcantangiblyexpressthecontentsthereof.2.服务范围ScopeofServices乙方应按照甲方的委托及本合同约定，为甲方提供以下一项或多项海运代理服务：PartyBshall,inaccordancewithPartyA’sentrustmentandtheprovisionsofthisAgreement,provideoneormoreofthefollowingmarineshippingagencyservicesforPartyA:2.1接受甲方订舱委托，向承运人预订符合甲方要求的舱位；AcceptbookingnotesfromPartyAandbookshippingspacemeetingPartyA’srequirementsforthecarrier;2.2代办货物进出口报关、报检及其他海关相关手续；Handlecustomsdeclaration,commodityinspectionandothercustoms-relatedproceduresforimportandexportgoods;2.3安排货物的拖运、装箱、拆箱、临时仓储等内陆运输及配套操作；Arrangeinlandtransportationandsupportingoperationssuchastrucking,containerstuffing,devanningandtemporarywarehousingofGoods;2.4按照甲方指示签发海运提单、海运单或办理电放提单相关手续；Issueoceanbillsoflading,seawaybillsorhandletelexreleaseproceduresasperPartyA’sinstructions;2.5及时向甲方反馈货物运输进度、船舶动态及单证流转情况；Timelyfeedbackthegoodstransportationprogress,vesseldynamicsanddocumentcirculationstatustoPartyA;2.6协助甲方处理货物运输过程中出现的异常情况；AssistPartyAinhandlingemergenciesarisingduringthegoodstransportationprocess;2.7其他双方书面确认的与货物海运运输相关的服务。OtherservicesrelatedtooceantransportationofGoodsconfirmedinwritingbybothparties.3.甲方权利与义务RightsandObligationsofPartyA3.1有权要求乙方按照本合同约定及甲方的委托要求提供合规的海运代理服务；ShallhavetherighttorequirePartyBtoprovidecompliantmarineshippingagencyservicesinaccordancewiththisAgreementandPartyA’sentrustmentrequirements;3.2应在委托事项办理前，向乙方提供完整、准确、真实的货物信息、报关单证及其他与委托事项相关的资料；ShallprovidePartyBwithcomplete,accurateandauthenticgoodsinformation,customsdeclarationdocumentsandothermaterialsrelatedtotheentrustedmattersbeforehandlingtheentrustedmatters;3.3应按照本合同约定的时间、金额和方式向乙方支付全部服务费用及相关开支；ShallpayallservicefeesandrelevantexpensestoPartyBwithintheprescribedtime,intheprescribedamountandmannerasstipulatedinthisAgreement;3.4应承担因货物本身固有瑕疵、申报不实、单证不符合要求或其他甲方原因导致的一切罚款、损失及额外开支；Shallbearallfines,lossesandadditionalexpensescausedbyinherentdefectsoftheGoods,falsedeclaration,non-compliantdocumentsorotherreasonsattributabletoPartyA;3.5应配合乙方办理货物运输相关的各项手续，包括但不限于提供货物查验场地、安排货物装箱、协助办理货物查验等；ShallcooperatewithPartyBinhandlingallproceduresrelatedtogoodstransportation,includingbutnotlimitedtoprovidinggoodsinspectionsites,arrangingcontainerstuffingandassistingwithgoodsinspection;3.6应及时接收乙方交付的运输单证及相关文件，并对单证的真实性、完整性负责。ShalltimelyreceivethetransportationdocumentsandrelevantdocumentsdeliveredbyPartyB,andberesponsiblefortheauthenticityandcompletenessofthedocuments.4.乙方权利与义务RightsandObligationsofPartyB4.1有权按照本合同约定收取代理服务费用及相关开支；ShallhavetherighttocollectagencyservicefeesandrelevantexpensesinaccordancewiththisAgreement;4.2应勤勉尽责地办理甲方委托的海运代理事项，选择信誉良好的承运人、合理的运输路线及运输方式；ShallhandletheoceanshippingagencymattersentrustedbyPartyAwithduecareanddiligence,andselectcarrierswithgoodreputation,reasonabletransportationroutesandmodesoftransportation;4.3应及时向甲方反馈委托事项的办理进度，遇有影响委托事项办理的情况时，应立即通知甲方；ShalltimelyfeedbacktheprogressoftheentrustedmatterstoPartyA,andimmediatelynotifyPartyAincaseofanysituationaffectingthehandlingoftheentrustedmatters;4.4应妥善保管甲方提供的所有单证、资料及货物信息，未经甲方书面同意，不得向任何第三方泄露或用于本合同以外的用途；Shallproperlykeepalldocuments,materialsandgoodsinformationprovidedbyPartyA,andshallnotdisclosethemtoanythirdpartyorusethemforpurposesotherthanthisAgreementwithoutPartyA’swrittenconsent;4.5因乙方故意或重大过失造成甲方损失的，应承担相应的赔偿责任，赔偿上限为乙方实际收取的当期代理服务费用总额；ShallbearcorrespondingliabilityforcompensationifPartyB’sintentionalorgrossnegligencecauseslossestoPartyA,andthemaximumcompensationamountshallbethetotalamountofcurrentagencyservicefeesactuallycollectedbyPartyB;4.6应按照甲方指示及时签发符合要求的运输单证，不得无故拖延或拒绝；ShalltimelyissuecomplianttransportdocumentsasperPartyA’sinstructions,andshallnotunreasonablydelayorrefuse;4.7应协助甲方办理与货物运输相关的其他合理事项。ShallassistPartyAinhandlingotherreasonablemattersrelatedtogoodstransportation.5.费用与支付FeesandPayment5.1本合同项下的代理服务费用及相关开支标准，由双方根据具体委托事项另行签订《费用确认单》予以确定，《费用确认单》为本合同不可分割的组成部分；ThestandardsofagencyservicefeesandrelevantexpensesunderthisAgreementshallbedeterminedbybothpartiesthroughseparatelysigninga"FeeConfirmationForm"basedonspecificentrustedmatters,andthe"FeeConfirmationForm"shallbeanintegralpartofthisAgreement;5.2甲方应在乙方出具正式费用结算清单后的【】个工作日内，通过银行转账或双方约定的其他支付方式向乙方支付全部费用；PartyAshallpayallFeestoPartyBwithin[Number]workingdaysafterPartyBissuestheofficialfeesettlementstatement,viabanktransferorotherpaymentmethodsagreedbybothparties;5.3若甲方逾期支付费用，每逾期一日应按照未付金额的【】%向乙方支付逾期违约金，逾期超过【】日的，乙方有权暂停办理后续委托事项并要求甲方立即结清全部费用；IfPartyAfailstopaytheFeesonschedule,itshallpayoverduepenaltyinterestattherateof[Percentage]%oftheunpaidamountperdaytoPartyB.Iftheoverdueperiodexceeds[Number]days,PartyBshallhavetherighttosuspendhandlingsubsequententrustedmattersandrequirePartyAtosettleallfeesimmediately;5.4乙方收到甲方支付的费用后，应在【】个工作日内向甲方开具符合国家税收法律法规规定的合法增值税发票。AfterreceivingthefeespaidbyPartyA,PartyBshallissuelegalVATinvoicesconformingtothenationaltaxlawsandregulationstoPartyAwithin[Number]workingdays.6.保险Insurance6.1甲方可自行投保货物运输保险，也可委托乙方代为投保，投保险种、保险金额及保险费率由双方另行约定；PartyAmayinsurethegoodstransportationinsurancebyitselforentrustPartyBtoactastheinsuranceagent,andtheinsurancetype,insuranceamountandinsurancerateshallbeseparatelyagreedbybothparties;6.2若甲方未委托乙方投保且未自行投保，乙方对货物在运输、仓储、装卸、搬运过程中发生的一切损失不承担赔偿责任；IfPartyAdoesnotentrustPartyBtoinsureanddoesnotinsurebyitself,PartyBshallnotbearliabilityforcompensationforanylossesofGoodsduringtransportation,warehousing,loading,unloadingandhandling;6.3乙方代为投保的，应及时将保险单及相关凭证交付甲方，保险理赔事宜由双方另行协商处理。IfPartyBactsastheinsuranceagent,itshalltimelydelivertheinsurancepolicyandrelevantcertificatestoPartyA,andtheinsuranceclaimmattersshallbeseparatelynegotiatedandhandledbybothparties.7.保密条款ConfidentialityClause双方应对在本合同签订及履行过程中获悉的对方的商业秘密、技术信息、客户资料、运输计划及其他未公开的信息承担严格的保密义务，未经对方书面同意，不得向任何第三方泄露，本保密义务在本合同终止后【】年内仍然有效。Bothpartiesshallbearstrictconfidentialityobligationsfortheotherparty’stradesecrets,technicalinformation,customerdata,transportationplansandotherundisclosedinformationacquiredduringthesigningandperformanceofthisAgreement,andshallnotdisclosethemtoanythirdpartywithouttheotherparty’swrittenconsent.Thisconfidentialityobligationshallremainvalidfor[Number]yearsaftertheterminationofthisAgreement.8.合同的终止TerminationofAgreement8.1本合同自双方法定代表人或授权代表签字并加盖公章（或合同专用章）之日起生效，有效期至【】年【】月【】日；ThisAgreementshalltakeeffectfromthedateofsigningandsealing(orcontractspecialseal)bythelegalrepresentativesorauthorizedrepresentativesofbothparties,andshallbevaliduntil[Date],[Year];8.2合同有效期届满前【】个工作日内，若双方均未提出书面终止通知，则本合同自动续展【】年，每次续展的有效期及条款均与本次合同一致；Within[Number]workingdaysbeforetheexpirationofthetermofthisAgreement,ifneitherpartygivesawrittennoticeoftermination,thisAgreementshallbeautomaticallyrenewedfor[Number]years,andthevaliditytermandclausesofeachrenewalshallbeconsistentwiththisAgreement;8.3一方严重违反本合同约定，经另一方书面催告后【】个工作日内仍未纠正的，另一方有权书面通知违约方解除本合同；IfonepartymateriallybreachesthisAgreementandfailstocorrectthebreachwithin[Number]workingdaysafterreceivingawrittennoticefromtheotherparty,theotherpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty;8.4本合同终止后，乙方应在【】个工作日内将甲方未使用的单证、资料等返还甲方，甲方应在【】个工作日内结清全部未付费用。UponterminationofthisAgreement,PartyBshallreturntheunuseddocumentsandmaterialstoPartyAwithin[Number]workingdays,andPartyAshallsettleallunpaidFeeswithin[Number]workingdays.9.争议解决DisputeResolution因本合同引起的或与本合同有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交【】仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁，仲裁裁决为终局裁决，对双方均具有法律约束力。AnydisputearisingfromorinconnectionwiththisAgreementshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties.Iftheconsultationfails,eitherpartymaysubmitthedisputeto[ArbitrationCommission]forarbitrationinaccordancewiththecurrenteffectivearbitrationrulesofthecommissionatthetimeofapplicationforarbitration.Thearbitrationawardshallbefinalandbindingonbothparties.10.法律适用GoverningLaw本合同的订立、效力、解释、履行及争议解决均适用中华人民共和国法律。Theformation,validity,interpretation,performanceanddisputeresolution
