货物产品出口代理合同协议书(中英文对照)(2026版)甲方（委托人）：[甲方名称]法定代表人：[法定代表人姓名]地址：[甲方地址]联系电话：[联系电话]电子邮箱：[电子邮箱]PartyA(Principal):[NameofPartyA]LegalRepresentative:[NameofLegalRepresentative]Address:[AddressofPartyA]Telephone:[TelephoneNumber]E-mail:[E-mailAddress]乙方（代理人）：[乙方名称]法定代表人：[法定代表人姓名]地址：[乙方地址]联系电话：[联系电话]电子邮箱：[电子邮箱]PartyB(Agent):[NameofPartyB]LegalRepresentative:[NameofLegalRepresentative]Address:[AddressofPartyB]Telephone:[TelephoneNumber]E-mail:[E-mailAddress]鉴于甲方系从事[货物类别]生产/销售的企业，具备合法的货物出口资格；乙方系具备合法经营资质的国际货物运输代理及出口代理企业，拥有专业的出口服务团队及渠道资源，双方经友好协商，达成如下协议：WhereasPartyAisanenterpriseengagedintheproduction/saleof[CategoryofGoods]andholdslegalqualificationsforgoodsexport;PartyBisaninternationalfreightforwardingandexportagencyenterprisewithlegaloperationqualifications,owningprofessionalexportserviceteamsandchannelresources.Throughfriendlynegotiation,bothpartiesherebyagreeasfollows:第一条委托事项甲方委托乙方作为其本合同项下货物的独家出口代理，负责办理货物从中国出口至[目的国/地区]的全部出口手续，包括但不限于报关、报检、订舱、仓储、跨境运输、单证制作与交付、外汇核销及出口退税协助等事宜。Article1EntrustmentPartyAherebyentrustsPartyBastheexclusiveexportagentforthegoodshereunder,responsibleforhandlingallexportproceduresofthegoodsfromChinato[DestinationCountry/Region],includingbutnotlimitedtocustomsdeclaration,inspectiondeclaration,spacebooking,warehousing,cross-bordertransportation,documentpreparationanddelivery,foreignexchangeverification,andassistancewithexporttaxrefund,etc.第二条货物详情本合同项下代理出口的货物信息如下：1.货物名称：[具体货物名称]2.规格型号：[规格型号参数]3.数量：[数量及单位]4.包装方式：[包装材质/规格说明]5.总货值：[货币类型及金额]（FOB[出口港口名称]）6.交货地点：[国内交货地址]Article2DetailsofGoodsTheinformationofthegoodstobeexportedunderagencyhereunderisasfollows:1.NameofGoods:[SpecificNameofGoods]2.Specification&Model:[Specification&ModelParameters]3.Quantity:[Quantity&Unit]4.PackagingMethod:[PackagingMaterial/SpecificationDescription]5.TotalValueofGoods:[CurrencyType&Amount](FOB[NameofExportPort])6.DeliveryLocation:[DomesticDeliveryAddress]第三条代理权限及期限1.代理权限：乙方有权以甲方名义或自身名义办理本合同项下货物出口的所有合规手续，有权代表甲方与承运人、海关、检验检疫机构、境外买方等第三方沟通协调相关事宜，但不得超越本合同约定范围行使权利。2.代理期限：本合同自[合同生效日期]起生效，至本合同项下所有货物完成出口交付、货款结清及出口退税手续办理完毕之日止；如需续约，双方应在合同到期前30日签署书面续约协议。Article3AgencyAuthority&Term1.AgencyAuthority:PartyBhastherighttohandleallcompliantproceduresfortheexportofgoodshereunderinPartyA’snameoritsownname,andhastherighttocommunicateandcoordinaterelevantmatterswiththirdpartiessuchascarriers,customs,inspectionandquarantineinstitutions,overseasbuyers,etc.onbehalfofPartyA,butshallnotexerciserightsbeyondthescopeagreedinthisContract.2.TermofAgency:ThisContractshalltakeeffectasof[EffectiveDate],andexpireonthedatewhenallgoodshereunderaredelivered,paymentissettled,andexporttaxrefundproceduresarecompleted;ifrenewalisrequired,bothpartiesshallsignawrittenrenewalagreement30daysbeforetheexpirationofthisContract.第四条代理费用及支付方式1.代理费用：乙方按总货值的[X]%收取代理服务费，共计[货币类型及金额]；货物出口过程中产生的报关费、报检费、仓储费、运输费、保险费、码头操作费等第三方费用由甲方承担，乙方应提前3个工作日向甲方提交费用明细清单，经甲方确认后执行。2.支付方式：甲方应在本合同签订后5个工作日内支付代理服务费的50%作为预付款；剩余50%代理服务费及已确认的第三方费用，应在乙方交付全套出口单证后3个工作日内一次性付清。3.发票开具：乙方收到款项后5个工作日内，向甲方开具符合中国税务规定的增值税专用发票或普通发票。Article4AgencyFee&PaymentMethod1.AgencyFee:PartyBshallchargeagencyservicefeeat[X]%ofthetotalgoodsvalue,totaling[CurrencyType&Amount];third-partyfeesincurredduringexportsuchascustomsdeclarationfee,inspectiondeclarationfee,warehousingfee,transportationfee,insurancefee,terminalhandlingcharge,etc.shallbebornebyPartyA.PartyBshallsubmitadetailedfeelisttoPartyA3workingdaysinadvance,whichshallbeimplementedafterPartyA’sconfirmation.2.PaymentMethod:PartyAshallpay50%oftheagencyservicefeeasadvancepaymentwithin5workingdaysaftersigningthisContract;theremaining50%oftheagencyservicefeeandconfirmedthird-partyfeesshallbepaidinfullwithin3workingdaysafterPartyBdeliversthecompletesetofexportdocuments.3.InvoiceIssuance:Within5workingdaysafterreceivingthepayment,PartyBshallissueaVATspecialinvoiceorordinaryinvoiceconformingtoChinesetaxregulationstoPartyA.第五条双方权利与义务（一）甲方权利与义务1.甲方应向乙方提供货物出口所需的全部真实、合法、有效的文件资料，包括但不限于营业执照、进出口经营权证书、货物购销合同、商业发票、装箱单、报关委托书、产品质量合格证明等，确保资料信息准确无误。2.甲方应确保所出口货物符合中国及目的国/地区的法律法规、质量标准、检验检疫要求及知识产权规定，因货物本身问题导致的出口受阻、海关处罚、境外索赔等损失由甲方全额承担。3.甲方有权监督乙方的代理工作进度，要求乙方每周汇报货物出口状态，对乙方不符合合同约定的行为提出异议并要求在2个工作日内整改。4.甲方应按本合同约定及时支付各项费用，逾期支付的，每逾期1日应按应付未付金额的万分之五向乙方支付违约金；逾期超过10日的，乙方有权暂停代理服务直至费用结清。（二）乙方权利与义务1.乙方应严格按照中国及目的国/地区的法律法规办理出口手续，确保代理工作高效、合规完成，若因乙方操作失误导致出口延误或损失，乙方应承担相应责任。2.乙方应实时跟踪货物出口进度，遇异常情况（如海关查验、货物延误、单证不符等）需立即通知甲方，并协助甲方采取应急措施降低损失。3.乙方应妥善保管甲方提供的文件资料及出口单证，不得泄露甲方的商业秘密；合同终止后10个工作日内，将所有资料归还甲方或按甲方要求销毁。4.乙方有权按本合同约定收取代理服务费及代垫的第三方费用，若甲方逾期支付，乙方有权暂扣出口退税凭证直至费用结清。Article5Rights&ObligationsofBothParties(1)Rights&ObligationsofPartyA1.PartyAshallprovidePartyBwithalltrue,legalandvaliddocumentsrequiredforgoodsexport,includingbutnotlimitedtobusinesslicense,importandexportoperationcertificate,goodspurchaseandsalecontract,commercialinvoice,packinglist,customsdeclarationpowerofattorney,productqualitycertificate,etc.,ensuringtheaccuracyofinformation.2.PartyAshallensurethattheexportedgoodscomplywiththelaws,regulations,qualitystandards,inspectionandquarantinerequirementsandintellectualpropertyregulationsofChinaandthedestinationcountry/region.Alllossescausedbythegoodsthemselvessuchasexportobstruction,customspenalty,overseasclaim,etc.shallbefullybornebyPartyA.3.PartyAhastherighttosupervisetheprogressofPartyB’sagencywork,requirePartyBtoreporttheexportstatusofgoodsweekly,raiseobjectionstoPartyB’snon-compliantactsandrequirerectificationwithin2workingdays.4.PartyAshallpayallfeesinatimelymannerasagreedinthisContract.Incaseofdelayedpayment,PartyAshallpayapenaltyof0.05%oftheunpaidamountperday;ifthedelayexceeds10days,PartyBhastherighttosuspendagencyservicesuntilthefeesaresettled.(2)Rights&ObligationsofPartyB1.PartyBshallhandleexportproceduresinstrictaccordancewiththelawsandregulationsofChinaandthedestinationcountry/region,ensuringefficientandcompliantcompletionofagencywork.IfexportdelayorlossiscausedbyPartyB’soperationalerror,PartyBshallbearcorrespondingresponsibilities.2.PartyBshalltracktheexportprogressofgoodsinrealtime,immediatelynotifyPartyAincaseofabnormalsituations(suchascustomsinspection,cargodelay,documentdiscrepancy,etc.),andassistPartyAintakingemergencymeasurestoreducelosses.3.PartyBshallproperlykeepthedocumentsandexportdocumentsprovidedbyPartyA,andshallnotdisclosePartyA’scommercialsecrets;within10workingdaysaftertheterminationoftheContract,returnallmaterialstoPartyAordestroythemasrequiredbyPartyA.4.PartyBhastherighttocollectagencyservicefeeandadvancedthird-partyfeesasagreedinthisContract;ifPartyAdelayspayment,PartyBhastherighttowithholdexporttaxrefunddocumentsuntilthefeesaresettled.第六条违约责任1.若甲方未按约定提供资料或提供虚假资料导致出口手续延误、失败或产生罚款，甲方应赔偿乙方因此遭受的全部损失，包括但不限于代垫费用、违约金、律师费、差旅费等。2.若乙方未按约定完成代理工作或因乙方过错导致货物损坏、丢失、出口延误，乙方应赔偿甲方因此遭受的全部损失，包括但不限于货物损失、货款损失、境外买方违约金等。3.任何一方违反本合同其他约定的，应向守约方支付相当于总货值3%的违约金；若违约金不足以弥补守约方实际损失的，违约方还应补足差额。Article6LiabilityforBreachofContract1.IfPartyAfailstoprovidematerialsasagreedorprovidesfalsematerials,resultingindelay,failureorfineofexportprocedures,PartyAshallcompensatePartyBforalllossessufferedthereby,includingbutnotlimitedtoadvancedfees,penalties,attorneyfees,travelexpenses,etc.2.IfPartyBfailstocompletetheagencyworkasagreedorcausesdamage,lossorexportdelayofgoodsduetoPartyB’sfault,PartyBshallcompensatePartyAforalllossessufferedthereby,includingbutnotlimitedtocargoloss,paymentloss,penaltyfromoverseasbuyer,etc.3.IfeitherpartyviolatesotheragreementsinthisContract,itshallpayapenaltyequivalentto3%ofthetotalgoodsvaluetotheobservantparty;ifthepenaltyisinsufficienttocovertheactuallossoftheobservantparty,thebreachingpartyshallalsomakeupthedifference.第七条争议解决因本合同引起或与本合同有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。Article7DisputeResolutionAnydisputearisingfromorinconnectionwiththisContractshallfirstberesolvedthroughfriendlynegotiationbetweenbothparties;ifnegotiationfails,eitherpartyhastherighttofilealawsuitwiththepeople’scourthavingjurisdictionoverthelocationofPartyA.第八条其他条款1.本合同一式两份，甲乙双方各执一份，具有同等法律效力。2.本合同的任何修改、补充均须经双方加盖
