THISCONTRACTISMADEANDENTEREDINTOON[DATE]BETWEEN[OWNER'SFULLNAME],havingitsplaceofbusinessat[OWNER'SADDRESS]("Employer"),and[CONTRACTOR'SFULLNAME],havingitsplaceofbusinessat[CONTRACTOR'SADDRESS]("Contractor").

WHEREAS,theEmployerdesirestoengagetheContractortocarryoutthedesignandconstructionoftheWorksdescribedherein,and

WHEREAS,theContractordesirestoacceptsuchengagement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:

1.THEWORK

1.1TheWorks.TheContractorshalldesignandconstructtheWorksasdefinedintheSchedule,includingallsitepreparation,civil,structural,mechanical,electrical,andotherworksnecessarytocompletetheProjectdescribedthereininaccordancewiththeTechnicalSpecifications,theDrawings,andtheBillofQuantities(ifapplicable),allofwhichareattachedheretoandformanintegralpartofthisContract("theDocuments").

1.2ProjectMilestones.ThekeymilestonesfortheProjectaresetoutintheSchedule.

2.THECONTRACTPRICEANDPAYMENT

2.1ContractPrice.TheContractPricefortheWorksis[AMOUNT][CURRENCY],beingthetotalpriceforalltheWorksasdescribedherein.Thisisa[FIXEDPRICE/COSTREIMBURSEMENT/OTHER]contract.

2.2Payment.PaymentsunderthisContractshallbemadeaccordingtothetermssetforthinthePaymentScheduleattachedhereto,whichformsanintegralpartofthisContract.Paymentsshallbemadefreefromdeductionorset-offexceptasprovidedherein.

2.3ValueAddedTax(VAT)andTaxes.TheContractPriceincludesalltaxes,duties,andlevies(including,withoutlimitation,VAT)requiredtobepaidbytheContractorunderthisContract,unlessotherwisespecifiedintheSchedule.

3.DURATIONOFCONTRACTANDCOMMENCEMENT

3.1ContractDuration.ThedurationofthisContractshallbe[NUMBER]daysfromtheCommencementDate,unlessextendedbyanExtensionofTimegrantedunderClause8.

3.2CommencementDate.TheCommencementDateshallbethelaterofthedateonwhichtheContractorreceivestheEmployer'sNoticeofCommencementandthedatespecifiedintheSchedule,or[NUMBER]daysaftertheissueoftheNoticeofCommencement,whicheverislater.

3.3NoticeofCommencement.TheEmployershallissueaNoticeofCommencementtotheContractoratleast[NUMBER]dayspriortotheCommencementDate,settingouttheCommencementDateandanyconditionsforcommencingtheWorks.

4.THECONTRACTdocuments

4.1ThisContractcomprisesthefollowingdocuments,whichshallbereadtogetherasonedocument:

(a)ThisContractAgreement;

(b)TheGeneralConditionsofContract(the"GeneralConditions");

(c)TheConditionsofParticularApplication(the"ParticularConditions");

(d)TheAnnexes,includingbutnotlimitedtotheSchedule,theBillofQuantities,theTechnicalSpecifications,theDrawings;

(e)AnywrittensupplementoradditiontothisContractagreedinwritingbytheEmployerandtheContractorinaccordancewiththeproceduressetoutintheGeneralConditions.

4.2IfanyofthedocumentsreferredtoinClause4.1appearstoconflictwithanyoftheotherdocuments,thedocumentsshallbeinterpretedintheordersetoutinClause4.1.TheContractAgreementshallprevailovertheGeneralConditions,theParticularConditionsshallprevailovertheAnnexes,andanywrittensupplementoradditionshallprevailoveranyconflictingprovisionintheotherdocumentstowhichitrelates.

5.EMPLOYER'SREPRESENTATIVE

5.1TheEmployershalldesignateanEmployer'sRepresentative("theRepresentative")toactonitsbehalfinconnectionwiththisContract.TheRepresentativeshallhavesuchpowersandauthorityasmaybedelegatedtoitbytheEmployerinwriting.

5.2TheRepresentative'spowersandauthorityshallbesetoutintheScheduleorinaseparatePowerofAttorney.TheRepresentative'sexpressionsofopinionorrecommendationsshallnotbeconstruedasinstructionstotheContractorunlessexpresslystatedtobesuch.

5.3TheContractorshallbeentitledtoreceiveallinstructionsandcommunicationsfromtheRepresentativewhichrelatetotheWorksandwhichfallwithintheRepresentative'sauthority.

6.ENGINEER

6.1TheEmployershallengageanEngineer("theEngineer")toprovidetechnicaladviceandassistancetotheEmployerandtoperformthefunctionssetoutintheGeneralConditions,subjecttothelimitationsontheEngineer'sauthoritysetoutintheParticularConditionsandtheSchedule.

6.2TheEngineershallhavethefollowingfunctions,amongothers:

(a)ToadvisetheEmployeronthetechnicalaspectsoftheWorks;

(b)ToissueInstructionstotheContractor;

(c)ToreceiveandexamineContractor'sdocumentsandclaims;

(d)ToprepareandissueCertificatesforMeasurement,Payment,DefectsRectification,andCompletion;

(e)ToconducttheCompletionTest.

6.3TheEngineer'sexpressionsofopinionorrecommendationsshallnotbeconstruedasinstructionstotheContractorunlessexpresslystatedtobesuch.TheContractorshallbeentitledtoreceiveallinstructionsandcommunicationsfromtheEngineerwhichrelatetotheWorksandwhichfallwithintheEngineer'sfunctions.

6.4TheEngineermaydelegateanyofitsfunctionstoaSub-Engineer,subjecttothepriorwrittenconsentoftheEmployerandtheContractor.TheSub-EngineershallactunderthedirectionandcontroloftheEngineer.

7.INSTRUCTIONS

7.1InstructionsmaybeissuedbytheRepresentativeortheEngineertotheContractorinrespectoftheWorks.AnInstructionshallbeinwritingunlesstheGeneralConditionsortheScheduleprovideotherwise.

7.2AnInstructionshallbeissuedpromptly.TheContractorshallcommencetocarryoutanInstructionassoonasisreasonablypracticable.

7.3TheContractorshallhavetherighttorequestclarificationorfurtherdetailsfromtheRepresentativeortheEngineerregardinganyInstruction.TheRepresentativeortheEngineershallrespondtosuchrequestpromptly.

7.4TheContractorshallnotbeliableforanydelay,additionalcost,orlossresultingfromanInstructioniftheContractorhadreasonablegroundstobelievethattheInstructionwasincorrectorincompletebeforecarryingitout.

8.MEASUREMENT,VALUATION,ANDPAYMENT

8.1Measurement.TheContractorshallkeeprecordsofthequantitiesandcostsoftheWorksexecuted.TheEngineershallmeasuretheWorksupontherequestoftheContractoratthetimesandinthemannerspecifiedintheGeneralConditionsortheParticularConditions.

8.2Valuation.ThevalueoftheWorksshallbedeterminedinaccordancewiththeprinciplessetoutintheGeneralConditions.

8.3PaymentCertificates.TheEngineershallissuePaymentCertificatestotheContractoratintervalsasspecifiedintheSchedule,certifyingthevalueoftheWorksmeasureduptotherelevantdateandanyotheramountsduetotheContractorunderthisContract.

8.4Payment.SubjecttotheEmployer'sapproval(ifrequiredbytheParticularConditions),theEmployershallpaytheamountscertifiedbytheEngineertotheContractorwithin[NUMBER]daysoftheContractor'sreceiptofthePaymentCertificate.

8.5RetentionMoney.TheEmployershallretain[percentage]%ofeachpaymentdueunderthisContractasretentionmoneyuntiltheendoftheDefectsPeriod,oruntiltheContractorhasprovidedsecurityfortheretentionmoneyasrequiredbytheParticularConditions.

8.6FinalPayment.TheEngineershallissueaFinalPaymentCertificatewithin[NUMBER]daysafterthedateonwhichtheWorksaredeclaredcomplete.TheFinalPaymentCertificateshallcertifythebalanceduetotheContractor,includinganyamountdueundertheDefectsLiabilityClause.

8.7ClaimsforPayment.IftheContractorconsidersthatitisentitledtoanypaymentnotincludedinaPaymentCertificate,theContractorshallsubmitaclaimforpaymenttotheEngineerinwritingwithin[NUMBER]daysofthedateoftherelevantPaymentCertificate.TheEngineershallconsidertheclaimandissuearevisedPaymentCertificate,ifappropriate.

9.DURATION,PROGRESSPROGRAMME,ANDEXTENSIONOFTIME

9.1Duration.TheContractorshallcompletetheWorkswithintheContractDuration.

9.2ProgressProgramme.TheContractorshallsubmitaProgressProgrammetotheEngineerwithin[NUMBER]daysaftertheCommencementDate.TheProgressProgrammeshallshowtheproposedsequenceoftheWorksandthedatesbywhichdifferentstagesoftheWorksareintendedtobecompleted.

9.3ExtensionofTime.TheContractorshallbeentitledtoanExtensionofTimeif:

(a)TheEmployerfailstoperformitsobligationsunderthisContract;

(b)TheContractorsufferslossordelayduetoanInstruction;

(c)TheContractorsufferslossordelayduetovariations;

(d)TheContractorsufferslossordelayduetounforeseensiteconditions;

(e)TheContractorsufferslossordelayduetoForceMajeure;

(f)TheContractorsufferslossordelayduetodelayinprovidinginformationordocumentsbytheEmployeroritsrepresentatives;

(g)OthereventsasprovidedintheGeneralConditionsortheParticularConditions.

9.4ApplicationforExtensionofTime.TheContractorshallsubmitanApplicationforExtensionofTimetotheEngineerwithin[NUMBER]daysoftheoccurrenceofaneventthatmayentitletheContractortoanExtensionofTime,providingdetailsoftheeventanditsimpactontheprogramme.

9.5GrantofExtensionofTime.TheEngineershallconsidertheApplicationforExtensionofTimeandgrantanExtensionofTime,ifappropriate,within[NUMBER]daysofreceivingit.TheEngineer'sdecisionshallbefinalandbinding.

10.VARIATIONS

10.1TheEmployermayinstructtheContractortomakevariationstotheWorks.Theproceduresformaking,valuing,andpayingforvariationsaresetoutintheGeneralConditions.

10.2TheContractorshallcarryoutvariationsasdirectedbytheEmployerortheEngineer.

10.3ThevalueofeachvariationshallbedeterminedinaccordancewiththeprinciplessetoutintheGeneralConditions.Ifthevariationisofminorimportance,theEngineermaydeterminethevalueofthevariationwithoutreferencetotheContractor.

11.PROVISIONANDDURATIONOFDEFECTSRECTIFICATION

11.1DurationofDefectsPeriod.TheDefectsPeriodshallcommenceonthedateofissueoftheCompletionCertificateandshallcontinueforaperiodof[NUMBER]months.

11.2RectificationofDefects.DuringtheDefectsPeriod,theContractorshallrectifyalldefectsintheWorksupontheEngineer'sinstructionsatitsowncost.

11.3Re-inspection.Aftertherectificationofdefects,theContractorshallnotifytheEngineerforre-inspection.TheEngineershallre-inspecttherectifiedworkswithin[NUMBER]daysofreceivingthenotification.

11.4DefectsLiability.TheContractorshallbeliableforalldefectsintheWorksforthedurationoftheDefectsPeriod.TheEmployershallhavetherighttorequiretheContractortorectifyanyoutstandingdefectsaftertheendoftheDefectsPeriod,buttheContractorshallnotbeliablefordamagesarisingfromsuchdefects.

11.5PaymentonExpiryofDefectsPeriod.UpontheexpiryoftheDefectsPeriod,theEngineershallissueaCertificateofExpiryofDefectsPeriod.SubjecttotheEmployer'sapproval(ifrequiredbytheParticularConditions),theEmployershallpaytheretentionmoneytotheContractorwithin[NUMBER]daysofreceivingtheCertificate.

12.Completion

12.1CompletionTest.TheContractorshallnotifytheEngineerwhentheWorksarereadyfortheCompletionTest.TheEngineershallarrangeforthetesttobecarriedoutwithin[NUMBER]daysofreceivingthenotification.

12.2IssueofCompletionCertificate.IftheWorkspasstheCompletionTest,theEngineershallissueaCompletionCertificatetotheEmployerwithin[NUMBER]daysofthetest.TheCompletionCertificateshalldeclarethattheWorksarereadyforoccupationoruse.

12.3DefectsRectificationafterCompletion.TheContractorshallrectifyanydefectsdiscoveredaftertheissueoftheCompletionCertificateatitsowncost.

13.INSURANCES

13.1TheContractorshallprocureandmaintainthefollowinginsurancesforthebenefitoftheEmployer:

(a)InsurancefortheWorksagainstallrisksoflossordamage;

(b)Insuranceforthird-partyrisks;

(c)InsurancefortheContractor'semployeesagainstaccidents;

(d)[OtherinsurancesasrequiredbytheParticularConditions].

13.2TheContractorshallprovidecertificatesofinsurancetotheEngineerwithin[NUMBER]daysofeffectingtheinsurances.TheinsurancesshallremaininforcethroughouttheContractPeriodandforafurtherperiodof[NUMBER]monthsaftertheendoftheContractPeriod.

13.3TheContractorshallnotifytheEmployerimmediatelyupontheoccurrenceofanyeventgivingrisetoaclaimundertheinsurances.

14.PERFORMANCESECURITY

14.1TheContractorshallprovidePerformanceSecuritytotheEmployerintheamountof[AMOUNT][CURRENCY]upontheCommencementDate.ThePerformanceSecurityshallbeintheformofabankguaranteeoraperformancebond.

14.2TheContractorshallnotbeentitledtoanypaymentunderthisContractuntilithasprovidedPerformanceSecuritytotheEmployer.

14.3ThePerformanceSecurityshallbereleasedbytheEmployertotheContractorwithin[NUMBER]daysaftertheissueoftheFinalPaymentCertificate.

15.LIABILITIESANDOBLIGATIONS

15.1TheEmployer'sLiabilities.TheEmployer'stotalliabilityunderthisContractshallbelimitedtotheContractPrice.

15.2TheContractor'sLiabilities.TheContractor'stotalliabilityunderthisContractshallbelimitedtothePerformanceSecurity.

15.3Indemnities.TheContractorshallindemnifyandholdharmlesstheEmployeragainstalllosses,damages,andclaimsarisingoutoforinconnectionwiththeContractor'sperformanceunderthisContract.TheEmployershallindemnifyandholdharmlesstheContractoragainstalllosses,damages,andclaimsarisingoutoforinconnectionwiththeEmployer'sperformanceunderthisContract,exceptasotherwiseprovidedherein.

16.EXTRACOSTS

16.1TheContractorshallbeentitledtoanadditionalpaymentforanyExtraCostincurredbyitasaresultof:

(a)AnInstruction;

(b)Avariation;

(c)Anunforeseensitecondition;

(d)ForceMajeure;

(e)OthereventsasprovidedintheGeneralConditionsortheParticularConditions.

16.2TheContractorshallsubmitaclaimforExtraCosttotheEngineerwithin[NUMBER]daysoftheoccurrenceoftheevent,providingdetailsoftheExtraCostincurred.TheEngineershallconsidertheclaimandgrantanadditionalpayment,ifappropriate,within[NUMBER]daysofreceivingit.

17.FORCEMAJEURE

17.1ForceMajeure.ForceMajeuremeansaneventoreffectofaforcebeyondtheContractor'sreasonablecontrol,including,butnotlimitedto,war,hostilities(whetherdeclaredornot),civilwar,insurrection,revolution,militaryorusurpedpower,terrorism,actsofflood,earthquake,storm,tempest,hurricane,typhoon,tornado,lightning,fire,explosion,disease,epidemic,oranyothereventofasimilarnature.

17.2EffectofForceMajeure.IftheContractorsufferslossordelayduetoForceMajeure,theContractorshallnotifytheEngineerinwritingwithin[NUMBER]daysoftheoccurrenceoftheevent.TheContractorshalltakeallreasonablemeasurestomitigatetheeffectsofForceMajeure.

17.3Consequences.IftheContractorisunabletoproceedwiththeWorksduetoForceMajeureforacontinuousperiodofmorethan[NUMBER]days,theEmployermayterminatethisContractbygivingnoticetotheContractor.TheContractorshallbeentitledtoanextensionoftimeandmaybeentitledtocompensationforlossincurred,subjecttotheprovisionsoftheGeneralConditions.

18.MISCELLANEOUS

18.1Notices.AllnoticesrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:

(a)Ifdeliveredpersonally;

(b)Onedayafterdepositwithareputableovernightcourierservice;

(c)Threedaysafterpostingbyregisteredpostorairmail;
