1、 工程项目管理服务协议 agreement of construction management service(当事方信息 略)第一条 甲方同意接受由乙方提供的工程项目管理服务,乙方将担任使用面积约为 平方米,楼高约为 层及地下约为 层的钢筋混凝土建筑(以下简称“该项目”)的精装修工程及配套机电工程的管理及监理。关于服务范围参照甲乙双方在 日签署的意向书。 article 1. party a agrees to receive construction management services provided by party b as the construction manager a

2、nd supervisor (cm) of the captioned project with utilization area of approximately square meters which is a reinforced concrete building with approximately floors above-ground and with approximately floors underground, hereinafter referred to as the “project,” as per to scope of services stated in t

3、he letter of intent between party a and party b dated .第二条 双方同意在本协议项下作为工程项目管理的服务范围应当涵盖如下相关工作:article 2. under this agreement the parties agree that the scopes of services rendered for the construction management (cm) hereunder covers the relevant works, as follows:2.1项目前期服务 pre-execution services2.1

4、.1承包商资格预审prequalification of contractors搜集资格预审的所需的资料。obtain prequalification information from potential tenderers.配合甲方对各投标单位进行实地考察,并提交综合的资格预审报告。assist party a in the site visit to each potential tenderer and submit the prequalification report.2.1.2招投标tendering2.1.2.1拟定招标文件,并编制招投标文件及标底。preparation of

5、 tender documents and pre-tender estimate.根据图纸及项目情况拟定本项目所有相关专业的招标文件。甲方就可能对该招标事宜造成更多困难性及复杂性或者在施工过程中承包商是否能按时完成甲方要求的关键项目等工作类别进行评估,以确定是否对其进行拆分或合并。乙方应充分支持上述甲方的决定,并拟定甲方对拆分或合并的项目的招标文件,协助甲方选定合理的分包单位,以确保该项工程的顺利实施。prepare tender documents for all the work packages on the basis of the drawings and project requ

6、irements. party a will assess the key work categories which may cause more difficulty and complexity to the procurement process or for which uncertainty remains on the contractors timely completion of work, in order to decide whether to separate or combine work categories. in this regard, party b sh

7、all fully support the aforementioned party as decision and prepare the tender documents for the work packages separated or combined. party b shall assist party a in the selection of subcontractors to ensure smooth execution of the project.2.1.2.2招标方案 tendering plan以适当的方式建议并评估其各部门的招标方案。to suggest and

8、 assess the tendering plan of each section/department in an appropriate manner. 2.1.2.3招标答疑answering tender queries根据招投标情况,组织各投标单位及相关单位对招标文件和图纸答疑。arrange for the tendering q&a.2.1.2.4评标 tender assessment协助甲方与有关单位进行合同谈判,根据甲方批准的内容编制合同文件;assist party a in the negotiations with related parties, prepare

9、contract documents based on the confirmation given by party a.根据需要提供同类建筑设备材料价格的市场行情,供甲方参考;provide (as required) market price information on similar equipment and materials for party as consideration;组织参加评标会议,针对投标单位的报价,进行技术标及商务标的评定及建议;并给出一份整体的评标报告书面给甲方,供甲方参考。arrange and participate in tender assessme

10、nt meetings. based on the proposals, carry out assessment and give recommendation on technical proposals and commercial proposals; provide a complete written tender assessment report to party a for its consideration.2.1.2.5招投标程序tendering procedures需严格按照招投标程序进行操作,并对各阶段的评比情况及最后的总结书面汇报给甲方。tendering sha

11、ll be carried out in strict accordance with the tendering procedures. the assessment results shall be summarized in a written report submitted to party a.2.1.3 其它服务other services2.1.3.1 提供其他工程所必需的造价咨询服务,包括但不限于:provide other cost consulting services necessary for the project, include but not limited

12、to:l 协助甲方进行施工合同的管理工作;assist party a in contract administration;l 为甲方提供工程成本控制的建议,运用技术、合同等手段有效控制成本;provide advice to party a on how to control cost by using technical and contractual provisions;l 对已决定的工程变更及设计变更进行估算并及时调整总投资控制目标;carry out evaluation on variations that has been confirmed and accordingly

13、adjust the investment control target;l 审核所有与本工程相关的付款申请,按相应要求和格式向甲方提供工程的付款审核证明及建议;review all payment applications related to the project and provide to party a in accordance with relevant requirements and format the payment certification or recommendation;l 对考虑中的工程变更进行造价估算,对工程变更及设计变更及时提交变更分析报告,供甲方决策;

14、carry out evaluation on variations that is under consideration and provide variation analysis report for party as decision;l 协助甲方进行竣工结算的编制工作;assist party a in preparing the account settlement on completion;l 对施工单位提出的竣工结算进行全面审核计算,最终确认总工程量造价。并向甲方提交每一分项工程结算审计报告及全部工程结算总价、合同管理及执行情况的专题总结报告。review the stat

15、ement at completion proposed by the contractor to eventually determine the total cost. provide to party a the audit reports for every subdivisional work, the closed contract price, and reports on contract administration and execution.l 协助甲方整理本工程项目合同文件及有关资料,收集有关工程费用方面的签证资料,核价单据并及时归档;assist party a in

16、 filing contract documents and related document for the project, collect payment certification documents, cost verification sheets and archive them in a timely manner;l 协助甲方进行竣工验收工作;assist party a in the completion acceptance;l 帮助甲方编制竣工决算表;assist party a in preparing the final account.2.1.3.2 项目协调服务

17、project coordination services为工程顺利进展所必需的与政府部门、mixc及物业等相关方面的协调。coordination necessary for the project progress with statutory authorities, mixc and the property management company.项目前期各专业进场前的所有协调工作(与项目相关协调:如mixc市场部、mixc总包及监理、mixc工程部及其物业、mixc分包和其他的商铺;与政府之间的协调:如消防局等)。all coordination work before each t

18、rade contractor entering the site (related coordination: such as with mixc marketing department, mixc general contractor and supervision company, mixc engineering department and property management, mixc subcontractors and other stores; coordination with government authorities, such as fire bureau).

19、2.1.3.3设计协调服务design coordination service各专业施工图之间的设计协调及装饰施工图纸与其它各专业间的设计协调工作,及设计公司之间的协调工作。design coordination works between different trades and interior decoration construction, and coordination works between party a and design company.2.1.3.4 提供关于工程目标的咨询建议to render advises in setting the project tar

20、gets;2.1.3.5提供关于工程项目管理体系的咨询建议to render advises in project management systems;2.1.3.6 许可证申请服务obtaining approvals and permits负责协调有关各方面人员以确保顺利获取本工程所需要的许可证(如消防内装修建审意见等),以确保工程顺利开工。to coordinate with all relevant parties in application for permits (e.g. comments on fire protection for interior decoration)

21、 necessary for the project, to ensure timely commencement of work.2.1.3.7风险评估服务risk assessment services根据其对本工程获取的各方面的信息,针对工程的前期工作进行风险评估,并给出咨询和建议,以书面形式汇报给甲方。based on the information on the project that is available, provide to party a a written risk assessment report and advices on the pre-constructi

22、on stage of the project.2.2 项目实施阶段execution stage2.2.1、人员配备 staffing提供各专业及项目经理等管理人员的名单,并附其各自的简历。provide the list of staff and their cvs.乙方需配备如下管理人员:party b shall provide the following staff:项目经理 project manager 暖通工程师 hvac engineer 机电工程师 m&e engineer 内装工程师 interior decoration engineer 资料工程师 document

23、control engineer 设计协调专员 design coordinator工料测量师 quantity surveyor 一旦乙方提供的管理人员经甲方面试认可后,乙方不得以任何理由更换管理人员;除非经甲方书面同意。若甲方发现乙方未经甲方同意而进行更换管理人员的,每发现一次,罚款10000元,且乙方将承担由此造成的一切后果。once the staff proposed by party b is accepted by party a after interview, party b shall not replace such staff for whatever reason,

24、unless with party as written consent. if party a finds that party b replace staff without party as consent, party b shall be penalized with rmb10,000 for each occurrence and party b shall bear all consequences caused by such replacement.2.2.2、项目管理体系 project management system方便、快速、准确确定并制定该项目的管理体系,例如,

25、职责、文件管理体系、人员架构文件、操作质量监控体系、通信系统、工作审批制度及其他与此相关的工作。to conveniently, fast, and correctly determine and plan management systems for the project, for example, duties and responsibilities, document control system, personnel chart documents, operational quality control system, communications system, work ex

26、amination form approval system, and other related works.2.2.3、进度计划 programme2.2.3.1准备详细的工程进度计划表及时间节点作为甲方与承包方之间委托合同的附加文件,其包括对承包方所做工作的检查及其在每一个时间节点完成情况的质量测评。to prepare details plans and milestones for construction operations as supporting documents of the contract between party a and the contractors, i

27、ncluding issuing the work checking and qualifying certificate of every milestone of the contractors.2.2.3.2对工程进度计划的监督与管理。 monitoring and control of programme乙方需对制定的进度计划及工期关键点负责;监督并管理现场的施工进度,对现场实际进度与进度计划进行比较分析,找出偏差,并及时修正偏差,以确保整体工程进度不受影响。party b shall be responsible for the programme prepared by it an

28、d the milestones therein; party b shall monitor and control the progress on the site, compare actual progress with the programme, identify and correct the deviation to ensure the overall programme is not affected.2.2.3.3乙方应在充分理解甲方可能发生频繁变更的情况下,合理的组织或督促相关施工单位加快施工进度,以确保工程能够顺利完工。party b shall, by fully

29、understanding that party a may frequently instruct changes, reasonably cause the contractors to expedite progress to ensure smooth completion of the project.2.2.3.4需对承包商在施工过程中提交的月、旬、周等分段进度计划进行分析、审核。party b shall analyze and review the monthly, ten-day and weekly programme submitted by the contractor

30、.2.2.4、质量管理 quality management2.2.4.1 按照国家相关规范对现场工程质量进行监督管理,确保整体工程质量合格。supervise the quality on site in accordance with relevant national codes to ensure the quality of the project is up to standard.2.2.4.2 针对工程中出现的难点或施工工序等问题,乙方需根据自己的专业知识给出建议或协调,并监督各单位的对认可方案的实施。party b shall, based on its expertise,

31、 advice or coordinate on the difficult issues and sequence of work in the project and supervise the implementation of agreed actions by various project participants.2.2.4.3乙方对其管理监督的工程负有责任。其责任不能免除由于质量事故导致的相关部门的调查。若因乙方监督管理不到位或乱指挥导致的问题,乙方应负相应的责任。party b is responsible for the works managed/supervised b

32、y it. such responsibility cannot relieve party b from receiving investigation by relevant authorities resulting from quality failures. party b shall be liable for the problems due to its underperformance or its giving of instruction in an unprofessional manner in managing the project.2.2.4.4在工程质保期范围

33、内,乙方应对工程缺陷的部分给予合理的、专业的建议或方案,以减少甚至避免此工程缺陷对商场正常营业的影响。during the quality warranty period, party b shall render reasonable, professional advice or proposal on defective work to reduce or even avoid the impact by defective work on the operation of the store.2.2.5、安全文明施工safety and orderly conduct2.2.5.1制定

34、贯穿整个项目由安保工程师及安保团队严格监管执行的安保方案。formulate health & safety plan for strict implementation by the safety engineer and safety team throughout the project.2.2.5.2按照安全文明施工的要求,监督管理相关单位。supervise/manage the work of project participants in accordance with the requirements on orderly conduct.2.2.5.3制定安全管理办法,监督相

35、关单位按照管理办法进行现场实施,确保项目及工作人员的人身安全。formulate precautionary safety measures and ensure that project participants follow them to safeguard personal safety of staff.2.2.6、文件管理 document control2.2.6.1 准备项目运作配套文件(如:每周或每月的进展报告、会议备忘录、现金流估测报告、进度偏差分析报告、设计变更汇总分析报告等),并交给甲方做参考。prepare project management deliverable

36、s (such as weekly or monthly progress report, meeting minutes, cash flow estimate report, programme deviation analysis report, design variation analysis report, etc.) and submit them to party a for reference.2.2.6.2 负责本项目所有文件的接受、发送等文件的管理,工程结束后,将工程相关资料移交给甲方。to be responsible for the filing of all inc

37、oming and outgoing documents during the project period and hand over related project information to party a after the project is closed.2.2.6.3 对每次会议做好会议记录并总结重要事项,于会议结束后3天内提交给甲方。minute every project meeting and submit the meeting minutes to party a within 3 days after the meeting.2.2.7、其它具体服务项目,包括但不

38、限于以下内容:other services include but not limited to:2.2.7.1检查和监控工程的质量、造价和施工安全性。to inspect and control qualities, prices, and safety of the construction.2.2.7.2在承包方购买用材及配件之前检查和批准每项工程的图纸、用材、配件;此外,其采购物件还需符合设计者的标准。to inspect and approve every item of construction drawings, materials, and accessories before

39、 the contractors purchasing materials; in addition, the items purchased shall conform to the designers requirements.2.2.7.3检查和批准承包方的操作指南、安全体系计划和工作政策。to inspect and approve operational guidelines, safety system plans, and working policies of the contractors.2.2.7.4参加工作学习、检查和测试不同工作部分的完成情况。to participa

40、te in work study, inspection, and testing in various work sections.2.2.7.5协调与设计师决策和解决关于设计图纸可能在实际运行中出现的差异问题。to coordinate with the designers in decision-making and solve problems of drawings differ from the actual conditions on site.2.2.7.6为避免延误对并非必须与设计师之间的咨询及时做出决策。to make decision in case that consu

41、ltation with the designers is not required in order to prevent delay.2.2.7.7在实际施工前准备该设计关键部分的模型。to prepare mock-up of the critical parts of the design prior to physical construction.2.2.7.8共同参与检查工程的质量、数量及工作范围以确保工程情况与款项支出相符。to jointly inspect qualities, quantities and scopes of work for disbursement o

42、f installments, etc.2.2.7.9根据设计计划和项目安排、考量、检查及测试相关用材及系统配件,并在甲方使用该等材料及配件前准备相应模型。to consider, examine and test the materials and accessories of systems pursuant to the planned patterns and items and prepare mock-up prior to use by part a.2.2.7.10须每月就工程变更及付款情况编制并提交甲方一份单独的费用分析报表及清单,详细说明此前甲方决定实施的工程变更以及此当前

43、报告期实际发生的费用明细。to prepare and submit to party a a separate cost analysis every month, detailing the variations confirmed by party a and the breakdown of costs incurred in the month for which the analysis is done.2.2.7.11举办周度、月度会议以推进、跟进及检查相关工作的进展;包括解决可能出现的任何延迟问题,以防因此而给该工程带来的相关损害。to hold weekly and mont

44、hly meetings to accelerate, follow up and check the work progress, including to solve any delay problem which may arise, in order to prevent any damage to the project.2.2.7.12在施工过程中提供相关技术咨询(如需)。to render technical consultations during the construction (if required).2.2.7.13如果发生相关问题,在甲方的要求下,参加该等协调会议。

45、to attend coordination meetings if problem occurred and at the request of party a.2.2.7.14准备额外的图纸和细节内容,包括施工期间对相关问题的应对解决方案。to prepare additional drawings and details, including to solve the problems during construction.2.2.7.15召开协调会议以跟进相关工作进展;对有关该工程出现的紧急问题进行沟通协调并进行解决;不论设计师、主要承包方,分包方、材料、配件供应商或其他相关第三方。

46、to hold coordination meeting in order to follow up the works, to give coordination, and to solve the immediate problems in relation to the construction, irrespective of designers, main contractor, sub-contractors, material and accessory provider, or other relevant parties.2.2.7.16根据工程的预算、工期、质量等要求考量及

47、检查承包方在每一个阶段中工作完成情况。to consider and inspect the works done by the contractors at every stage in accordance with the budgets, periods of time and qualities of the patterns and items.2.2.7.17管理、监控并安排相关人员为人身健康的污染事宜负责、并确保环境影响符合相关环境标准;包括协调进行自此等事件发生之日至取得补偿期间的保险通知及索赔事宜。to manage, control and arrange personn

48、el responsible for safety from pollutions against health, and for environmental impacts in line with the standards, including coordination on insurance notification and insurance claim as from event occurrence up to being compensated.2.2.7.18提供相关法律建议、要求及规定,包括与建筑工程相关的各种技术要求。to render recommendations

49、on laws, requirements and regulations, inclusive of a variety of techniques in relation to the construction.2.2.7.19在施工过程中,先于事件发生之前对可能产生的问题给出建议并解释,包括找出应对解决对策并解决这类问题。to suggest and explain possible problems prior to event occurring during construction, including finding out solution and solve such pr

50、oblems.2.2.7.20安排与租户沟通协调的工作团队,如有必要该团队可进入该租户的租赁经营地点以对其租赁地点内的工程进行相关改进、建设及安装工作。to prepare working team to coordinate with rental vendors if it is necessary to enter the rental vendors business operation site for work improvement, construction, and installation of the rental vendors business operation s

51、ite.2.2.7.21初步检查审核每个租户的系统设计图纸以使其遵循甲方的标准;同时为租户装修施工提供指导和监督。to initially examine the system drawings of every rental vendor to ensure that they satisfy the standards of party a; to provide guideline for and supervision on any vendors contractors fitting-out work.2.2.7.22对承包方的工厂及日常工作进行实地勘查检验,以确保其资质符合该工程

52、规划标准,并对考察的情况写成报告提交给甲方,供甲方参考。to inspect the contractors factories and check their work to ensure contractors qualifications satisfy the planning standard of the project, and to prepare an inspection report and submit to party a for its reference.2.2.7.23检查租户装修工作进展情况,以确保其符合甲方及设计者的相关规则规定。to check renta

53、l vendors which operate the decorations to ensure compliance with the rules and regulations of party a and the designers.2.2.7.24为相关设计模式之准备而向室内设计师及其他每一类别的设计师提供相关建议;to render advises to interior designer and other designers of every category in preparation of related designing work patterns.2.2.7.25参

54、加所有必要的会议,并协调甲方、室内设计师和其他每一类别的设计师,以与每一工作小组共同总结相应工作要求。to attend all necessary meetings and coordinate with party a, interior designer, and other designers of every category to summarize requirement from every working team.2.2.7.26共同参与为甲方、合作伙伴、政府部门及其他必要的与工程项目竣工相关的第三方而进行的工程细节详述及报告。to participate in detai

55、led work explanation and presentation to party a, partners, government agencies, and other parties as necessary for the completion of construction.2.2.7.27对设计工作方面关于工程及工期的可行性进行研究,提供关于工程设计的建议以帮助该工程节约施工成本及时间,包括介绍适用于该工程的工具、机械、施工方法、材料;同时,研究相关施工技术并将此推荐给甲方。to study the design works in the aspect of feasibi

56、lity in construction and period of time, to render advises in designing to assist the project in saving construction costs and times, including to introduce tools and machinery, construction methods, and materials as appropriate for the construction work, and to study the construction techniques and

57、 recommend to party a.2.2.7.28评估按照该施工方案进行的施工对项目及相邻块土地周边环境造成的影响,并在该项目对环境破坏损害发生之前给设计者及甲方发出相应警告。to assess the construction impacts on environments and adjacent plots of land as a result of the construction under the patterns and items and to give warnings to the designers and party a prior to the damage occurrence against the project.2.2.7.29检查、审查和协调设计工作以使设计方案及协议更完整,为了避免该设计方案在实际操作过程中在如工程质量、职责界定、增加或减少协议项下的工作等方面的不确定性。to examine, inspect
