编号: _CONTRACT FOR PROJECT INSTALLATION甲 方：_乙 方：_签订日期：_年_月_日ThisContractforprojectofinstallingMainEngineismadeon，byandbetweenCompanyLtd（here-inaftercalledPartyA）andCompanyLtd（hereinaftercalledPartyB）1Nameofinstallationwork:2Locationofinstallationwork:PartyAsinPortA3Scopeofinstallationwork:Asspecifiedinthedrawingsandstatementattached4Timelimitforcompletion:TheinstallationworkshallcordinatewiththeconstructionofinPartyA，andshallbecompleted，includingthetrialrunfor，withindaysafterthecompletionof5Totalpriceofinstallationwork:USDonly6Paymenttermsofinstallationwork:Firstinstallment:PartyAshallpaytoPartyBfifteenpercentofthetotalpriceforinstallationwork，ieUSDonly，whenthiscontractcomesintoeffectSecondinstallment:PartyAshallpaytoPartyBfifteenpercentofthetotalpriceforinstalatiornwork，ieUSDonly，atthecommencementofconstructioninstallationThirdinstallment:PartyAshallpaytoPartyBtenpercentofthetotalpriceforinstallationwork，ieUSDonly，duringtheinstallationofpipesFourthinstallment:PartyAshallpaytoPartyBfortypercentofthetotalpriceforinstallationwork，ieUSDonly，atthetimewhenthemainequipmentarrivesatthesiteFifthinstallment:PartyAshallpaytoPartyBtenpercentofthetotalpriceforinstallationwork，ieUSDonly，uponcomple-tionoftheinstallationworkSixthinstallment:PartyAshallpaytoPartyBtenpercentofthedifferenceofthepriceforinstallationwork，ieUSDonly，aftertheworkreceivedhasbeenprovedqualified7Penaltyfordefault:IntheeventPartyBshallfailtocompletetheworkintimeowingtoreasonsthatPartyBshallbeheldliable，PartyBshallpayapenahyforsuchdefauhbasedononeoutofathousandofthetotalpriceforinstallationworkperday，ieUSD，onlyforeachdayofsuchdefault8Increaseordecreaseofwork:IncasePartyAhastoamend，increaseordecreasetheworkingschedule，thecorrespondingincreaseordecreaseoftotalpriceshallbeevaluatedaccordingtothetermsandconditionsbetweenthetwoParties，Shouldtheworkbeincreased，thePartiesshallenterintoanagreementfortheunitpriceofadditionalitemsShouldanypartofthecompletedworkofanypartofthemateri-alstransportedtothesitehavetobeabandonedowingtoamend-mentmadebyPartyA，PartyAshall，afterhavingreceivedthework，payforeachcompletedworkormaterialsabandonedaspertheunitpricespecifiedtoPartyB9Supervisionforprogress:ThesupervisionpersonnelappointedbyPartyAanditsrep-resentativeshallhavetheauthoritytosupervisetheprogressorworkandgiveinstructionPartyBshallperformcorrectlyinac-cordancewithsuchinstructiongivenbyPartyAspersonnelorrepresentative10Stopagework:ShouldPartyAnotifyPartyBtostoptheworkforreasonsbeyondtheresponsibilityofPartyB，PartyBcanstoptheworkandclaimfromPartyAthepriceoffinishedwork，materialsatsiteandotherreasonableexpensestobeaddedordeductedfromthepaidinstallments11Custodyofwork:Thecompletedworkandthematerials，tools，andequipmentatsiteshallbeunderthecustodyofPartyBaftercommencementandbeforecompletionanddeliveryoftheworkUnlessintheeventofForceMajeure，PartyBshallbefullyresponsibleforanydamageoftheworkunderthecustodyofPartyBIncaseofForceMajeure，PartyBshallgivealistofdamageaccordingtotheactualconditionandsuggestanexpectedpriceanddateforrecoveryfromsuchdamagetoPartyAforcheckingandpaymentShouldPartyAdecidenottocontinuewiththework，thiscontractshallbeterminatedaccordingtoarticle10hereof12WarrantyforworkPartyBshallwarrantthepromisedconditionoftheworkwithinyear（s）afterthedateofreceivingtheworkbyPartyAHowever，PartyBshallnotbeliabletoActsofGodormisuseoftheworkbyPartyA13Supplementalprovisions:PartyBshallbeheldresponsibleifPartyAspersonnelorotherpeopleisinjuredduetothenegligenceofPartyBduringtheprogressofconstructionHowever，suchresponsibilityshallrestuponPartyAiftheinjurycausedisduetothenegligenceofPartyAoftechnicianscontractedwithPartyA14Attachments:AttachmentsshallbecomeanintegralpartofthiscontractandshallbeaseffectiveasanyotherprovisionsAttachmentsinclude:（1）Drawings（2）Anestimateofcost15Formatofthiscontract:ThecontractshallbeinduplicatewithtwotextstobeheldseparatelybythePartieshereofEachofthePartiesshallalsokeeptwocopiesofthecontractforrecord16AdditionalProvision:MaintenaceofMainEnginePartyBshallprovidefreeperiodicmaintenanceservicefortheMainEngineofforyear（s）afterthereceivingoftheworkbyPartyAandsendmaintenancepersonneleverymonth（s）forp
