nethroughandfullyeffectiveness3Thealldocuments，materials，reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue，real，competeandeffective4TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan：（1）TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations，lawsorcompensationtoothers；（2）Pendingactionsandarbitration；（3）TheBorrowersdebtsorproposeddebtsorliensandotherencumbrances；（4）Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts；（5）TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditorsIITheBorrowerherebywarrantsasfollows：1Usingthecapitaloftheloanasusagesetforthinthiscontract，theBorrowerwillnotusetheloanasEquityinvestment；TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity，future，realestateetcTheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountryTheBorrowerwillnotmisusingorappropriationoftheloan2Makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract；3Providingupdatedfinancialstatementorfinancialbulletineveryquarter；Providingtheauditedfinancialreportatthefirstquartofeachyear；Providingoperationreport，financialreportorotherfilesandmaterialsandshallwarrantthereality，correctandeffectivenessforthefilesandmaterials；4Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders；5AcceptingthesupervisionoftheLender，providesassistanceandcooperationfortheLenderssupervisions；6Willnotreducetheregistrationcapital；PriorapprovalfromthelendershallberequiredwhentheBorrowerchangesofshareholdersandoperationmanner（includingbutnotlimitedtojointventure，cooperation，jointlycooperation；dissolution，closedown，liquidation，transformation；merger；changetosharecompany，usethehousing，machineryorotherrealassetsortrademark，intellectualproperty，Knowhow，landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany，tradingofoperationrightorownrightbycontracting，jointoperation，trusteeship）7TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassetsTheBorrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts8TheBorrowerwillnotpaytheothersimilarloanspriortotheLender；9TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred：（1）TheeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheBorrowerandanybranchesofBankofChinaorotherbanks，non-bankfinancialorganization；（2）TheBorrowerchangesshareholdersorrevisethearticleofassociation；（3）TheBorrowersufferdifficultiesandbadresultinfinancialandoperation；（4）TheBorrowerinvolvesinmaterialactionsorarbitration；10TheBorrowershallkeepsufficientbalanceforrepaymentpriortotheduedate11TheBorrowershallkeepitsbanktransactionsregardingincomecollection，sellforeigncurrencyorbuyforeigncurrencyectShallbeconductedattheLenderorotherbranchesoftheLenderTheturn-overforthecapitalshallsatisfythedemandoftheLender；IIITheBorrowersrepresentationsandwarrantshereunderthiscontractshallbeeffectiveeventhoughanymendment，supplementsorrevisedtobemadetothiscontractARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDERITheLenderrepresentsandwarrantsasfollows：1TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofPRCandapprovedbytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness2TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontractTheLenderisdulyauthorizedtoextendthisloanIITheLenderwarrantsasfollows：1TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract2CollectinterestsinaccordancewiththeregulationsofthePeoplesBankARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENT：ISettlementoftheBorrowerbreachofcontract1Eventofbreachofcontract：（1）TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan；（2）TheBorrowerfailstorepaythedueprincipalandpaytheinterests，expensesorotherpayableinaccordancewiththeagreedtermofthiscontract；（3）TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11（4）TheBorrowerbreachesotherloanagreementsorguarantyagreementsortheGuarantorbreachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligationsunderthiscontract（5）ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract，thefinancialconditionsoftheGuarantorareseriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline（6）TheBorrowerbreachestheotherobligationsunderthiscontract2Undertheabovecircumstances，theLendershallhaverightto：（1）RequesttheBorrowertorectifywithintheperioddesignedbytheLender；（2）Ceaseinextendingtheloanorcancelthecredit；（3）DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheBorrowerTheBorrowershallnotappealagainsttheLender（4）DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandtheBorrower，requesttheBorrowertorepaytheloanprincipals，interests，andotherexpensesIIThesettlementfortheLenderbreachofthecontract1TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons；2TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees；3TheLenderbreachestheprovisionssetforthinArticle12；4Undertheabovecircumstances，theBorrowershallhaverightto：（1）RequesttheLendertorectify；（2）RepaytheloanaheadoftimeandrefusetopayanycompensationforprepaymentARTICLE14DEDUCTIONTheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranyconditionARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT1TheBorrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovaloftheLender；2IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentoftheLender，thethirdpartyshallabidethiscontractwithoutanyconditionARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS1TheBorrowerisindependentcontractorunderthiscontract，itwillnotimpactbyanyotherrelationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract2TheLendergiveanyextension，toleration，favortotheBorrowerorpermittheBorrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsoftheLenderinaccordancewiththiscontractandlaws，regulation，itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontractARTICLE17AMENDMENT，SUPPLEMENTANDINTERPRETATIONOFTHECONTRACT1ThiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconcludebythepartiesAnyaamendmentandsupplementshallbeintegralpartyofthiscontract2Intheeventchangeoflaws，regulationsorlegalpracticewhichwillcauseanytermscontainedinthisContractbecomeillegal，invalidorlossofpractice，theotherpartofthiscontractshallnotbeimpairedbyitThebothpartiesshallmakeeffortstochangetheillegal，invalidorlossofpracticepart3ForthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthePeoplesBankofChinaARTICLE18DISPUTERESOLUTION，GOVERNINGLAWANDWAIVEROFEXEMPTION1Theconclusion，interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChinThedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothpartiesIncasenosettlementcanbereached，thedisputesshallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment2TheBorrowershallnotrejectanyobligationduringthesettlementofdisputes3TheexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehaviorTheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontractIfbothpartiesagreetoapplyarbitration，theabovetermshallbe：1Theconclusion，interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChinThedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothpartiesIncasenosettlementcanbereached，thedisputesshallbesubmittedtoChinaInternationalEconomicandtradearbitrationcommissionforarbitration2ThearbitrationshallbeconductedinaccordancewiththeArbitrationLawofPeoplesRepublicofChinaandProvisionalRulesofProcedureofChinainternationaleconomicandtradearbitrationcommission3DuringtheArbit
