.资金托管协议书Funds Trusteeship Agreement托管方： Trustee: 身份证号 ID No.: 51310119660 受托方：四川 有限公司Grantor: Sichuan Co., Ltd 第1条 托管目的. 为了促进股权投资者认购英国雅惠生态农业集团PLC（YAHUI AGRICULTURE PLC）的股票，并按照英国天富资本非公开发行股票认购流程的操作规定，顺利地在海外进行英国雅惠生态农业集团PLC（YAHUI AGRICULTURE PLC）股票登记、过户、交割手续，保障投资者的合法权益，托管方与受托方就资金托管事宜,在平等、自愿、等价有偿的基础上进行协商。Article 1 Purpose for trusteeshipIn order to inspire the investors to subscribe the shares of YAHUI AGRICULTURE PLC subject to the Subscription Procedures of Private Placement made by UK AXIOM CAPITAL and help the investors complete the registration, transfer, and delivery of shares successfully, as well to protect their legal right and interests, basing on the equality, voluntary and compensation of equal value, the grantor and the trustee are negotiating friendly on funds trusteeship.第二条 托管方享有下列权利：有权监督托管资金的用途；可适时向受托方查询账目；有权追加托管资金，并不受数额限制；经受托方同意，股权认购专项投资资金托管期限为2个月，即受托方在2个月内，仍然未办理好英国雅惠生态农业集团PLC（YAHUI AGRICULTURE PLC）的股票在海外的过户交割手续，即可要求受托方无条件退回100%的股权认购托管专项资金；有权向受托方提出意见或建议。Article 2 the grantor is entitled the following rights:To supervise the application of entrusted funds； To review the accounts of the trustee；To add the amount of entrusted funds and never be limited；Agreed by the trustee, the duration for trusteeship is 2 months, which indicate that if within 2 months, the share transfer and delivery of YAHUI AGRICULTURE PLC are not completed, 100% of the special funds for share subscription should be returned to the grantor as required；To give the trustee comments and advices.第三条 托管方应当履行下列义务：（1） 应当将股权认购投资托管资金交付受托方；（2）在双方约定的2个月的期限内，未经受托方同意，不得退回任何托管资金；（3）在受托方合理履行托管义务期间，应当理解并支持受托方的各项决定。Article 3 the grantor should perform the following obligations:（1）To deliver the entrusted funds of share subscription to the trustee；（2）To be not allowed to with any entrusted funds without the permit of the trustee in the agreed period of 2 months；（3）To understand and support all the various decisions of the trustees when the trustee are performing the trusteeship obligation.第四条 受托方享有下列权利：接收托管方交付的托管资金；有权对接英国天富资本，进行英国雅惠生态农业集团PLC（YAHUI AGRICULTURE PLC）的股票在海外的顺利过户和交割手续的完成；Article 4 the trustee is entitled the following rights;To receive the entrusted funds from the grantor；To contact UK AXIOM CAPITAL for completion of the share transfer and delivery of YAHUI AGRICULTURE PLC.第五条 受托方应当履行下列义务：:（1） 保管好托管人交付的托管资金；（2）受托方承接托管资金时，应当积极与英国天富资本对接，并按照要求其完成相应的股票认购手续，确保股权投资者的利益；（3）定时结算，应当将托管方的利息收益计入其原有的托管资金；（4）适时向托管方通报托管资金状况。Article 5 the trustee should perform the following obligationsTo take care of the entrusted funds offered by the grantor；To positively contact with UK AXIOM CAPITAL and complete the corresponding subscription process as required to ensure the investors equity；To settle at the regular time and the interest income of the grantor should be added on the original entrusted funds；To report the situation of entrusted funds to the grantor timely.第六条 违约责任如托管方未如期向受托方交付托管资金，则受托方有权单方终止与该托管方的托管协议。Article 6 Liability for Breach of Contract If the grantor fails to deliver the entrusted funds during the agreed time, the trustee is entitled to terminate the trusteeship contract unilaterally.第七条 不可抗力托管方或受托方因不可抗力导致不能履行协议时，应当及时通知其他各方，并在15日内提供不可抗力详情及有关证明文件。Article 7 Force MajuroIf the grantor or the trustee can not perform the agreement, each party should inform the other party and offer the detail information and relevant documentary evidence with 15 days.第八条 争议解决争议发生时，首先应当友好协商解决；协商不成时，向受托方所在地所在地法院提起诉讼。Article 8 Resolution of the DisputeWhen dispute occurs, the friendly negotiation should come first to resolve it; if negotiation fails, an action need to be filed to the court in the Grantors location.第九条 其他本协议未尽事宜，由托管方与受托方另行协商约定，补充协议与本协议具有同等效力。本协议一式贰份，托管方及受托方各执一份，自托管方与受托方签字或盖章之日起成立并生效。Article 9 othersMaters not covered in the agreement should be agreed through negotiations by the grantor and trustee.
