论文摘要 截止到2 0 0 1 年1 2 月3 1 日股票在上海证券交易所和深圳证券交易所公开 上市交易的上市公司达1 1 5 4 家。其中含国有股权( 包括国家股和国有法人股) 的上市公司达8 4 6 家，占上市公司总数的7 2 l 国有股本总量为2 1 4 9 5 5 亿股， 占上市公司总股本4 8 2 0 4 亿股的4 4 5 8 5 。若按净资产权益计算，陶有股权价值 达5 2 6 4 6 亿元；若按流通股股价计算，国有股权价值高达1 9 4 0 2 1 9 亿元。据有 关方面统计，从新中国成立以来到2 0 0 1 年1 2 月3 1 日经营性国有资产达7 3 1 4 9 3 亿元( 国有资产总量达1 0 9 3 1 6 4 亿元) ，据此计算，上市公司国有股权价值已 占相当的比例，分别占7 2 和2 6 5 2 。如果从控制的角度看，上市公司中国有 股东为第一大股东的有6 8 0 家，差不多已控制了5 9 5 的上市公司，控制的这些公 司的总股本、挣资产、总资产分别为3 5 9 4 。5 6 亿股、8 7 6 6 。3 9 亿元、1 8 0 4 8 2 9 亿 元。因此上市公司国有股权已经成为了国有资产经营管理中重要的部分。 上市公司国有股权是产生效益的经营性国有资产，具备持续不断创造利润、 价值增值的能力。由于经过股票发行和上市过程中的严格审核，作为上市公司的 这一部分企业几乎已经包括了中国绝大多数优秀的企业。而上市公司又具备较强 的在证券市场公开融资功能，因此上市公司国有股权较一般的企业股权而言具 有更强的权益增值能力。在现实经济中，由于上市公司在地方经济中的权益增值、 税收增加、投资乘数效应等方面的巨大贡献，也使上市公司成为当地经济发展的 中坚力量对大多数以控殷方式进入上市公司的国有殷权，控制而产生的附带效 用较为突出。作为依附于上市公司的股权，上市公司国有股权往往具有比一般企 业股权更高的流动性，尤其是作为国有控股股权运作，往往是国有资产运作中最 活跃的一部分。因此如何管理好、经营好、利用好这部分国有资产，成为国家各 级政府、相关部门、经营机构等进行宏观布局、中观经营管理、微观操作所关心 的重要课题。 而在上市公司国有股权实际运作中却存在有较多的问题：股权结构中的一般 独大使公司治理弱化而产生内部人问题，特殊制度下不同的定价机制所产生的套 利，大股东对中小股东正当权利的侵占，行政行为直接介入导致公司行为的异化 两偏离目标，等等。这些闻题的存在，已经严重地阻碍了上市公司国有股权的有 效运作。不仅如此，其中一些问题( 如国有股权通过证券市场减持的问题) 已经 不是单纯的国有资产运作、公司治理的问题，已超过了这些而涉及到整个证券市 场的发展和关系到整个市场几千万投资者的切身利益、甚至影响到社会稳定。如 国有股权减持的问题，2 0 0 1 年6 月1 3 日国务院发布减持国有股筹集社会保障 资金管理暂行办法，到2 0 0 i 年1 0 月2 2 日停止其中第五条的执行，再到2 0 0 2 年6 月2 3 日，对国内上市公司停止执行减持国有股筹集社会保障资金管理暂 行办法中关于利用证券市场减持国有股的规定与此同时。证券市场中几千亿 市值灰飞烟灭。这前前后后的每一次变化都涉及到众多公众投资者的经济利益， 为社会各方所关注。经历这一场政镶的前后变化之后，相关部门在确定今后上市 公司国有股权的运作政簧方面将是慎之又慎。如何解决上市公司国有股权运行中 的问题，是理论工作者、政府政策制定者、政府运作决策者、国有费产管理部门 和经营机构、上市公司、市场中各方利益相关者，甚至作为证券投资者的普通民 众所关注。作为一个经济和经济学问题，如此令众多的人关注是少有的，也正说 明了上市公司国有股权运作涉及到非常广泛的、现实的经济利益。 早在五年前，党的十五大指出，国家要从战略上调整国有经济布局，在总体 上不削弱国有经济的主体地位情况下，除了在关系国民经济命脉的重要行业和关 键领域( 如涉及国家安全的行业、自然垄断的行业、重要公共产品和服务的行业 及支柱产业和高新技术产业中的重要骨干企业等) 国有经济仍占控股地位外，国 有经济要逐步从一般性竞争领域中退出。刚召开的中共十六大在继续强调调整国 有经济布局和结构基础上，提出了改革国有资产管理体制的思路“在坚持国 家所有的前提下，充分发挥中央和地方两个积极性”。“建立中央政府和地方政 府分别代表国家履行出资人职责，享有所有者权益，权利、义务和责任相统一， 管资产和管人、管事相结合的国有资产管理体制。关系国民经济命脉和国家安全 的大型国有企业、基础设揸和重要自然资源等，由中央政府代表凰家履行出资人 职责。其他国有资产由地方政府代表国家履行出资人职责”这一思路无疑对国 有资产的运作具有巨大的意义：明确了国有资产运柞的主体减少了国有资产运 作中肭委托代理关系，赋予了运作主体拥有国有资产运作的完整权力。等等。这 一决策将迸一步加快有进有退国有资本的优化配置、国有企业深化改革的步伐。 而这对国有资产运作中最活跃的一部分上市公司国有股权运作将起着巨大 2 的推动和促进作用。因此在深化国有资产管理体制改革、加快国有经济战略重组 这一大背景下，对上市公司国有股权运作进行研究有着特别的意义。 本文首先从产权开始研究股权的本质、经济功能、属性以及其运作的含义、 目标、内容等一般理论概念；以此为基础研究中国上市公司国有股权及其运作中 的总体特征；然后从国有股权运作的主体与目标、国有股权运作的一般制度和特 殊制度环境、国有股权内容与运作类型、国有股权运作的方式和思路，以及国有 股权运作的现实问题和对策建议等多个侧面，深入研究上市公司国有股权运作多 个方面的具体问题。 沿着这一思路，本文由七章组成： 第一章：导言。本章说明上市公司国有股权运作研究的背景，采用的研究方 法，所涉及的基本概念，以及全文的结构安排，并对主要的观点作简要的提示。 第二章：上市公司国有股权及运作概述。本章首先研究股权的产生、股权本 质和经济功能、股权属性。以及股权运作的含义、目标、内容，并对股权运作的 相关理论作了简要的介绍，为之后的研究作必要理论铺垫。在此基础上，从国有 资产属性、依附于上市公司、与其他股份的区别三个角度，研究上市公司国有股 权及其运作的总体特征。 第三章：上市公司国有股权运作中的主体及目标。本章首先分析了国有股权 的主体，指出国有股权的主体是复杂的：国家是所有者，国有持股单位是具体股 东，国有股权所属的政府是运作的实权主体，全民是最终所有者。国有股权运作 的目标与主体是紧密相联系的，目标应服从于主体利益从提高效率的角度出发， 指出作为微观运作中的国有股权运作的目标应当是权益增值。 第四章：上市公司国有股权运作的制度环境及影响。现代企业制度和证券市 场制度是上市公司国有股权运作的制度环境和基础，本章首先从公司股东治理的 角度分析公司治理结构基本框架、特征及具体运行；其后对中国上市公司的特殊 制度安排及对国有股权运作的影响进行较为深入的分析，指出流通股与非流通股 划分和同股不同价是对中国上市公司影响重大的特殊制度，对国有股东参与公司 治理和国有股东的经济利益机制将发挥重大的影响。 第五章：上市公司国有股权的内容与运作类型。本章首先对国有股权的内容 进行研究。其后研究国有股权的控股和参股运作类型，指出控股权对国有股东、 上市公司具有的特殊意义。控股权可以使国有股东的意志得到实现，权益得到有 效维护；可以扩大控制范围和规模，提升形象和品牌：可以加强所有者对经营者 控制、防止内部人控制：控股权的转移可以使资本支配权向优秀企业家集中。 第六章：上市公司国有股权运作的方式、定位与思路。本章首先分析了国有 股权的四种运作方式及对国有股权权益的影响；然后以社会主义市场经济中政府 的定位为出发点，分析国有资产的定位和国有股权的定位，进而提出国有股权运 作的思路。 第七章：上市公司国有股权运作中的问题与对策建议。本章首先从运作主体 和具体运作两个方面分析了上市公司国有股权运作中的问题。然后根据十六大的 重要榜神，提出了构建新的经营性国有资产运作主体体系的思路和提高固有股权 运作效率的一些具体措施。 本文在理论和实践方面的创新意义如下： 1 比较全面系统她研究了上市公司国有股权运行的特征、运作主体与目标 确定、运作的一般制度和特殊制度环境、股权内容与运作类型、运作方式定位与 思路等，并结合现存的问题提出了解决问题、提高效率的建议。 2 对关于股权的一些基本概念理论有较为深入的认识。以往学术界对股权 基本理论的研究大都是比较零散的，一般都是在对公司治理、股票交易等问题进 行研究时候，附带地提及到股权，对股权的定义、本质、属性、功能以及股权运 作的内容、目的等尚未有较多的专门的系统研究。席文在前人对产权研究的基础 上提出股权是股东对公司权益的所有而产生的一系列权利义务以及由此而形成 的经济关系和法律关系：提出股权具有激励与约束，资源配置，基础保障等功能； 认为股权是一种私权而不是公权，股权是一种围绕经济利益的权利，股权是一种 以增值为目的的资本；在研究股权运作时，提出股权是一种手段，它服从于股权 持有者的利益，实现股权持有者的利益才是股权运作的目的。通过对股权性质、 功能、属性以及股权运作的理论研究。为其后对国有股权的研究作了必要的铺垫。 3 文章从三个方面分析了上市公司国有股权及其运作的总体特征。一是从 田有资产性质的角度，指出其特征：国有股权来自于国有企业改制，通过行政多 级摸糊委托代理实现，每层实行分权管理，运作目标具有多元性，运作中带有浓 曩的公权色彩；二是从依附于上市公司的角度，指出其特征：国有股权具有公众 公司股权的特征，具有较强的增值能力和变现能力，运作透明度高；三是从与其 他股权差异的角度指出其特征：国有股权是非流通股，并衍生出同股不同价的 4 特征- 这些将对国有股东参与公司治理以及其实现经济利益的方式产生巨大的髟 响。 4 ，对中国上市公司特殊制度及其对国有股权运作的影响作了较为深入的分 析。首先指出中国上市公司的特殊制度主要集中于两个方面，一是流通股与非流 通股的划分，二是同股不同价。比较深入地分析了特殊制度产生韵背景、原因、 本质，阻及两者的紧密关系其次从参与公司治理的角度和经济利益机制的角度， 分析了特殊制度对国有股权运作的巨大影响，指出在特殊制度下，会发生国有股 东行为的扭曲特殊制度下，国有股东主要采取用“手”的方式参与公司治理 国有股东可以通过向公众发行股票融资的方式更方便地获取权益增值。 5 文章结合实际，对上市公司国有股权运作中存在的闯凰进行了较为深入 研究，并提出改进和提高国有股权运作效率的建议。指出存在的问题主要是：行 政的、多环节的，分权的国有股权代理方式，各代理主体缺少有效的激励和约柬 机制，国有股权的超强控制，国有股权超强控制的同时又缺乏对代理人有效的激 励约束产生内部人控制，国有股权运作直接服从于政府利益和君标，国有控股股 东对中小股东的侵权等。结合十六大精神提出改进和提高国有股权运作效率的建 议：在中央政府、地方政府分别代理国有资产运作的基础上，建立经营性国有资 产管理部门统一管理、国有经营机构具体经营的运作主体体系，并建立以人大监 督为核心的监督体系：同时建立和健全运行中的激励约束机制。而在国有股权具
