3、cknowledgedinwritingbyabcsservicedepartment;andthebanking,negotiationorotheruseofanypaymentshallnotconstituteanacceptancebyabc.itisagreedthatserviceshallbeprovidedonlyonthetermsandconditionscontainedinthisagreement.abcshallnotbeboundbytermsandconditionsincustomerspurchaseorderorelsewhereunlesse_pres

4、slyagreedtoinwriting.bothpartiestothisagreementagreethatuponacceptancebyabcsservicedepartment,abcsinterestintheagreementisassignedtoabc,inc.(minc).3.servicedefinedabcagreestoprovideserviceforthecustomerfortheproductlistedonthefirstpageofthisagreement.suchproductsshallbeservicedaccordingtothetermsand

5、conditionsonalltwelvepagesofthisagreement(service).theserviceshallbeginandendonthedatessetforthonthefirstpageofthisagreement.abcshallalsoserviceotherproductmanufacturedbyminc.ormincssubsidiariesandpurchasedbycustomerduringthetermofthisagreementonthesametermsandconditionssetforthinthisagreementatthet

6、hencurrentservicefeesforsuchproduct.upondeliveryofsuchotherproducttocustomer,servicefeesforserviceofsuchotherproductshallbeaddedtothebillingcyclefollowinge_pirationofthelaborwarrantyonsuchotherproduct.intheeventofloss,damage,theftorremovalfromserviceofanyproduct,customershallimmediatelyreporttheloss

7、,damage,theftorremovalinwritingtoabc.inthisevent,customersobligationtopayservicefeeswithrespecttoanysuchproductshallterminateattheendofthemonthinwhichabcreceivessuchwrittenreport.mobileproductshallberemovedandreinstalledindifferentvehiclesatcustomersrequestfortheservicefeeineffectatthetimeofcustomer

8、srequest.thisagreementdoesnotincludeserviceofanytransmissionline,antenna,towerortowerlighting,unlesssuchworkisdescribedonthefirstpageofthisagreement.serviceshallincludethelaborandpartsrequiredtorepairproductwhichhasbecomedefectivethroughnormalwearandusage.thisdoesnotincludeconsumableandtheirinstalla

9、tion.servicedoesnotincludetherepairorreplacementofproductwhichhasotherwisebecomedefective,including,butnotlimitedto,damagecausedbyaccidents,physicalorelectronicabuseormisuse,actsofgod,firesorothercasualty.serviceperformedfornon-coveredrepairsshallbebilledatabcsabovecontractrateapplicableforsuchservi

10、ce.productundercontractmustbemaintainedinenvironmentalconditionsassetforthintheproductspecificationsanddamageresultingfromenvironmentalconditionsnotconformingtothespecificationsisnotcoveredbythisagreement.wheretelephonelinesandproductareusedinconjunctionwithabcmaintainedproduct,abcshallhavenoobligat

11、ionorresponsibilityforsuchtelephonelinesorproductbutshall,uponrequest,assistthetelephonecompanyinrepairingsuchuponpaymentattheappropriateabovecontractrate.customershallindicateonthefirstpageofthisagreementanyproductwhichisintrinsicallysafesothatappropriatepartsandproceduresmaybeusedtomaintainsuchsta

12、tus.atthee_pirationoftwelve(12)monthsafterthecommencementofservicehereunder(oranytimethereafter),ifproductcannotinabcsopinionbeproperlyoreconomicallyrepaired,because(butnotlimitedto)e_cessivewear,deteriorationorunavailabilityofparts,abcatitssoleoption,uponthirty(30)dayspriorwrittennoticetocustomerse

13、ntbycertifiedmail,mayeither:(1)removesuchproductfromthisagreement;or(2)mayincreasethepricetoservicesuchproduct.customershallhavethirty(30)daysfromreceiptofnoticeofpriceincreasetoobjecttosuchincrease.ifcustomerproperlyobjectstosuchincrease,abcshallthenhavetheoptiontoremovesuchproductfromcoveragebythi

14、sagreement.customersobligationtopayservicefeeswithrespecttoproductremovedfromthisagreementshallterminateattheendofthemonthduringwhichsuchproductisremoved.theproductshallbeservicedbyabcinaccordancewiththefollowingstandards:(i)abcpartsorpartsequalqualityshallbeused;(ii)theproductshallbeservicedatlevel

15、ssetforthinabcsproductmanuals;and(iii)routineserviceproceduresprescribedfromtimetotimebyabcforitsproductshallbefollowed.5.timeandplaceofservice.serviceshallbedoneatthelocationspecifiedonthefirstpageofthisagreement.whereserviceistobeperformedatthelocationoftheproduct,customershallfurnishshelter,heat,

16、lightandpowerattheselocations,customershallnotifyabcimmediatelyofproductfailure,allowabcfullandfreeaccesstotheproduct,andcooperatefullywithabcinabcsservicingoftheproduct.waiverofliabilitybyabcagainstcustomerorotherrestrictionsshallnotbeimposedbycustomerasasiteaccessrequirement.customershallallowabcf

17、ullandfreeaccesstotheproduct.customershallallowabctousenecessarymachines,communications,facilities,featuresandotherproduct(e_ceptasnormallysuppliedbyabc)atnocharge.mobilesandremovableproductshallbedeliveredbycustomertotheabcservicecenterindicatedonthefirstpageofthisagreement.hoursofserviceunderthisa

18、greementshallbethenormalworkinghours,e_cludingholidays,ofabcsservicecenterunlessotherwiseindicatedonthefirstpageofthisagreement.6.payment/ta_es.eachpaymentisdueonorbeforethedatesetforthonthefirstpageofthisagreement.abcmayterminatethisagreementbygivingcustomerten(10)daysnoticebycertifiedmailifcustome

19、rdefaultsinitspaymenttoabc.customershallreimburseabcforallpropertyta_es,salesanduseta_es,e_ciseta_es,andtheta_esorassessmentsnoworhereafterimposedbyauthorityofanynationalorlocallaw,ruleorregulationwithrespecttotheserviceoftheproducte_ceptincometa_esorotherlegallyreimbursableta_esofabc.7.righttosubco

20、ntract.abcshallhavetherighttosubcontractinwholeorinparttheservicecalledforbythisagreement.abcshallnotifycustomerofthenameandaddressofeachsubcontractor.8.revisionoffees.priortoananniversaryofthee_pirationdateindicatedonthefirstpageofthisagreement,abcmayrevisetheservicefeessetforthonthefirstpageofthis

21、agreementbygivingcustomerwrittennoticeoftheamountoftheincreaseatleastsi_ty(60)daysinadvanceofthatanniversarydate.uponreceiptofanysuchnotice,customermayterminatethisagreementonthee_pirationdateoranyanniversaryofituponthirty(30)dayspriorwrittennoticetoabcsentbycertifiedmailtotheaddressindicatedinthisa

22、greement;otherwisethenewfeesshallbecomeeffectiveontheanniversarydate.intheeventofsuchtermination,allaccruedandunpaidchargesshallbedueandpayableimmediatelyupontermination.9.automaticrenewal.afterthee_pirationdateindicatedonthefirstpageofthisagreement,thisagreementshallcontinueforsuccessiveadditionalp

23、eriodsofoneyear,providedthateitherabcorcustomermayterminatethisagreementonthee_pirationdateoranyanniversaryofituponthirty(30)dayspriorwrittennoticetotheotherpartysentbycertifiedmailtotheaddressindicatedinthisagreement.10.interruptionofservice.customershallnotifytheservicingagencyintheeventofthefailu

24、reofanyproduct.iftheservicingagencyfailstorepairtheproductwithinareasonabletime,customershallnotifytheabcofficedesignatedbyabc.aftersaidnoticefromcustomertotheservicingagencyandtotheabcofficedesignatedbyabc,abcshallbeliableforanyinterruptionorinterferenceaffectingtheuseortransmissionthroughtheproduc

25、tmaintainedtothee_tentofaprorataallowancebasedonthemonthlyservicefeeforthetimesuchinterruptionorinterferenceisattributabletothefaultofabcoritssubcontractor.abcdoesnotassumeandshallhavenoabilityunderthisagreementforfailuretoprovideordelayinprovidingservicefortheproductduedirectlyorindirectlytocausesb

26、eyondthecontrolofabc,including,butnotrestrictedto,actsofgod,actsofthepublicenemy,actsoftheprc,theunitedstates,anystate,territoryoftheunitedstates,oranypoliticalsubdivisionoftheforegoing,orthedistrictofcolumbia,actsoffailuretoactofthecustomer,itsagents,employeesorsubcontractors,fires,floods,casualty,

27、epidemics,quarantinerestrictions,strikes,freightembargoes,andunusuallysevereweatherconditionsordefaultsofabcsubcontractorsduetoanysuchcauses.11.warrantylimitations.e_ceptasspecifiedinthisagreement.abcdisclaimsallwarranties,e_pressorimplied,including,withoutlimitation,theimpliedwarrantiesofmerchantab

28、ilityandfitnessforaparticularpurpose.innoeventshallabcbeliableforincidentalorconsequentialdamagestothefulle_tentsuchmaybedisclaimedbylaw.12.srrcormptandothergovernmentmatters.althoughabcmayassistinpreparationofthesrrcormptlicenseapplication,customerissolelyresponsibleforobtaininganylicensesorotherau

29、thorizationsrequiredbythestateradioregulatorycommission(srrc)orministryofpostandtelecommunication,oranyothernationaland/orlocalgovernmentalagency.customerissolelyresponsibleforcomplyingwithapplicablesrrcormptrulesandregulationsandtheapplicablerulesandregulationsofanyothernationaland/orlocalgovernmen

30、talagency.neitherabcnoranyofitsemployeesisanagentofcustomerinsrrcormptorothergovernmentalmatters.abc,however,mayassistinpreparationofthesrrcormptlicenseapplicationatnochargetocustomer.13.entireagreement.customeracknowledgesthatithasreadandunderstandsthetermsandconditionsoftheagreementandagreestobebo

31、undbythem,thatitisthecompleteandconclusivestatementoftheagreementbetweenthepartiesandthatthisagreementsetsforththeentireagreementandunderstandingbetweenthepartiesrelatingtothesubjectmatterhereofandallunderstandingsandagreements,oralandwritten,heretoforemadebetweenabcandcustomer,aremergedinthisagreem

32、entwhichalonefullyandcompletelye_pressestheiragreement.14.amendment.nomodificationoforadditionstothisagreementshallbebindinguponabcunlesssuchmodificationisinwritingandsignedbytheabcdivisionservicevicepresidentauthorizedtomakesuchrevisionsandanauthorizedagentofcustomer.15.validity.ifanytermorprovisionofthisagreementshalltoanye_tentbeheldbyacourtorothertribunaltobeinvalid,voidorunenforceable,thenthattermorprovisionshallbeinoperativeandvoidinsofarasitisinconflictwithlaw,buttheremainingtermsandprovisionsofthi
