4、and) dozen only.4. 单价及总金额：UNIT PRICE: US$ per dozen CIF New York.Total amount: US$140,000 (Say US Dollars one hundred forty thousand only) CIF New York.5. 包装：1 打装 1 盒，10 盒装 1 箱。PACKING: One dozen to a box, 10 boxes to a cart on.6. 装船唛头：SHIPPING MARK: NEW YORK No.1 & Up7. 装运：_日前装运，但以可接受的信用状于月底前开到

6、r 100% value ofgoods.9保险：卖方应洽保险，投保E款险并加保遗失窃盗险及兵险，保险金额按发票金额的 100% 投保，并须规定如有索赔应在纽约以美金支付。INSURANCE: SELLERS shall arrange marine insurance covering ICC (B) plus TPND and warrisk for 110% of the invoice value and provide for claim, if any, payable in New York in UScurrency.10. 检验：货物须经一家独立公证行检验，其出具质量及数量检

FLUCTUATIONS OF FREIGHT, INSURANCE PREMIUM, CURRENCY, ETC. 运费、保险费、币值等的变动(1) 兹同意本契约内所列价格全是以目前国际货币基金平价汇率35 元兑换美金元为准倘若这项汇率在押汇时有任何变动，则价格应根据这项变动比照调整及清偿，俾卖方 的台币收入不

8、因而减少。It is agreed that the prices mentioned herein are all based upon the present IMF parity rate ofNT$35 to one US Dollar. In case, there in any change in such rate at the time of negotiatingdrafts, the prices shall be adjusted and settled according to the corresponding change so asnot to decrease

Any increase in freight and/or insurance premium rate at the timeof shipment shall be for

10、 BUYER S risks and account.(3) 交货前如原料及组成配件的成本增加甚巨，卖方保留调整契约中所列价格的权利。SELLERS reserve the right to adjust the prices mentioned herein, if prior to delivery there isany substantial increase in the cost of raw material or component part.12. 税捐等：对于货物或包件、原料，或履行契约有关活动所课征的税捐或规费，如由 产地国课征，归由卖方负担；如由目的国课征，则归由买方负

11、担。TAXES AND DUTIES, ETC.: Any duties, taxes or levies imposed upon the goods, or anypackages, material or activities involved in the performance of the contract shall be for accountof origin, and for account of BYUERS if imposed by the country of destination.13.索赔：对所装货物如有索赔情事发生，则请求索赔的通知必须于货物抵达卸货港后 即

12、刻以书面提示卖方，并且必须给卖方有调查的机会。俏若运送船只到达卸货港后 天内没有提示这项预先的书面通知以及提供调查机会，则索赔应不予受理。在任何情 况下，卖方对于使用货物引起的损害，或对于间接或特别的伤害，或对于超出瑕疵货 物发票金额的款项均不负责。CLAIMS: In the event of any claim arising in respect of any shipment, notice of intention toclaim should be given in writing to SELLERS promptly after arrival of the goods at

13、the port ofdischarge and opportunity must be given to SELLERS for investigation. Failing to give suchprior notification and opportunity of investigation within twenty-one (21) days after the arrival ofthe carrying vessel at the port of discharge, no claim shall be entertained. In any event,SELLERS s

14、hall no be responsible for damages that may result from the use of goods or forconsequential or special damages, or for any amount in excess of the invoice value of thedefective goods.14.不可抗力：因战争、封锁、革命、暴动、民变、民众骚扰、动员、罢工、工厂封锁、天灾、恶劣气候、疫病或其它传染病、货物因火灾或水灾而受毁坏、在交货港因暴风 雨或台风而阻碍装船，或在装船前任何其它卖方所无法控制的事故发生，而致货物的

15、全部或一部份未能交货，这未交货部份的契约应予取消。然而，在装运期限截止前， 如货物业经备妥待运，但因前述事故之一发生而致未能装运，则买方于接到卖方请求 时，应以修改信用装方式或其它方式延长装运期限。FORCE MAJEURE: Non-delivery of all or any part of the merchandise cause by war, blockage,revolution, insurrection, civil commotions, riots, mobilization, strikes, lockouts, act of God,severe weather, p

16、lague or other epidemic, destruction of goods by fire of flood, obstruction ofloading by storm or typhoon at the port of delivery, or any other cause beyond SELLERS control before shipment shall operate as cancellation of the sale to the extent of suchnon-delivery. However, in case the merchandise h

17、as been prepared and ready for shipmentdeadline but the shipment could not be effected due to any of the abovementioned causes,BUYERS shall extend the shipping deadline by means of amending relevant L/C or otherwise,upon the request of SELLERS.21BUYERS 买方SELLERS 卖方15.仲裁：有关本契约买卖双方间所引起的任何纠纷、争议或歧见，可付诸仲
