3、alofsmartT/RVerificationsystem(hereinafterreferredtoas“thesolution”)shallmeanalltherequiredtechniquestoconstructthegeneralideawhichwillcommittheattachedtechnicalrequirements.Thesolutionshallincludealltechnicaldetailsofalldesigningschemesandexperimentalverificationforkeycircuits.智能收发验证系统技术方案(以下简称“方案”

4、)，是指设计满足附件要求的总体技术方案，所需要的解决方案。该 解决方案第4页共 18 页包括全部设计方案资料及关键电路验证技术资料。1.2Technicaldocumentationsshallmeanallthenecessarydocumentstodesignthesolutionandalltheverificationdocumentsthatpartybwilluseindesigningthesolution.技术资料，指研发解决方案所必需的资料，包含乙方在 设计方案的过程中，所使用的全部有关验证技术资料。1.3“R设计技术方案；(2)Keycircuitsverificatio

5、n;验证关键电路；(3)Detailedtechnicalrequirementsseetechniqueattachm ent.详细技术要求见技术协议附件。2.1.2Technicalmethodandstrategy技术方法和路线(1)shouldadoptsocandAslctechnology;采用soc和AsIc技术；(2)shouldadoptthesmartT/Rsystemtoverifythekeycircui ts.第5页共 18 页采用智能收发组件系统对关键电路进行实验验证。2.2Theobligationsofbothparties双方义务2.2.1partybshal

6、lsubmittheR启动阶段：晶圆厂的选定、设计文件的获得、工艺文件第6页共 18 页的分析、计算机系统的建立、eDA软件的租用及购买、验证电路与整体方案设计思路的初步沟通；2)Designphase:moduledivisionofchip,principledesign,computersimulation,layoutdesign;设计阶段：芯片的模块划分、原理设计、计算机仿真、版图设计；3)Testphase:primarytestandconsecutivetest.测试阶段：初测及继续测试。(2)phasetwo:Alterthesolutionaccordingtothefir

7、stphaseresults,andstartsecondrun.第二阶段：根据第一阶段测试结果对方案进行修改，同 时配合总体设计进行修改。2.2.3withthebothpartiesconfirmationandontherequestofpartyA,partybshallprovidetechnicalguidanceandtrainingtothepersonneldesignatedbypartyAorprovidethetechnicalservicerelatedinthefulfillmentsolutionafterthesolutionisqualifiedbytheve

8、rificationcircuits.启动阶段：晶圆厂的选定、设计文件的获得、工艺文件第7页共 18 页双方确定，乙方应在合同方案的关键电路验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，第8页共 18 页或提供与完成方案相关的技术服务2.2.4withtheconfirmationofthebothparties,withinthevalidityofthecontract,partyAshallaspartyAsprojectcontactpersonaspartybsprojectcontactpers onfanychangesofthecontactpersonocc

9、ur,onepartyshallinformtheotherpartybasedonwritt enmaterialsinduetime .Ifonepartyfailstopromptlyinformtheotherparty,itshallbeheldresponsibleforanyinfluenceordamagecausedbytheuntimelynotificationduringtheperformanceofthecontract.双方确定，在本合同有效期内，甲方指定为甲方项目联 系人，乙方指定为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并

11、undredandtwentythousanddo llarstopartyb;乙方整个初步方案通过后，甲方支付乙方12万美元；4.3Afterselectingfoundary,partyAshallpayonehundredandfiftythousanddollarstopartyb;选定晶圆厂后，甲方支付乙方15万美元；4.4Afterprovidingthedesignsolutionandsimulatedresults,partyAshallpaythreehundredthousanddollarstoparty b;提供设计方案及模拟结果后，甲方支付乙方30万美元；4.5Af

12、terprovidingverificationcircuitsandqualified,partyAshallpayeighthundredandseventythousanddollarst opartyb.测试电路提供后并验证了电路后，甲方支付乙方87万美丿元。Article5lnfringementsandconfidentiality第五条侵权和保密第10页共 18 页5.1partybguaranteesthatthesolutionsuppliedbyeachpartywithoutanyinterferenceorchargefromanythirdpart yncaseofa

13、nyinterferenceorchargefromathirdparty,theyshallbehandledbyeachpartyandthethirdparty.theresponsibilityandloss,eitherlegallyoreconomically,shallbebornebypartyb.乙方保证所提供的总体方案不受任何第二者干涉和指 控。 如果发生第三者干涉和指控，则由乙方负责同第三者进 行交涉，并由其承担法律上和经济上的全部责任和损失。5.2Afterterminationofthecontractterm,partyAshallstillhavetheright
