completelyeffectiverighttodisposeofthesaidequity.2.PartyBguaranteestopayPartyAthepriceofequitytransferinaccordancewiththestipulationshereof.3.PartyA’stransferoftheequityhasbeenapprovedbythecompetentauthorities,theProvincialTelecomIndustrialGroupCo.Ltd.andtheProvincialTelecomCo.Ltd.4.PartyCguaranteesthatitsguaranteeissuehereinhasbeenapprovedbyitscompetentdepartments.VII.DisputeSettlementPartyAandPartyBshallbyfriendlyconsultationresolvethedisputesconcerningthevalidity,performance,default,rescission,indemnityandsoonhereof.Wherethedisputesfailtoberesolvedwithinsixtydaysafterthedisputesoccur,bothPartiesagreetosubmitthedisputestothearbitrationof_________CityArbitrationCommitteeandthearbitrationshallbeconductedin_________inaccordancewiththearbitrationproceduresofthesaidCommittee.ThearbitralawardsshallbefinalandbindinguponbothParties.Duringthearbitration,theotherclauseshereofshallcontinuetobeperformedexceptthedisputedpartshereof.VIII.ApplicationofLawThisEquityTransferAgreementshallbegovernedbythelawsandregulationsofP.R._________.IX.SupplementaryProvisions1.OnlyupontheformationofawrittenagreementthereonaftertheapprovalofPartyA,PartyBandPartyC,canthisAgreementbemodified,amendedorrescinded.2.ThisAgreementshallbeexecutedonlyafteritissignedandsealedbytherepresentativesauthorizedbyPartyA,PartyBandPartyCandafterthefirstsumof_________YuanispaidtotheaccountdesignatedbyPartyA;thisAgreementshallgointoeffectuponthe
