外贸英文商务合同范本

InternationalTradeBusinessContract

ThisInternationalTradeBusinessContract(hereinafterreferredtoas"theContract")ismadeandenteredintoonthis[insertdate]byandbetween:

PartyA:[insertnameofthecompany],acompanydulyorganizedandexistingunderthelawsof[insertcountry],withitsprincipalplaceofbusinessat[insertaddress],representedby[insertnameandpositionoftherepresentative].

PartyB:[insertnameofthecompany],acompanydulyorganizedandexistingunderthelawsof[insertcountry],withitsprincipalplaceofbusinessat[insertaddress],representedby[insertnameandpositionoftherepresentative].

BothPartyAandPartyBarehereinaftercollectivelyreferredtoas"theParties"andindividuallyas"Party."

WHEREAS,PartyAisengagedinthebusinessof[insertdescriptionofPartyA'sbusinessactivities],andPartyBisengagedinthebusinessof[insertdescriptionofPartyB'sbusinessactivities].

WHEREAS,thePartiesdesiretoestablishamutuallybeneficialbusinessrelationshipandtodefinethetermsandconditionsgoverningtheirbusinesstransactions.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:

1.ScopeofAgreement

1.1PartyAagreestosellanddelivertheproductsspecifiedinAppendixA(ProductList)toPartyB,andPartyBagreestopurchasesaidproductsfromPartyA,subjecttothetermsandconditionssetforthinthisContract.

2.ProductSpecifications

2.1Thespecifications,quantities,qualitystandards,packagingrequirements,anddeliverytermsoftheproductsshallbeassetforthinAppendixA.

3.PriceandPaymentTerms

3.1ThepriceoftheproductsshallbeasagreeduponbythePartiesandspecifiedinAppendixA.

3.2PaymentshallbemadebyPartyBtoPartyAvia[insertpaymentmethod]within[insertnumber]daysfromthedateofdelivery.

4.Delivery

4.1PartyAshalldelivertheproductstoPartyBattheagreed-upondestination,inaccordancewiththedeliverytermsspecifiedinAppendixA.

4.2PartyAshallusereasonableeffortstoensuretimelydeliveryoftheproducts,subjecttoanyforcemajeureeventsorcircumstancesbeyonditscontrol.

5.QualityControlandInspection

5.1PartyAshallensurethattheproductsmeetthequalitystandardsspecifiedinAppendixA.

5.2PartyBshallhavetherighttoinspecttheproductsupondeliveryandrejectanynon-conformingproducts.PartyBshallpromptlynotifyPartyAinwritingofanynon-conformitiesfoundduringtheinspection.

6.IntellectualPropertyRights

6.1EachPartyshallretainownershipofitsrespectiveintellectualpropertyrights.

6.2PartyBshallnotusePartyA'strademarks,logos,orcopyrightedmaterialswithoutobtainingpriorwrittenconsent.

7.Confidentiality

7.1ThePartiesshallkeepconfidentialallinformationdisclosedbyonePartytotheotherPartyduringthecourseoftheirbusinessrelationship.

7.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

8.Termination

8.1EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyintheeventofamaterialbreachofanyprovisionofthisContract.

8.2Upontermination,thePartiesshallfulfillanyoutstandingobligationsandsettleanyoutstandingpayments.

9.GoverningLawandDisputeResolution

9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[insertgoverninglaw].

9.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.IfthePartiesfailtoreacharesolutionwithin[insertnumber]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[insertarbitrationinstitution].

10.EntireAgreement

10.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten,relatingtothesubjectmatterhereof.
