中英文合资合作经营协议书乙方：合资经营协议0心整理，用心做精品1心整理，用心做精品合资经营书第一章总则 有限公司(以下简称甲方)与公司(以下简称乙方)，依据国家有关第二章合资双方第一条本合同及合资公司各方为： (一)甲方：是一家依照国家法律成立并存在的公司，在号码：职务： (二)乙方：公司是一家依照国家法律成立并存在的公司，号码：2心整理，用心做精品职务：第三章成立合资经营公司 公务第四章合作公司宗旨、经营范围和合作项目3心整理，用心做精品 (一)运用甲方在的经营管理能力及营销资源，实现乙方供应货物在非洲市场 (二)借助乙方的强大后台供应链整合能力，提升合作平台在非洲市场的市场及 (三)甲乙双方按照本合同约定承担经营责任，共享经营利润。第五章投入资本及股份分配比例 (一)合资公司投入资本视实际需要。 (二)甲方以经营团队及合资公司前段销售运营所需的所有行政、营销费用为出 (三)乙方以货物到达目的市场仓库的所有供应链环节的成本费用(货物价值增长，占合资公司股份的51%。第十二条在乙方为品牌建设投入费用的前提下，产品的商标由乙方享有。甲方不得在未经对方同意的情况下在非洲其他国家私自抢注商标或使用商标从事与合资公司4心整理，用心做精品第十三条合资公司的到岸成本只包括货物的供应链环节所发生的成本费用(货物制造成本(包含相关融资成本)+国内拖车费+出口报关费用+海运费+到港的清关税费+目的港拖车费用＋仓储)，其他成本费用不得计入合资公司，而应该由乙方承担； (1)甲乙双方按合资公司每单销售毛利的50%计算分成，即甲方得销售毛利 (2)甲方有权审核乙方提供的所有供应链环节的成本数据，并与市场比较分 (3)乙方保证按时、按质、按量及合理的制造成本供货给合资公司，甲方保 anageranddeputygeneralmanagersshallbeappointedbytheboardofdirectors.Article21Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthejointventurecompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.Article22Incaseofgraftorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytime.Article23Accordingtotheoperationandmanagementofthejointventure,thefinancialadministratorwhoinchargeofthemanagementofthejointventurefinance,willbeappointedbyPartyB.PartyAcanappointspecially-assignedpersondotheinspectionsandauditsofthefinanceofthejointventure.Thefinancialdepartmentshouldprovidecompanybusinessreporttobothpartiestermly.Chapter9LaborManagementArticle24Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthejointventurecompanyshallbedrawnupbetweenthejointventurecompanyandTheboardofdirectorsofthejointventurecompanyasawhole.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.Article25Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.sunderKenyandregulations心整理，用心做精品undsthethecompany.Article28Thecooperativeventurecompanyshallsetupaccountdepartment,makingaccountingsystemaccordingtorelativeregulations.ooperativeventurecompanyhecooperativeventurecompanyshallbethethecooperativeventurecompanyisissuedfthedurationproposedbyonepartyandofdirectorsshallbesubmittedtothetrustedbyitsixmonthspriortotheexpirydateofthejointventure.entureperiodPartyBcannotstopsupplythejeureIfthePartyBcannotsupplythegoodsindinformthePartyAdaysinadvanceotherwiseerativeventuretimesofthedamagesforitstionorrwithinfiveyearsofterminationoftheshallnotengagesamebusinessinthesametoPartyAifviolatestureperiodPartyAshouldactivelyexploretheonofannualbusinessobjectivesofthealesrevenueprofitcashIfthePartyAactualntinuouslyinthreemonthnotforthereasonrighttostopsupplythegoodsandhaverighttoartyAactualannualtargetsreachedbelownotPartyBhastherighttoresourcethereturnofrcesmarketingresourcesbrandresourcesentureownedbythecooperativeventurenturedurationPartyAcannotusethoselatedtothebusinessofcooperativeventureinatethecooperativeventureduetoitsownemarketwithinyearsouldcompansatetimesofitsturnovertoPartyBifviolates.Chapter12TheDisposalofAssetsaftertheExpirationoftheDurationexpirationthe心整理，用心做精品yAandPartyBaccordingtotheproportiontotheirsharesofthecooperativeventurecompany.Chapter13TheAmendment,AlterationandTerminationoftheContractArticleArticle33TheamendmentofthecontractorotherappendicesshallcomeintoforceonlyafterawrittenagreementhasbeensignedbyPartyAandPartyBandapprovedbytheoriginalexaminationandapprovalauthority.Article34Incaseofinabilitytofulfillthecontractortocontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeure,thedurationofthejointventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthority.Chapter14LiabilityforBreachofContractArticle35Shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.Theotherpartyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamages.IncasePartyAandPartyBofthecooperativeventurecompanya
