HunanPengDingsupplychainco.,ltd.Thesupplychainserviceagreement-AgentPurchasing供应链服务协议（代理采购）SupplychainserviceProviderName(Company):HunanPengDingsupplychainco.,ltd.供应链名称：湖南鹏鼎供应链有限公司ServiceProviderAddress:No.3,3F,eastsidecomplex,HIgh-speedsouthstationsquare,Wanbaoavenue,Louxingdistrict,Loudicity，Hunan,China供应链地址：中国湖南省娄底市娄星区万宝大道高铁南站广场东侧综合体3楼3号Client’sName(Client):客户名称：Client’sAddress:客户地址：EffectiveDate:生效日期：Definitions:定义：1.Client:TheClientofthisagreementrefersinparticulartoAfricancustomerswhowishtopurchasegoodsfromChina客户：本协议中的客户特别指欲从中国购买货物的非洲客人。2.Suppliers:thesuppliersofgoodsagentpurchasedbyCompanyforClient,Companyshallhelpfortheauditofthesupplier'senterprisequalification,capacity,qualityandothermatters.2.供应商：供应链为客户代理采购各类商品时涉及到的产品供货者,供应链应负责协助审核供货商企业资质，产能，质量等事宜）Servicescontent：SupplychainserviceprovidedbyCompany:供应链提供的服务有：Agentpurchasing：AccordingtoClient'sdemand,Companypurchaseallkindsofgoodswithhighqualityandreasonableprice,andactivelyrecommendhigh-qualityChineseproductstoClient,Italsoincludesthefollowingservices.CompanyshallintroduceandaccompanyClienttovisittheChineseSuppliersforcommunication.CompanyshouldactivelyrecommendallkindsofcorrespondingtalentsinChinatoClient,andcompletetechnicalsupportandguidanceeffectively.Companyshallrecommendthird-partyinternationalinspectionagenciestocompletetheinspectionworkandissuevalidcertificatesasrequiredbyClient.1.代理采购：根据客户需求代理采购各类物美价廉商品，且主动将中国优质产品推荐给客户，同时还包括以下服务。1）供应链应引见及陪同客户到中国供货商处看厂沟通交流。2）供应链应积极推荐中国各类相应人才给客户，有效完成技术支持及辅导。3）供应链负责协助安排第三方国际验货机构，按客户要求完成验货工作并且出具有效证书。2.Expoortservices:includinginternationalfreight(land/sea/airfreight),warehousing,customsdeclaration,allkindsofimportandexportgoodsinvolvedintheinternationalapproval,certification,internationalsettlement,Coordinateafter-salesservice,tomakesureClientcanreceivegoodssmoothlyandintimeandtheproblemofafter-salecanbesettledsmoothlyandintime.2.出口通关服务：包含国际货运（陆运、海运、空运），仓储，报关，各类进出口货物涉及的的国际批文，认证、国际结算、协调售后等服务，确保客户能够顺利及时的收到货物，且售后问题能够及时顺利的解决。3.riskmanagementandlegalserviceandothersupplychainservices.tomakesureClientcancompleteprocurementsafeandrisk-free,andresolvedisputessmoothlyandintime.3.国际贸易风险管理及法律服务等供应链服务，确保客户能够安全，无风险的完成采购，同时及时顺利的解决争端。FeesPayablebyClient:客户需支付的服务费用1.FeesofAgentPurchasing:代理采购服务费Fees:1.5-2%ischargedaccordingtothetotalamountofagentpurchasetransaction.1）2%ischargedaccordingtothetotaltransactionamount，ifthetotalsingleamountofthetransactionislessthanorequalto$100,000.2）1.5%ischargedaccordingtothetotaltransactionamount，ifthetotalsingleamountofthetransactionisexceeds$100,000.收费标准：根据代理采购交易总金额收取1.5%-2%的费用。如果单笔交易总金额小于等于10万美金，则按照交易总金额2%收取服务费。如果单笔交易总金额超过10万美金，则按照交易总金额1.5%收取服务费。2.Thefeesinvolvedinproductinspection,internationalfreighttransportation(landtransportation,seatransportationandairtransportation),warehousing,customsdeclarationandinternationalsettlement，Coordinateafter-salesservice.产品检验，国际货运（陆运、海运及空运）、仓储、报关、国际结算，协调售后服务收费标准。Fees:reimbursedinfull，thespecificcostissubjecttotheactualcosts,andCompanydoesnotbenefitfromit.收费标准：实报实销,具体费用以届时实际产生的金额为准，供应链不再从中获取利润。3.Feesofriskmanagementandlegalservice,andothernewservicestobecreatedbythenthatarenotmentionedabove风险管理及法律服务费用及届时产生的上述没有提到的新的服务。Fees:Separatelyquotedaccordingtospecificsituation.收费标准：根据届时具体情况另行报价。4.TheClientshallpayadepositof$3500USDtothebankaccountofCompany.ThisamountshallberefundedtoClientuponsatisfactionofallthefollowingconditions:1)ClientcompletetheirtransactioninChina.2)ClientreturntotheircountryandsendascannedcopyoftheentryandexitstampdocumentgivenbytheChinaimmigrationduringdepartureattheairport.4.客户需向供应链支付3500美元的保证金。供应链将在客户满足以下所有条件后将保证金全额退还给客户:1)客户在中国完成交易。2)客户返回其国家，并在机场离境时将中国移民局提供的盖有出入境印章文件的扫描件发送给供应链。5.CompanyshallimmediatelyprocessthenecessaryinvitationlettersforClienttoapplyforvisaattheChinaEmbassyintheirCountryafterreceivethedepositpaidbyClient.5.在收到客户支付的定金后，供应链应立即处理必邀请函，以便客户到中国驻该国大使馆申请签证。6.Specificallyagreed：Allservicesinvolvinggoodsthequalityofgoodsandafter-salesresponsibilityarestillassumedbytheactualsupplierofthegoods,andCompanyprovidescoordinationservices.6.特别约定：所有涉及商品的服务，由产品实际供应商提供质量保证及售后服务，供应链都不提供质量保证及售后服务，但供应链提供中间协调服务。Companyconfirmsthat:供应链承诺如下：CompanywillfindthebestresourcesforClientunderthesameconditionsinthefirsttimeafterClientputforwarddemands.1.客户提出需求后，第一时间给客户找同等条件下最优质的资源。2.thefeeschargedbyCompanyisnothigherthantheaveragepriceofsimilarservicesinthemarket.2.收取的服务费用不高于市场同类服务均价。3.fullchainsupportservice,Clientcanrequestatanytimeafterthetransactioniscompleted,andCompanywillprovidecoordinationserviceatanytimeuntiltheproblemissolved.3.全链条支持服务，交易完成后客户随时提出需求，随时提供协调服务，直至需求得到解决。Exclusivity:独家服务权：Clientherebyagreesthat,foraperiodbeforewrittenconfirmationofterminationbybothpartiesfromtheEffectiveDateofthisAgreement,theClientwillnotenterintoanyagreement,transactionorarrangementwithanyofthesuppliers(includingtheiragents,principalsandaffiliatesandotherrelatedParties.)whichCompanyhasintroduced,directlyorindirectly,totheClient,regardlessofwhetheratransactionisconsummatedwithsuchprospectivesuppliersorcustomers.UnlessCompanyagreesthatClientcandirectlyentersintoagreementsandtransactionswithsuppliersorcustomersprovidedbyCompany,andClientpaysthecommissionandfeesinfullinadvanceasagreed.客户同意,本协议生效后至双方书面确认终止本协议前,只要是供应链直接或间接介绍给客户的供应商，无论是否进入实际交易阶段，客户不会直接与这些供应商或购买商(包括这些供应商或购买商的代理人、股东和分公司等)签订任何协议或交易。除非供应链同意客户与供应链介绍的供应商或购买商直接签订协议及交易，同时客户按照约定足额事先支付了佣金及服务费。IfCompanyprovidesagentprocurementandagentsalesservices,theintermediateinternationalfreight,customsdeclaration,internationalsettlement,certificationandothersupplychainservicesmustbeprovidedbyCompanyorathird-partyserviceagnetdesignatedbyCompany.如果供应链提供代理采购及代理销售服务，那么中间涉及的国际货运、报关、国际结算、认证等供应链服务必须由供应链或供应链指定的第三方服务机构提供。IfClientviolatestheaboveprovisionsofthisarticle,CompanywillapplyforlistingClientontheblacklistofChina-africaeconomicandtradeplatform.ClientlistedontheblacklistofChina-africaeconomicandtradeplatformwillnolongerenjoythepreferentialtreatmentprovidedbytheChinesegovernmenttoAfricanenterprises,ChinesesupplierswouldnotdaretodobusinesswithClientforthecreditproblemsofClient,andCompanywillnolongerprovideanyservicestotheblacklistedClient.如果客户违反本协议，供应链将会把客户申请列入中非经贸平台黑名单,列入中非经贸黑名单的客户不再享受中国政府给非洲企业提供的优惠待遇，中国供应商也会因为客户的信誉问题不敢与客户进行交易，后续供应链也不再为列入黑名单的客户提供任何服务。PrivacyDisclosureStatementandConsent:隐私披露同意与声明:CompanymayutilizetheClient’sinformationandalsodisclosethisinformationtootherorganizationstofulfilltheClientneedsidentified.ThetypesoforganizationsCompanymaydiscloseClient’sinformationtoinclude:供应链可以利用客户的信息，并向其他组织披露这些信息，以满足客户的需求。公司可披露客户信息的组织类型包括:BasicinformationofClient,includingbutnotlimitedtoClientname,address,registeredcapital,historicaltransactionswithChina,contactinformation,etc;1、客户的基本信息，包括但不限于公司名称，地址，注册资金，与中国历史交易往来，联系方式等；2.FinancialstatementsofClient;2、客户的财务报表3.OtherinformationneededforCompanyprovidesupplychainservices.3、其他公司提供供应链服务需要的信息。Otherprovisions其他约定：ThisagreementismadeinduplicateinbothChineseandEnglish,IfthereisanyinconsistencyorconflictbetweentheEnglishandChineseversions,theChineseversionshallprevailforallpur
