SalesAgreement

ThisSalesAgreement("Agreement")ismadeandenteredintoonthis[Date](the"EffectiveDate")byandbetween[Seller'sName],withaprincipalplaceofbusinessat[Seller'sAddress](the"Seller"),and[Buyer'sName],withaprincipalplaceofbusinessat[Buyer'sAddress](the"Buyer").Collectivelyreferredtoasthe"Parties."

WHEREAS,theSellerisengagedinthebusinessof[DescriptionofSeller'sBusiness];

WHEREAS,theBuyerwishestopurchasetheProduct(s)asdefinedinSection1ofthisAgreementfromtheSeller;and

WHEREAS,theSelleriswillingtoselltheProduct(s)totheBuyer,subjecttothetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:

1.Product(s)

TheSellershallsellandtheBuyershallpurchasethefollowingproduct(s)(collectivelyreferredtoasthe"Product(s)"):

2.PurchasePriceandPayment

(b)TheSellershallbearallcostsassociatedwithpackaging,insurance,andtransportationoftheProduct(s)untildeliverytotheBuyer.

(c)TheSellershallusecommerciallyreasonableeffortstodelivertheProduct(s)totheBuyerwithin[Numberofdays]daysfromtheEffectiveDate.

4.TitleandRiskofLoss

(a)TitletotheProduct(s)shallpasstotheBuyerupondelivery.

(b)TheriskoflossordamagetotheProduct(s)shallpasstotheBuyerupondelivery,exceptincasesofwillfulmisconductornegligencebytheSeller.

5.Warranties

(a)TheSellerwarrantsthattheProduct(s)shallbefreefromdefectsinmaterialandworkmanshipundernormaluseandmaintenanceforaperiodof[Durationofwarranty]fromthedateofdelivery.

(b)TheSeller'sliabilityunderthiswarrantyisstrictlylimitedtorepairorreplacementofthedefectiveProduct(s),attheSeller'ssolediscretion.

(c)Thiswarrantyshallnotapplytoanydamagecausedbyimproperuse,modification,orunauthorizedrepairoftheProduct(s).

6.LimitationofLiability

(a)INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,PUNITIVE,OREXEMPLARYDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT.

(b)ThemaximumliabilityofeitherPartyunderthisAgreementshallnotexceedthepurchasepricepaidfortheProduct(s).

7.Confidentiality

(a)BothPartiesagreetokeepallnon-publicinformationreceivedfromtheotherPartyconfidentialandshallnotdiscloseorusesuchinformationforanypurposeotherthanfulfillingtheirobligationsunderthisAgreement.

(b)ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[Duration]years.

8.GoverningLawandDisputeResolution

(a)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].

(b)AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationingoodfaithbetweentheParties.Ifthedisputecannotberesolvedbynegotiation,eitherPartymayinitiatelegalproceedingsintheappropriatecourtsof[ApplicableJurisdiction].

9.EntireAgreement

(a)ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,orpractices.

(b)AnymodificationsoramendmentstothisAgreementshallbeinwritingandsignedbybothParties.

[Title]10.ForceMajeure

(a)NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,actsofterrorism,war,strikes,labordisputes,governmentactions,oranyothersimilarevent("ForceMajeureEvent").

(b)IntheeventofaForceMajeureEvent,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandprovidedetailsoftheForceMajeureEvent.

(c)TheaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisAgreementforthedurationoftheForceMajeureEvent.ThetimeforperformanceoftheaffectedParty'sobligationsshallbeextendedforaperiodequaltothedurationoftheForceMajeureEvent.

11.Non-Assignment

(a)ThisAgreementandtherightsandobligationshereunderarepersonaltothePartiesandmaynotbeassignedortransferredwithoutthepriorwrittenconsentoftheotherParty,exceptincasesofmerger,acquisition,orchangeofcontrol.

(b)AnyattemptedassignmentortransferinviolationofthisSection11shallbenullandvoid.

12.Severability

(a)IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsofthisAgreementshallremaininfullforceandeffecttotheextentpermittedbylaw.

(b)ThePartiesshallnegotiateingoodfaithtoreplacetheinvalid,illegal,orunenforceableprovisionwithavalidprovisionthatachievestheintendedeconomiceffectoftheinvalid,illegal,orunenforceableprovision.

13.Notices

(a)AnynoticeorcommunicationrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeliveredasfollows:

-IftotheSeller:[Seller'sAddress]

-IftotheBuyer:[Buyer'sAddress]

(b)Noticesmaybedeliveredinperson,byregisteredmail,orbyareputablecourierservice.Noticesdeliveredinpersonshallbedeemedreceivedupondelivery.Noticessentbyregisteredmailorbycourierserviceshallbedeemedreceivedonthefifthbusinessdayfollowingthedateofmailing.

14.Waiver

(a)ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofth
