B.GENERALCONDITIONS

Art.1GENERAL

1.1TheseGeneralConditionsareintendedtobeappliedtogetherwiththeSpecificConditions(partA)ofthe

InternationalSaleContract(ManufacturedGoodsIntendedforResale),buttheymayalsobeincorporatedon

theirownintoanysalecontract.WheretheseGeneralConditions(PartB)areusedindependentlyofthesaid

SpecificConditions(PartA),anyreferenceinPartBtoPartAwillbeinterpretedasareferencetoanyrelevant

specificconditionsagreedbytheparties.IncaseofcontradictionbetweentheseGeneralConditionsandany

specificconditionsagreeduponbetweentheparties,thespecificconditionsshallprevail.

1.2AnyquestionsrelatingtothisContractwhicharenotexpresslyorimplicitlysettledbytheprovisionscontainedintheContractitself(i.e.theseGeneralConditionsandanyspecificconditionsagreeduponbytheparties)shallbegoverned:

A.bytheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(ViennaConventionof1980,hereafterreferredtoasCISG),and

B.totheextentthatsuchquestionsarenotcoveredbyCISG,byreferencetothelawofthecountrywheretheSellerhashisplaceofbusiness.

1.3Anyreferencemadetotradeterms(suchasEXW,FCA,etc.)isdeemedtobemadetotherelevanttermofIncotermspublishedbytheInternationalChamberofCommerce

1.4AnyreferencemadetoapublicationoftheInternationalChamberofCommerceisdeemedtobemadetotheversioncurrentatthedateofconclusionoftheContract.

1.5NomodificationoftheContractisvalidunlessagreedorevidencedinwriting.However,apartymaybeprecludedbyhisconductfromassertingthisprovisiontotheextentthattheotherpartyhasreliedonthat

conduct.

ART.2CHARACTERISTICSOFTHEGOODS

2.1Itisagreedthatanyinformationrelatingtothegoodsandtheiruse,suchasweights,dimensions,

capacities,prices,coloursandotherdatacontainedincatalogues,prospectuses,circulars,advertisements,

illustrations,price-listsoftheSeller,shallnottakeeffectastermsoftheContractunlessexpresslyreferredtoin

theContract

2.2Unlessotherwiseagreed,theBuyerdoesnotacquireanypropertyrightsinsoftware,drawings,etc.

whichmayhavebeenmadeavailabletohim.TheSelleralsoremainstheexclusiveownerofanyintellectualorindustrialpropertyrightsrelatingtothegoods.

ART.3INSPECTIONOFTHEGOODSBEFORESHIPMENT

IfthepartieshaveagreedthattheBuyerisentitledtoinspectthegoodsbeforeshipment,theSellermustnotifytheBuyerwithinareasonabletimebeforetheshipmentthatthegoodsarereadyforinspectionattheagreedplace.

ART.4PRICE

4.1Ifnopricehasbeenagreed,theSeller'scurrentlistpriceatthetimeoftheconclusionoftheContractshallapply.Intheabsenceofsuchacurrentlistprice,thepricegenerallychargedforsuchgoodsatthetimeoftheconclusionoftheContractshallapply.

4.2Unlessotherwiseagreedinwriting,thepricedoesnotincludeVAT,andisnotsubjecttopriceadjustment.

4.3ThepriceindicatedunderA-2(contractprice)includesanycostswhichareattheSeller'scharge

accordingtothisContract.However,shouldtheSellerbearanycostswhich,accordingtothisContract,arefortheBuyer'saccount(e.g.fortransportationorinsuranceunderEXWorFCA),suchsumsshallnotbeconsideredashavingbeenincludedinthepriceunderA-2andshallbereimbursedbytheBuyer.

ART.5PAYMENTCONDITIONS

5.1Unlessotherwiseagreedinwriting,orimpliedfromapriorcourseofdealingbetweentheparties,

paymentofthepriceandofanyothersumsduebytheBuyertotheSellershallbeonopenaccountandtimeofpaymentshallbe30daysfromthedateofinvoice.Theamountsdueshallbetransferred,unlessotherwise

agreed,byteletransmissiontotheSeller'sbankintheSeller'scountryfortheaccountoftheSellerandtheBuyershallbedeemedtohaveperformedhispaymentobligationswhentherespectivesumsduehavebeenreceivedbytheSeller'sbankinimmediatelyavailablefunds.

5.2Ifthepartieshaveagreedonpaymentinadvance,withoutfurtherindication,itwillbeassumedthatsuchadvancepayment,unlessotherwiseagreed,referstothefullprice,andthattheadvancepaymentmustbe

receivedbytheSeller'sbankinimmediatelyavailablefundsatleast30daysbeforetheagreeddateofdeliveryortheearliestdatewithintheagreeddeliveryperiod.Ifadvancepaymenthasbeenagreedonlyforapartofthecontractprice,thepaymentconditionsoftheremainingamountwillbedeterminedaccordingtotherulesset

forthinthisarticle.

5.3Ifthepartieshaveagreedonpaymentbydocumentarycredit,then,unlessotherwiseagreed,theBuyermustarrangeforadocumentarycreditinfavouroftheSellertobeissuedbyareputablebank,subjecttothe

UniformCustomsandPracticeforDocumentaryCreditspublishedbytheInternationalChamberofCommerce,andtobenotifiedatleast30daysbeforetheagreeddateofdeliveryoratleast30daysbeforetheearliestdatewithintheagreeddeliveryperiod.Unlessotherwiseagreed,thedocumentarycreditshallbepayableatsightandallowpartialshipmentsandtranshipments.

5.4Ifthepartieshaveagreedonpaymentbydocumentarycollection,then,unlessotherwiseagreed,documentswillbetenderedagainstpayment(D/P)andthetenderwillinanycasebesubjecttotheUniformRulesforCollectionspublishedbytheInternationalChamberofCommerce.

5.5Totheextentthatthepartieshaveagreedthatpaymentistobebackedbyabankguarantee,theBuyeristoprovide,atleast30daysbeforetheagreeddateofdeliveryoratleast30daysbeforetheearliestdate

withintheagreeddeliveryperiod,afirstdemandbankguaranteesubjecttotheUniformRulesforDemand

GuaranteespublishedbytheInternationalChamberofCommerce,orastandbyletterofcreditsubjecteithertosuchRulesortotheUniformCustomsandPracticeforDocumentaryCreditspublishedbytheInternational

ChamberofCommerce,ineithercaseissuedbyareputablebank.

ART.6INTERESTINCASEOFDELAYEDPAYMENT

6.1Ifapartydoesnotpayasumofmoneywhenitfallsduetheotherpartyisentitledtointerestuponthatsumfromthetimewhenpaymentisduetothetimeofpayment.

6.2Unlessotherwiseagreed,therateofinterestshallbe2%abovetheaveragebankshort-termlendingratetoprimeborrowersprevailingforthecurrencyofpaymentattheplaceofpayment,orwherenosuchrateexistsatthatplace,thenthesamerateintheStateofthecurrencyofpayment.IntheabsenceofsucharateateitherplacetherateofinterestshallbetheappropriateratefixedbythelawoftheStateofthecurrencyof

payment.

ART.7RETENTIONOFTITLE

Ifthepartieshavevalidlyagreedonretentionoftitle,thegoodsshallremainthepropertyoftheSelleruntilthecompletepaymentoftheprice,orasotherwiseagreed.

ART.8CONTRACTUALTERMOFDELIVERY

Unlessotherwiseagreed,deliveryshallbe"ExWorks"(EXW).

ART.9DOCUMENTS

Unlessotherwiseagreed,theSellermustprovidethedocuments(ifany)indicatedintheapplicableIncotermor,ifnoIncotermisapplicable,accordingtoanypreviouscourseofdealing.

ART.10LATE-DELIVERY,NON-DELIVERYANDREMEDIESTHEREFOR

10.1Whenthereisdelayindeliveryofanygoods,theBuyerisentitledtoclaimliquidateddamagesequalto0.5%orsuchotherpercentageasmaybeagreedofthepriceofthosegoodsforeachcompleteweekofdelay,providedtheBuyernotifiestheSellerofthedelay.WheretheBuyersonotifiestheSellerwithin15daysfromtheagreeddateofdelivery,damageswillrunfromtheagreeddateofdeliveryorfromthelastdaywithintheagreedperiodofdelivery.WheretheBuyersonotifiestheSellerafter15daysoftheagreeddateofdelivery,damageswillrunfromthedateofthenotice.Liquidateddamagesfordelayshallnotexceed5%ofthepriceofthedelayedgoodsorsuchothermaximumamountasmaybeagreed.

10.2IfthepartieshaveagreeduponacancellationdateinBoxA-9,theBuyermayterminatetheContractbynotificationtotheSellerasregardsgoodswhichhavenotbeendeliveredbysuchcancellationdateforany

reasonwhatsoever(includingaforcemajeureevent).

10.3Whenarticle10.2doesnotapplyandtheSellerhasnotdeliveredthegoodsbythedateonwhichtheBuyerhasbecomeentitledtothemaximumamountofliquidateddamagesunderarticle10.1,theBuyermaygivenoticeinwritingtoterminatetheContractasregardssuchgoods,iftheyhavenotbeendeliveredtotheBuyerwithin5daysofreceiptofsuchnoticebytheSeller.

10.4IncaseofterminationoftheContractunderarticle10.2or10.3theninadditiontoanyamountpaidorpayableunderarticle10.1,theBuyerisentitledtoclaimdamagesforanyadditionallossnotexceeding10%ofthepriceofthenon-deliveredgoods.

10.5Theremediesunderthisarticleareexclusiveofanyotherremedyfordelayindeliveryornon-delivery.

ART.11NON-CONFORMITYOFTHEGOODS

11.1TheBuyershallexaminethegoodsassoonaspossibleaftertheirarrivalatdestinationandshallnotifytheSellerinwritingofanylackofconformityofthegoodswithin15daysfromthedatewhentheBuyerdiscoversoroughttohavediscoveredthelackofconformity.InanycasetheBuyershallhavenoremedyforlackof

conformityifhefailstonotifytheSellerthereofwithin12monthsfromthedateofarrivalofthegoodsattheagreeddestination.

11.2GoodswillbedeemedtoconformtotheContractdespiteminordiscrepancieswhichareusualinthe

particulartradeorthroughcourseofdealingbetweenthepartiesbuttheBuyerwillbeentitledtoanyabatementofthepriceusualinthetradeorthroughcourseofdealingforsuchdiscrepancies.

11.3Wheregoodsarenon-conforming(andprovidedtheBuyer,havinggivennoticeofthelackofconformityincompliancewitharticle11.1,doesnotelectinthenoticetoretainthem),theSellershallathisoption:

(a)replacethegoodswithconforminggoods,withoutanyadditionalexpensetotheBuyer,or

(b)repairthegoods,withoutanyadditionalexpensetotheBuyer,or

(c)reimbursetotheBuyerthepricepaidforthenon-conforminggoodsandtherebyterminatetheContractasregardsthosegoods.

TheBuyerwillbeentitledtoliquidateddamagesasquantifiedunderarticle10.1foreachcompleteweekofdelaybetweenthedateofnotificationofthenon-conformityaccordingtoarticle11.1andthesupplyofsubstitutegoodsunderarticle11.3(a)orrepairunderarticle11.3(b)above.Suchdamagesmaybeaccumulatedwithdamages(ifany)payableunderarticle10.1,butcaninnocaseexceedintheaggregate5%ofthepriceofthosegoods.

11.4IftheSellerhasfailedtoperformhisdutiesunderarticle11.3bythedateonwhichtheBuyerbecomes

entitledtothemaximumamountofliquidateddamagesaccordingtothatarticle,theBuyermaygivenoticein

writingtoterminatetheContractasregardsthenon-conforminggoodsunlessthesupplyofreplacementgoods

ortherepairiseffectedwithin5daysofreceiptofsuchnoticebytheSeller.

11.5WheretheContractisterminatedunderarticle11.3(c)orarticle11.4,theninadditiontoanyamountpaidorpayableunderarticle11.3asreimbursementofthepriceanddamagesforanydelay,theBuyerisentitledtodamagesforanyadditionallossnotexceeding10%ofthepriceofthenon-conforminggoods.

11.6WheretheBuyerelectstoretainnon-conforminggoods,heshallbeentitledtoasumequaltothedifferencebetweenthevalueofthegoodsattheagreedplaceofdestinationiftheyhadconformedwiththeContractandtheirvalueatthesameplaceasdelivered,suchsumnottoexceed15%ofthepriceofthosegoods.

11.7Unlessotherwiseagreedinwriting,theremediesunderthisarticle11areexclusiveofanyotherremedyfornon-conformity.

11.8Unlessotherwiseagreedinwriting,noactionforlackofconformitycanbetakenbytheBuyer,whetherbeforejudicialorarbitraltribunals,after2yearsfromthedateofarrivalofthegoods.Itisexpresslyagreedthataftertheexpiryofsuchterm,theBuyerwillnot
