RECORDOFEXTENSIONSTOTHELABOURCONTRACT

ThisAgreementissignedon[dd/mm/yy]bythetwoPartieslistedbelow.

PartyA:

[InsertNameofCompany],alegallyexistingcompanyregisteredandestablishedinthePeople’sRepublicofChina,withitsregisteredaddressat[Address].PartyAmayalsobereferredtobelowasthe“Company”.

PartyB:

[InsertNameofEmployee],acitizenofthePeople’sRepublicofChina,withIdentityCardNo.[],andresidingat[Address].PartyBmayalsobereferredtobelowasthe“Employee”.

PartyAherebyemploysPartyBasacontractemployee.PartiesAandBsignthisContractandestablishemploymentrelationsonthebasisofequalandvoluntaryagreementandinaccordancewiththeLabourLawofthePeople’sRepublicofChinaandtheprovisionsofotherrelevantlawsandregulations.

TermofContract

ThePartiesagreetotheContractTermstipulatedbysub-Article[number]below.

Fixedterm:beginningon[dd/mm/yy],endingon[dd/mm/yy],beingaperiodof[]yearsand[]months;

Indefiniteterm:beginningon[dd/mm/yy]andendingwiththeoccurrenceofconditionsofterminationasprescribedbylaworstipulatedinthisContract;

Termcorrespondingtothecompletionofaprescribedamountofwork:beginningon[dd/mm/yy]andcontinuinguntilthecompletionofthedutiesof[].CompletionofdutiesandterminationofthisContractshallbeindicatedby[].

PartiesAandBagreethatthefirst[]monthsoftheContractTerm,from[dd/mm/yy]to[dd/mm/yy],shallbeaprobationperiod.BoththeregulationsofShanghaiandBeijingontheadministrationoflabourcontainmoreexplicitprovisionsonthelengthoftheprobationperiod:

Shanghai:Ifalabourcontracthasatermoflessthan6months,aprobationperiodisnotpermitted;ifthetermislongerthan6monthsbutlessthan1year,theprobationperiodmaynotexceed1month;ifthetermislongerthan1yearbutlessthan3years,theprobationperiodmaynotexceed3months;andifthetermislongerthan3years,theprobationperiodmaynotexceed6months.

Beijing:Ifthetermofalabourcontractislessthan6months,theprobationperiodmaynotexceed15days;ifthetermislongerthan6monthsbutlessthan1year,theprobationperiodmaynotexceed30days;ifthetermislongerthan1yearbutlessthan2years,theprobationperiodmaynotexceed60days;andifthetermislongerthan2years,theprobationperiodmaynotexceed6months.

If,duringtheprobationperiod,theCompanyfindsthattheEmployeefailstosatisfytheconditionsforemployment,theCompanymaycancelthisContract.AftertheEmployeehascompletedthehandoverofworkaccordingtotheCompany’sinstruction,theCompanyshallpaytheEmployeewagescommensuratetotheamountofworkperformedduringsuchmonth.

(b) Duringtheprobationperiod,theEmployeemaygive[]days’priorwrittennoticetotheCompanyandcancelthisContractupondulycompletionofthehandoverofwork.TheCompany,afterdeductingthetrainingfeesoftheEmployee,shallpaytheEmployeewagescommensuratetotheamountofworkperformedduringsuchmonth.

(c) WheretheContractiscancelledduringtheprobationperiod,theEmployee,withrespecttothecommercialsecretsoftheCompanymadeknowntoitduringtheprobationperiod,shallstillberequiredtocomplywiththeconfidentialityobligationsagreedintheConfidentialityandNon-CompetitionAgreement.

1.3 IfeitherPartytothisContractdesirestoextendthisContract,itshallnotifytheotherPartyofsuchintention30dayspriortotheexpirationofthisContract.

1.4 IftheCompanyandtheEmployeeenterintoanEmployeeTrainingContract,thisLabourContractshallbeextendedautomaticallyinaccordancewiththerelevantprovisionsoftheEmployeeTrainingContract.

JobDescription

Pursuanttoitsoperationalandproductionneeds,theCompanyemploystheEmployeetoholdthepositionof[jobtitle]andperformtheworkof[jobdescription]in[nameofdepartment].TheworkscopeandresponsibilitiesoftheEmployeeshallbe[workscopeandresponsibilities].

TheCompanymaymodifytheEmployee’sjobdescriptionbasedonitsoperationalandproductionneedsandinaccordancewiththeEmployee’sprofessionalabilities,workperformanceandphysicalcondition.

TheEmployeeshallmeettherequirementsofthispositioninadiligentandresponsiblemanner.

Remuneration

TheEmployeeshallreceiveasalaryof[]Yuan/monthduringtheprobationperiod.Uponcompletionoftheprobationperiod,theEmployee’ssalaryshallbe[]Yuan/month.

Thepayrolldateshallbethe[date]ofeachmonth.Ifsuchdatefallsonapublicholiday,itshallbethefirstsucceedingbusinessdayimmediatelyfollowingthepublicholiday.

IftheEmployeehasfulfilledonefullyearofemploymentwiththeCompany,theCompany,basedontheperformanceofitsbusinessandtheEmployee,shallpaytheEmployeepreviousyears’bonuseveryyearin[month]accordingtotheoperationalbenefitsoftheCompany.SpecificcriteriaconcerningbonuspaymentshallbedeterminedbytheBoard.

TheCompanyshallreviewtheEmployee’ssalaryandmakeadjustmentsaccordinglyeveryyearin[month]basedontheEmployee’sworkperformanceandtheCompany’sprofitsofpreviousyear.

IftheCompanydecidestoadjusttheEmployee’ssalary,itshallnotifytheEmployeeinwritingofsuchadjustmentandthebasisonwhichsuchadjustmentismade;

ThesalaryadjustmentshalltakeeffectinthemonthfollowingtheEmployeehasbeendulynotifiedbytheCompany.

IftheEmployeedisagreeswiththesalaryadjustment,itmaysubmitawrittenreporttotheGeneralManagerandPersonnelManageroftheCompanywithinsevendaysuponreceiptofthenotificationtorequestthemtosubmitthecasetotheBoardforresolution.DuringtheBoardresolutionperiod,theEmployeeshallbepaidtheadjustedsalary;

IftheBoardoftheCompanydecidestoreadjusttheEmployee’ssalary,suchadjustmentshallbetracedbacktotheadjustmenttimestatedinArticle3.4(b).ThesalarydifferenceoftheEmployeeresultedfromtheperiodbetweentheactualadjustmentmonthandthemonthdeterminedbytheBoarduponreadjustmentshallbepaidinthesalaryofthemonthimmediatelyfollowingthemonthwherereadjustmenthasbeenmadebytheBoard.

TheEmployeeshallpaypersonalincometaxasrequiredbythetaxauthority,acorrespondingamountshallbewithheldbytheCompanyfromtheEmployee’smonthlysalaryandpaidtotherelevanttaxauthorityontheEmployee’sbehalf.

TheCompanyshallpurchasesocialinsuranceChinacurrentlyhasestablishedthefollowingkindsofsocialinsurance:RetirementInsurance,IndustrialAccidentInsurance,UnemploymentInsurance,MedicalInsuranceandFamilyPlanningInsurance.However,theremayberegionaldifferencesinthekindsofinsurancethataremandatedandintherulesgoverningtheproportionofinsurancepremiumstobebornebyeachoftheemployerandtheemployee.

fortheEmployeeasprescribedbylaw.TheEmployeeshallpaytheportionofsocialinsurancepremiumsforwhichs/heisindividuallyresponsibleundertherelevantlawsandregulations,acorrespondingamountshallbewithheldbytheCompanyfromtheEmployee’smonthlysalaryandpaidtothesocialsecurityauthorityontheEmployee’sbehalf.

InadditiontoArticles3.5and3.6above,theCompanyshallhavetherighttowithholdotheramountsfromtheEmployee’ssalaryinaccordancewithnationallawsandregulations.

IntheeventthattheCompanyexperiencesoperationaldifficultiesorsuffersfinanciallosses,theCompanyshallhavetherighttoadjusttheEmployee’ssalaryafterdiscussionandconsultation.

WorkingHours

BasedonthenatureoftheEmployee’sposition,theEmployee’sworkinghoursare:

MondaytoFriday:[specificworkinghours],with[ ]houroflunchbreak.

IftheEmployee’spositionchangesduringtheContractTerm,theEmployee’sworkinghoursshallbedesignatedaccordingtothenewjobdescription.

TheEmployeeshallenjoynationallydesignatedlegalholidaysandpaidleaves,includingmarriageleave,compassionateleave,homeleaveandfamilyplanningleave.

TheEmployeeshallenjoyallotherholidaysthataredesignatedbytheCompany.

LabourInsurance,allowancesandBenefits

ThecontractingPartiesshallobtainRetirementInsurance,IndustrialAccidentInsurance,UnemploymentInsurance,MedicalInsuranceandFamilyPlanningInsuranceandothertypesofsocialinsurance,paysocialinsurancepremiums,andenjoyallassociatedbenefitsinaccordancewithnational,provincialandmunicipalsocialinsuranceplansrulesIftheEmployeecomesfromaforeigncountryorfromHongKongorMacau,undercurrentChineselaw,suchEmployeeisnotrequiredtoparticipateinanysocialinsuranceschemeandnotentitledtoanysocialinsurancebenefits.

ThecontractingPartiesacknowledgethatsincetheEmployeeisaseniorexecutive,theCompany,basedontheneedsoftheposition,mayadjusttheEmployee’sworkinghoursonawhole.Forthispurpose,theCompanymayprovidethefollowingadditionalallowancestotheEmployee:

(a) Positionallowances:[]Yuan/month;

(b) HousingallowancesUndercurrentChineselaw,theCompanyshallpayhousingfundforitsChineseemployees.TheCompanyandtheemployeeshalleachpaysuchfundatapercentageofnolessthan5%oftheaveragemonthlysalarytheemployeereceivedinthepreviousyear.Theremaybeacertaindifferenceintermsoftheminimumpaymentpercentageamongcitiesandregions.Therefore,theCompanymaynotbenecessarytopayadditionalhousingallowancestoChineseemployees.

(c) Travellingallowances:[]Yuan/month;and

(d) Otherallowances:[]Yuan/month.

IftheEmployeecomesfromotherpartsofChinaandhasfulfilledonefullyearofservicewiththeCompany,theCompanyshallreimbursetheEmployeeforitstravellingexpensesforvisitingrelativesonceayear.SpecificcriteriashallbedeterminedpursuanttotheCompany’spolicy.

WorkingEnvironmentandLabourSafety

TheCompanyshallprovidetheEmployeewithaworkingenvironmentthatcomplieswithnationalregulationsonworkplacehealthandsafety,andshallensurethattheEmployee’sworkingenvironmentishealthyandsafe.

TheCompanyshall,inaccordancewithnationalpolicy,provideprotectiveequipmentandnutritiousfoodfordesignatedkindsofwork.

AwardsandPenalties

TheEmployeeshallstrictlycomplywithandabidebyalllawfullyestablishedcorporaterulesandregulations.

WithoutpriorwrittenconsentoftheCompany,theEmployeeshouldnotreceivemonies,giftsorbenefitsinanyformfromanyclient,cooperativeenterpriseorotherrelevantenterprise.

TheEmployeeshouldhandleitsworkinaloyalandresponsiblemannerduringitsworkinghours.TheEmployeeisnotpermittedtoengageinotherparttimeworkduringworkinghours.

EmployeeswhohaveviolatedcorporaterulesandregulationsshallbedisciplinedbytheCompanyaccordingtoregulations.Outstandingjobperformanceshallberewarded.

ConfidentialityandNon-Competition

TheEmployeeshallmaintaintheconfidentialityofcorporatesecrets,andshallabidebytheCompany’sconfidentialityagreementsonmanufacturingtechnology,marketsandnon-patentedtechnology.TheEmployeemaynotengageinanybusinessoractivitiesthatcompeteswiththeCompany.Specificprovisionsgoverningconfidentialityandnon-competitionarecontainedintheConfidentialityandNon-CompetitionAgreemententeredintobybothParties.

Modification,CancellationandTerminationoftheLabourContract

IftheCompanyrequestsamendmentstotheContractbemadeduetoachangeinobjectivecircumstanceswhichwererelieduponatthetimeofsigningofthisContract,oriftheEmployeerequestsamendmentstotheContractbemadeforpersonalreasons,suchamendmentsmaybemadeuponsevendays’priorwrittennoticetotheotherPartyandafterdiscussionandmutualagreementofbothParties.

IntheeventofrevisionorrevocationoflawsorregulationswhichwererelieduponatthetimeofsigningofthisContract,aPartythatmeetstheconditionsthereforemayunilaterallyamendthisContract.

ThisContractmaybecancelledifthecontractingPartiessoagree.

ThisContractshallbecancelledautomaticallyiftheEmployeeisprosecutedforcriminalliabilityorsubjecttoreformthroughlabour.

TheCompanymaycancelthisContractanddismisstheEmployeewithoutpriornoticeunderanyofthecircumstancessetforthbelow:

whenitbecomesevidentduringtheprobationperiodthattheEmployeedoesnotmeettheconditionsforemployment;

whentheEmployeecommitsaseriousbreachoflabourdisciplineorofcorporaterulesandregulations;

whentheEmployeeisgrosslynegligent,isinvolvedinimproperfinancialdealingsordivulgestheCompany’sbusinesssecrets,causingseriousharmtotheinterestsoftheCompany.

TheCompanymaycancelthisContractaftergiving30days’priorwrittennoticeunderanyofthecircumstancessetforthbelow:

when,duetoillnessornon-work-relatedinjuries,theEmployeeisunabletoperformhis/heroriginaldutiesorisunabletoperformappropriatealternativedutieswhenthedesignatedtreatmentperiodhasended;

whentheEmployeeisincapableofperforminghis/herdutiescompetently,evenaftertraininghasbeenprovidedoradjustmentshavebeenmadetotheEmployee’sjobdescription;

whenchangeshaveoccurredinobjectivecircumstanceswhichwererelieduponatthetimeofsigning,renderingtheoriginalLabourContractimpossibletoimplement,andthetwoPartiesareunabletonegotiateamendmentstothisContract;

whentheCompanyexperiencesseriousoperationaldifficultiesandstaffreductionsarenecessary.

TheCompanymaynotterminateorcancelthisContractordismisstheEmployeeinanyofthecircumstancessetforthbelow:

whentheEmployeeisillorsuffersfromanon-work-relatedinjury,andthedesignatedtreatmentperiodisstillineffect;

whentheEmployeesuffersfromawork-relatedinjuryoroccupationaldiseaseandthemedicalleaveperiodisstillineffect;

whenafemaleemployeeispregnant,inchildbirthorbreast-feedingandneitherArticle9.4norArticle9.5apply;

whenotherlegallyrelevantcircumstancesapply.

Undernormalcircumstances,iftheEmployeewishesthecancelthisContract,s/heshallgive[]days’priorwrittennotice;AccordingtothePRCLabourLaw,thenoticeperiodforcancellingalabourcontractis30days.BoththeregulationsofShanghaiandBeijingontheadministrationoflabourcontractspermitenterprisestosetalongerpriornoticeperiodforemployeeswhohaveanobligationofmaintainingtheconfidentialityoftheenterprise’stradesecrets,providedthatsuchperioddoesnotexceedsixmonths.Furthermore,theRegulationsofBeijingMunicipalityonLabourContractsprovidethat,ifanemployeehascausedtheenterprisetoincurfinanciallossesandthehandlingofsuchcasehasnotbeencompletedoriftheemployeeisliableforbreachofcontractpursuanttohis/herlabourcontract,thecontractmaynotbeterminatedbysuchpriornotice.

however,anexceptiontothisrequirementshallbemadeforanyofthecircumstancessetforthbelow:

whiletheprobationperiodisineffect;

whentheCompanyisunabletopaythesalaryorprovidetheworkingconditionsthatarestipulatedinthisContract;

whentheCompanyusesviolence,threatsorothermeansthatillegallyrestrictpersonalfreedomtocompeltheEmployeetowork.

UnlessstipulatedotherwiseinthisContract,ifeitherPartycancelsorterminatesthisContractwithoutgiving[]days’priorwrittennoticeorifthenoticeperiodisotherwiseinsufficient,thePartyinquestionshallcompensatetheotherPartyanamountequaltotheEmployee’saveragedailywageduringthemonthprevioustothecancellation/terminationoftheContractmultipliedbythenumberofdaysbywhichthenoticeperiodwasdeficient.

IfthisContractiscancelledandtheEmployeehasreceivedtrainingattheCompany’sexpenseduringtheContractTerm,theEmployeeshallabidebytheprovisionsoftheEmployeeTrainingContractinadditiontotheprovisionsofthisContract.

EmploymentrelationsbetweentheCompanyandtheEmployeeshallceaseuponcompletionoftheContractTerm.TheRegulationsofShanghaiMunicipalityonLabourContractsprovidethatalabourcontractmaybeterminatedifthepartiestheretohaveactuallyceasedperformingthecontractforaperiodofthreemonths.

TheEmployeeshallreturnallpropertyanddocumentationbelongingtotheCompanysimultaneouslywiththecancellationorterminationoftheContract.

UponcancellationorterminationofthisContract,theCompanyshallcomplete,withinthedesignatedtimeframe,officialproceduresrelatedtothecancellationorterminationoflabourcontracts.

SeveranceCompensation

IftheCompanycancelsthisContractpursuanttoArticle9.4orArticle9.5,theCompanyshallpaytheEmployeeseverancecompensationasprescribedbytherelevantnational,provincialandmunicipalregulations.UndercurrentChineselaw,companiesarerequiredtopayseverancecompensationequaltoonemonth’ssalaryforeveryfullyearofemployment,withcompensationforpartialyearscalculatedaccordingtotherateforanentireyear,butthetotalamountofcompensationshouldnotexceed12months’salary.Anemployee’ssalaryiscalculatedastheemployee’saveragemonthlysalaryduringthe12monthspriortocancellationofthecontractduringwhichthecompanyhadnormaloperations.

LiabilityforBreachofContract

TherelevantPartyshallbeliableforbreachofcontractunderanyoftheconditionssetforthbelow:

whentheCompanyunilaterallycancelsthisContractinviolationofthetermsofthisContract;

whentheEmployeeisabsentfromdutywithoutleave;

whencircumstancessetforthinArticle9.4orinArticle9.5(b)orinArticle9.5(c)ofthisContractapplytotheEmployee.

IfeitherPartybreachesthisContract,thebreachingPartyshallpaytheotherPartyapenaltyof[]Yuan.ThePeople’sSupremeCourtInterpretationofSomeIssuesRegardingtheApplicationofthe“LabourUnionLawofthePeople’sRepublicofChina”intheTrialofCivilCaseshasthefollowingprovision:WhenaChinesecourthearsacasewherethelabourcontractofaworkeroralabourunionpersonneliscancelledduetohisparticipationintolabourunionactivitiesorperformanceofdutiesundertheLabourUnionLawanddecidestocancelthelabourcontractconcerned,suchcourtshall,asrequestedbytheemployeeinquestion,orderthecompanytopaysuchemployeeseverancecompensationaccordingtorelevantprovisionsandalsoacompensationoftwicetheannualincomeofsuchemployee.

IftheamountofthepenaltystipulatedinArticle11.2isinsufficienttocompensatethelossesincurredbytheotherParty,thebreachingPartyshallpaytheotherPartyanamountequaltotheactuallossesarisingfromsaidbreach.

IntheeventthattheEmployeebreachesthisContract,s/heshallpaycompensationforanytrainingthatwasreceivedattheCompany’sexpense,asstipulatedintheEmployeeTrainingAgreement.

LabourDisputes

IntheeventthatadisputearisesbetweenthecontractingPartiesregardingtheimplementationofthisContractorarisesbecausetheEmployeeisstrickenfromthepayroll,firedordismissedforbreachofdiscipline,saiddisputeshallbesettledaccordingtothecorporatepolicyonlabourdisputes.

Labourdisputesshallberesolved
