1.ProductListandDescription

PartyAagreestosupplythefollowingproducts(the"Products")toPartyBforthepurposeofresale:

2.PriceandPaymentTerms

ThepurchasepricefortheProductsshallbe[Price]per[Unit],totaling[TotalAmount].PartyBshallmakepaymenttoPartyAwithin[numberofdays]afterthedateoftheinvoiceissuedbyPartyA.

3.DeliveryandShipping

PartyAshalldelivertheProductstoPartyB'sdesignatedlocationwithin[numberofdays]afterthereceiptofPartyB'sorder.TheriskoflossordamagetotheProductsshallpasstoPartyBupondelivery.

4.QualityandCompliance

PartyAwarrantsthattheProductsconformtothedescriptionsandspecificationsprovidedbyPartyAandarefreefromanydefectsinmaterialsandworkmanship.PartyAshallberesponsibleforanycostsassociatedwiththerepairorreplacementofdefectiveProducts.

5.MarketingandPromotion

PartyBshalluseitsbesteffortstopromoteandmarkettheProductsinaccordancewiththemarketingplanandstrategiesagreeduponbybothparties.PartyBshallnotuseanyadvertisingorpromotionalmaterialsthatdisparagePartyAortheProducts.

6.Exclusivity

DuringthetermofthisAgreement,PartyBshallhavetheexclusiverighttodistributetheProductsin[Territory].PartyAshallnotdirectlysellorlicensetheProductstoanythirdpartywithintheTerritory.

7.TermandTermination

ThisAgreementshallcommenceontheContractDateandshallcontinuefor[durationoftheagreement].eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticefromtheotherparty.

8.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationinstitution].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
