ContractAgreementforSupplyofGoods

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertSupplierName]("Supplier"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],witharegisteredaddressat[InsertSupplierAddress],and[InsertBuyerName]("Buyer"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],witharegisteredaddressat[InsertBuyerAddress].

1.Goods

1.1Supplieragreestosupplythefollowinggoods(the"Goods")toBuyer:

1.2TheSuppliershallprovidetheGoodsinaccordancewiththespecifications,quantities,andqualitystandardssetforthintheattachedScheduleA.

2.Delivery

2.2TheSuppliershallberesponsibleforthepackaging,labeling,andtransportationoftheGoodstoensuretheirsafedeliveryingoodcondition.

4.Warranties

4.1TheSupplierwarrantsthattheGoodsshallconformtothespecifications,quantities,andqualitystandardssetforthintheattachedScheduleA.

4.2TheSupplierfurtherwarrantsthattheGoodsshallbefreefromanyliens,encumbrances,orthird-partyclaims.

5.Indemnification

5.1TheSuppliershallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,actions,orliabilitiesarisingoutoforinconnectionwithanybreachofthewarrantiessetforthinSection4oranydefectintheGoods.

6.TermandTermination

6.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[InsertTerm],unlessearlierterminatedinwritingbyeitherparty.

6.2EitherpartymayterminatethisAgreementuponwrittennoticeintheeventofamaterialbreachbytheotherpartythatremainsuncuredforaperiodof[InsertCurePeriod].

7.DisputeResolution

7.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.

7.2Ifthepartiesareunabletoresolvethedisputesthroughnegotiations,eitherpartymaysubmitthedisputestothejurisdictionofthecourtslocatedin[InsertJurisdiction].

8.EntireAgreement

8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
