公司借款合同范本日文合同编号：__________BACKGROUNDWHEREAS,theBorrowerrequiresfundsforitsoperationsandothergeneralcorporatepurposes;WHEREAS,theLenderiswillingtolendtotheBorrowertheprincipalamountof[JapaneseYen][insertamount](the"PrincipalAmount")onthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:ARTICLEI.LOANAMOUNTANDTERMS1.1LoanAmount.TheLenderagreestolendtotheBorrowerthePrincipalAmount.1.2LoanTerms.ThePrincipalAmountshallberepaidtheBorrowertotheLenderinaccordancewiththerepaymentschedulesetforthinExhibitAattachedhereto.1.3Interest.TheBorrowershallpayinterestontheoutstandingPrincipalAmountfromthedateofthisContractuntilthedatethePrincipalAmountisfullyrepaid,atanannualinterestrateof[insertinterestrate].1.4Repayment.TheBorrowershallmakemonthlyinstallmentsofprincipalandinteresttogetherinaccordancewiththerepaymentschedulesetforthinExhibitAattachedhereto.ARTICLEII.GUARANTEE2.2GuaranteeLimitation.TheGuarantor'sliabilityunderthisContractshallbelimitedtotheaggregateamountofthePrincipalAmountandinterestthereonoutstandingatanygiventime.ARTICLEIII.CONDITIONSPRECEDENT3.1ExecutionofLoanDocuments.TheobligationsoftheLendertomaketheloancontemplatedthisContractshallbesubjecttothesatisfactionofthefollowingconditionsprecedent:(a)TheexecutionanddeliverytheBorrowerandGuarantorofthisContractandallotherloandocuments;(b)TheexecutionanddeliverytheBorrowerandGuarantorofsuchotherdocumentsastheLendermayreasonablyrequestinordertoevidencethearrangementscontemplatedthisContract;(c)TheaccuracyofallrepresentationsandwarrantiesmadetheBorrowerandGuarantorinthisContract;and(d)TheabsenceofanydefaultorEventofDefault(asdefinedinSection5.1below)havingoccurredorbeingcontinuing.ARTICLEIV.REPRESENTATIONSANDWARRANTIES4.1RepresentationsandWarrantiesoftheBorrower.TheBorrowerrepresentsandwarrantstotheLenderasfollows:(b)PowerandAuthorization.TheBorrowerhasallnecessarypowerandauthoritytoexecute,deliverandperformitsobligationsunderthisContractandallotherloandocuments.(c)NoDefaultorEventofDefault.TheBorrowerisnotindefaultunderanymaterialcontract,agreementorinstrumenttowhichitisaparty,andthereisnoEventofDefaultorbreachofanyterm,covenantoragreementcontainedinthisContractoranyotherloandocument.4.2RepresentationsandWarrantiesoftheGuarantor.TheGuarantorrepresentsandwarrantstotheLenderasfollows:(b)PowerandAuthorization.TheGuarantorhasallnecessarypowerandauthoritytoexecute,deliverandperformitsobligationsunderthisContractandallotherloandocuments.(c)Solvency.TheGuarantorissolventandabletofulfillitsobligationsunderthisContract.ARTICLEV.CONDITIONSSUBSEQUENT5.1ConditionsSubsequent.TheobligationsoftheLendertomaketheloancontemplatedthisContractandtocontinuetomakeadvancestotheBorrowerhereundershallbesubjecttothecontinuingsatisfactionofthefollowingconditionssubsequent:(a)Maintenance一、附件列表：1.ExhibitA–RepaymentSchedule2.ExhibitB–LoanAgreement3.ExhibitC–GuaranteeAgreement4.ExhibitD–RepresentationandWarrantyStatement5.ExhibitE–ConsentandAcknowledgment二、违约行为及认定：1.迟延还款：借款方未按照还款计划及时偿还本金或利息。2.提前还款：借款方未按照合同约定的条件提前偿还本金或利息。3.未履行保证义务：保证方未履行合同约定的保证义务，即未保证借款方的债务得到履行。4.representationsandwarrantiesbreach：借款方或保证方在合同中做出的陈述和保证不符合实际情况。5.违反其他条款：借款方或保证方未履行合同中的其他条款和条件。三、法律名词及解释：1.本金（PrincipalAmount）：借款方从贷款方处借用的初始金额。2.利息（Interest）：借款方为使用本金而支付的费用。3.还款计划（RepaymentSchedule）：规定了借款方偿还本金和利息的时间和金额的计划。4.保证（Guarantee）：保证方对借款方的债务承担责任，确保其得到偿还。5.违约（Default）：借款方或保证方未能履行合同中的条款和条件。四、执行中遇到的问题及解决办法：1.还款困难：如果借款方遇到财务困难，可与贷款方协商，寻求延期还款或重新制定还款计划。2.保证方无力履行：如果保证方无力履行保证义务，借款方和贷款方可协商更换保证方或寻求其他补救措施。3.合同纠纷：如果合同执行中出现纠纷，可通过协商解决，协商不成的，可依法向法院提起诉讼。4.法律变更：如果合同执行期间相关法律法规发生变
