Thefulfillmentofotherconditionsasagreedbothparties.9.2合同的期限Thetermofthiscontractshallbefromtheeffectivedatetothefulfillmentofallcontractualobligations.第十条保密条款10.1保密信息的界定Theconfidentialinformationreferredtointhiscontractincludes,butisnotlimitedto,thefollowing:(1)Businesssecrets,technicaldata,andotherproprietaryinformationoftheparties;(2)Anyotherinformationthatisnotintendedtobedisclosedtothirdparties.10.2保密责任的承担与期限Bothpartiesshallmaintaintheconfidentialityoftheconfidentialinformationandshallnotdiscloseoruseitforanypurposeotherthantheperformanceofthiscontract.Theconfidentialityobligationshallcontinueforaperiodofyearsaftertheterminationorexpirationofthiscontract.第十一条法律适用与争议解决11.1法律适用ThiscontractshallbegovernedthelawsofthePeople'sRepublicofChina.11.2争议解决方式Intheeventofanydisputesarisingoutoforinconnectionwiththiscontract,thepartiesshallfirstseektoresolvethedisputesthroughfriendlynegotiation.Ifthenegotiationfails,thedisputesshallbesubmittedtotherelevantpeople'scourtwithjurisdictionovertheplacewherethesellerislocatedforresolution.第十二条其他约定12.1双方的其他约定内容Anyothermattersthatarenotprovidedforinthiscontractshallbeagreeduponbothpartiesinwriting.第十三条附件13.1附件清单与说明Theattachmentstothiscontractincludethefollowing:(1)Descriptionandspecificationsofthelanduserightsandfactorybuildings;(2)Legaldocumentsandproofsoftheseller'sownershipofthelanduserightsandfactorybuildings;(3)Otherrelevantdocumentsagreeduponbothparties.第十四条签字盖章14.1合同双方的签字盖章处Thiscontractshallbesignedandsealedtheauthorizedrepresentativesofbothpartiesonthedateofthecontract.第二部分：第三方介入后的修正第一条第三方介入的定义与范围1.1第三方介入的定义Forthepurposeofthiscontract,"thirdparty"referstoanyindividual,entity,ororganizationthatisnotthebuyerorseller,andisinvolvedintheperformanceofthiscontract.1.2第三方介入的范围Thethirdpartymaybeinvolvedinvariousaspectsofthiscontract,includingbutnotlimitedto:(1)Facilitationofthetransactionprocess;(2)Provisionofservicesorgoodsrequiredfortheperformanceofthiscontract;(3)Resolutionofdisputesorissuesarisingoutoftheperformanceofthiscontract.第二条第三方的作用与责任2.1第三方的作用Thethirdpartyshallperformitsobligationsasagreeduponinthiscontractandfacilitatethesmoothimplementationofthecontractbetweenthebuyerandseller.2.2第三方的责任Thethirdpartyshallberesponsiblefortheproperperformanceofitsobligationsandshallbeartheliabilityforanybreachofcontractordamagecauseditsfault.第三条第三方与甲乙方的关系3.1第三方与甲乙方的关系Thethirdparty'srelationshipwiththebuyerandsellershallbethatofanindependentcontractor,andneitherpartyshallhaveanyauthoritytobindtheotherpartyinanyway.3.2第三方与甲乙方的划分说明Thethirdpartyshallbesolelyresponsibleforitsownactionsandshallnotbeconsideredanagent,employee,orrepresentativeofeitherthebuyerorseller.第四条第三方介入的程序与条件4.1第三方介入的程序Theprocessforthirdpartyinterventionshallbeasfollows:(1)Thebuyerandsellershallagreeontheneedforthirdpartyintervention;(2)Thepartiesshallselectasuitablethirdpartyandenterintoaseparateagreementwiththethirdparty;(3)Thethirdpartyshallbeginperformingitsobligationsunderthecontract.4.2第三方介入的条件Theconditionsforthirdpartyinterventionmayinclude,butarenotlimitedto:(1)Theneedforspecializedskillsorexpertise;(2)Therequirementforindependentassessmentorverification;第五条第三方介入的合同修正5.1第三方介入的合同修正条件5.2第三方介入的合同修正程序Theprocedureforamendingthecontracttoincludethirdpartyinterventionshallbeasfollows:(1)Thepartyseekingtheamendmentshallsubmitawrittenproposaltotheotherparty;(2)Thepartiesshalldiscussandagreeonthetermsoftheamendment;第六条第三方责任的限制6.1第三方责任的限制Theliabilityofthethirdpartyshallbelimitedtotheextentofitsobligationsunderthiscontract,anditshallnotbeheldresponsibleforanyindirect,consequential,orpunitivedamages.6.2第三方责任限额的确定Thelimitofthethirdparty'sliabilityshallbedeterminedbasedonthenatureandscopeofitsobligations,andshallbeclearlystatedinthecontract.第七条第三方介入的终止与解除7.1第三方介入的终止条件Thethirdpartyinterventionmaybeterminatedunderthefollowingconditions:(2)Theagreementofthepartiestoterminatethethirdparty'sinvolvement;(3)Theoccurrenceofforcemajeureeventsthatmakeitimpossibleforthethirdpartytoperformitsobligations.7.2第三方介入的解除程序Theprocedureforterminatingthethirdpartyinterventionshallbeasfollows:(1)Thepartyseekingterminationshallsubmitawrittennoticetotheotherparty,statingthereasonsandconditionsfortermination;(2)Thepartiesshallnegotiateandagreeonthetermsoftermination;(3)Theterminatedcontractshallbehandledinaccordancewithrelevantlawsandregulations.第八条第三方与甲乙方的沟通与协调8.1第三方与甲乙方的沟通与协调8.2第三方与甲乙方的信息共享Thethirdpartyshallprovidethenecessaryinformationandupdatestothebuyerandsellerandshall
