ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintothis__________dayof__________,20__,byandbetween__________(the"Client")and__________(the"ServiceProvider")(collectivelyreferredtoasthe"Parties").

Article1:Services

1.1TheServiceProvidershallprovidethefollowingservicestotheClient(the"Services"):

Article2:Term

4.2TheClientrepresentsandwarrantsthat:

-Ithasthefullright,power,andauthoritytoenterintothisAgreement;

-ItshallprovidetheServiceProviderwithallnecessaryinformationandmaterialstoperformtheServices.

Article5:Confidentiality

5.1EachPartyagreestomaintaintheconfidentialityofallnon-publicinformationobtainedfromtheotherPartyduringtheTermofthisAgreementandforaperiodof__________yearsthereafter.

Article6:Termination

6.1EitherPartymayterminatethisAgreementforcauseupon__________days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinsuch__________dayperiod.

Article7:Indemnification

7.1TheServiceProvidershallindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,demands,suits,orproceedingsbroughtagainsttheClient,andanyandallresultingjudgments,damages,settlements,liabilities,losses,costs,andexpenses(includingreasonableattorneys'fees),totheextentarisingoutoforresultingfromtheServiceProvider'sbreachofthisAgreement.

Article8:LimitationofLiability

8.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYORTOANYTHIRDPARTYFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHESERVICES,WHETHERUNDERATHEORYOFCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,OROTHERWISE.

Article9:GoverningLaw

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof__________,withoutgivingeffecttoanychoiceoflaworconflictoflawprovisionorrulethatwouldcausetheapplicationofthelawsofanyjurisdictionotherthanthoseoftheStateof__________.

Article10:Miscellaneous

10.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallpriorandcontemporaneousagreements,proposals,orrepresentations,writtenororal,concerningitssubjectmatter.

10.2Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbythePartyagainstwhomthemodification,amendment,orwaiveristobeasserted.

10.3ThefailureofeitherPartytoenforceitsrightsunderthisAgreementatanytimeforanyperiodshallnotbeconstruedasawaiverofsuchrights.

10.4IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovision
