4.1PartyAshallperformtheservices/productsinaccordancewiththespecifications,technicalrequirements,andqualitystandardssetforthinthisContract.
4.2PartyAshallusereasonableeffortstocompletetheservices/productswithintheagreedtimeframe.
4.3IntheeventofanybreachorfailuretoperformunderthisContract,PartyAshallbeliabletocompensatePartyBforanylossordamageincurredasaresult.
5.Confidentiality
ThepartiesagreetokeepconfidentialallinformationanddataexchangedduringtheexecutionofthisContract,exceptforinformationthatispubliclyavailableordisclosedbytheotherpartywithpriorconsent.
6.IntellectualProperty
6.1Allintellectualpropertyrightsarisingfromtheservices/productsprovidedunderthisContractshallbelongtoPartyA,unlessotherwiseagreedinwritingbytheparties.
6.2PartyBshallnotuse,copy,modify,ordistributeanyintellectualpropertyownedbyPartyAwithoutthepriorwrittenconsentofPartyA.
7.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
