2.2TheBuyershallmakethepaymenttotheSellerinaccordancewiththepaymenttermsspecifiedintheattachedPaymentSchedule(hereinafterreferredtoasthe"PaymentSchedule").

3.DeliveryandShipment

3.1TheSellershalldelivertheProductstotheBuyer'sdesignatedwarehousewithinthedeliveryperiodspecifiedintheattachedDeliverySchedule(hereinafterreferredtoasthe"DeliverySchedule");

3.2TheSellershallberesponsibleforarrangingthetransportationandshippingoftheProductsfromtheSeller'sfactorytotheBuyer'sdesignatedwarehouse.

4.QualityandInspection

4.1ThequalityoftheProductsshallbeinspectedandapprovedbytheBuyerupondelivery;

4.2TheSellershallprovidetheBuyerwiththenecessaryqualitycertificatesandinspectionreportsfortheProducts.

5.IntellectualPropertyRights

5.1TheSellershallretainallintellectualpropertyrightsassociatedwiththeProducts;

5.2TheBuyershallobtainallnecessarylicensesandpermitsfortheuseoftheProductsintheirrespectivecountries.

6.ForceMajeure

6.1Incaseofanyforcemajeureeventbeyondthecontrolofeitherparty,theaffectedpartyshallnotifytheotherpartyimmediatelyandendeavortomitigatetheimpactofsucheventontheperformanceofthisContract;

6.2TheaffectedpartyshallberelievedfromitsobligationsunderthisContractforthedurationoftheforcemajeureeventandtheperiodrequiredforitsmitigation.

7.DisputeResolution

7.1AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties;

7.2Ifthepartiesfailtoreachanamicableresolutionwithinareasonableperiod,thedisputeshallbesubmittedtothecompetentcourtofthejurisdictionspecifiedintheattachedJurisdictionAgreement(hereinafterreferredtoasthe"JurisdictionAgreement").

8.GeneralProvisions

8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal;

12.TerminationoftheContract
