ANDWHEREAS,PartyAhasagreedtoprovideconsultancyservicestoPartyB,inaccordancewiththetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:

1.ScopeofServices

1.1PartyAagreestoprovideconsultancyservicestoPartyB,asoutlinedintheattachedScopeofWork(hereinafterreferredtoas“theScopeofWork”).

1.2TheconsultancyservicesshallbeperformedinaprofessionalanddiligentmannerbyPartyA,inaccordancewiththehigheststandardsoftheconsultingindustry.

2.TermofAgreement

2.1ThetermofthisAgreementshallcommenceontheEffectiveDate(hereinafterreferredtoas“theEffectiveDate”)andshallremainineffectforaperiodof[durationoftheagreement,e.g.,oneyear]fromtheEffectiveDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.Compensation

3.1PartyBshallcompensatePartyAfortheconsultancyservicesrendered,inaccordancewiththefollowingterms:

3.1.1Compensationforconsultancyservicesshallbepaidintheamountof[compensationamount],whichshallbepayableuponcompletionoftheconsultancyservices.

3.1.2PaymentshallbemadeinaccordancewiththepaymentschedulesetforthintheattachedPaymentSchedule(hereinafterreferredtoas“thePaymentSchedule”).

4.Confidentiality

4.1ThepartiesagreetomaintaintheconfidentialityofallinformationandmaterialsexchangedbetweenthemduringthetermofthisAgreement,including,butnotlimitedto,technicaldata,businessplans,andcustomerlists.

4.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

5.IntellectualProperty

5.1Allintellectualpropertyrights,including,butnotlimitedto,patents,copyrights,trademarks,andtradesecrets,createdordevelopedbyPartyAinthecourseofprovidingconsultancyservicesshallbethesolepropertyofPartyA.

5.2PartyBshallnot,withoutthepriorwrittenconsentofPartyA,useordiscloseanyintellectualpropertyrightsofPartyA.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[terminationnoticeperiod,e.g.,30days]priortotheeffectivedateoftermination.

6.2Intheeventoftermination,PartyAshallbeentitledtoreceiveanycompensationdueforconsultancyservicesrendereduptotheeffectivedateoftermination.

7.GoverningLaw

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

8.Miscellaneous

8.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

8.2NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothparties.

5.Compensation

7.LimitationofLiability

7.1PartyBandPartyCshallnotbeliabletoPartyAforanyindirect,special,orconsequentialdamagesarisingfromtheconsultancyservicesprovidedortheterminationofthisAgreement.

8.GoverningLaw

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

9.Miscellaneous
