TheSellerherebyagreestotransfertotheBuyerallrights,title,andinterestinandtothePatent,includingbutnotlimitedtotheexclusiverightstomake,use,sell,offerforsale,import,andexportthepatentedinventionwithintheterritoryspecifiedinthePatent.

2.Payment

5.Confidentiality

ThepartiesagreetokeepconfidentialallinformationdisclosedduringthenegotiationandexecutionofthisAgreement,includingbutnotlimitedtotechnicalinformation,businessinformation,andtradesecrets.

6.GoverningLawandDisputeResolution

3.Payment

5.Buyer'sRightsandInterests

a)TheBuyershallhavetherighttouse,sell,andlicensethepatentedinventionwithintheterritoryspecifiedinthePatent;

b)TheBuyershallhavetherighttoobtainassistancefromthePrincipalinenforcingthePatentagainstinfringers;

c)TheBuyershallhavetherighttoreceiveupdatesonthePatentandrelatedServicesfromthePrincipal.

6.Buyer'sObligationsandLimitations

a)TheBuyeragreestocomplywithallapplicablelawsandregulationsregardingtheuse,sale,andlicensingofthepatentedinvention;

b)TheBuyeragreestoindemnifyandholdthePrincipalharmlessagainstanyclaims,liabilities,ordamagesarisingfromtheBuyer'sunauthorizeduseofthepatentedinvention;

7.PartyC'sObligationsandRights

b)PartyCshallprovidethePrincipalwithregularreportsontheprogressandresultsoftheServices;

8.Termination

ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofamaterialbreachbytheotherparty,providedthatthebreachingpartyhasbeengivenwrittennoticeofthebreachandfailstocuresuchbreachwithin[Number]daysafterreceiptofsuchnotice.

9.GoverningLawandDisputeResolution

8.Licensor'sLimitationsandConsequencesofBreach

b)TheLicensorshallnotbeliableforanylossofdataordamagetotheLicensee'ssystemsresultingfromtheuseoftheSoftware;

9.GoverningLawandDisputeResolution
