RECITALS

2.TermandTermination

3.FeesandPayment

InconsiderationoftheServicesprovidedhereunder,PartyBshallpaytoPartyAthefollowingfees(the"Fees"):

4.IntellectualPropertyRights

a.Allintellectualpropertyrights(including,butnotlimitedto,copyrights,patents,trademarks,andtradesecrets)("IntellectualProperty")created,developed,oracquiredbyeitherPartyduringtheTermofthisAgreementshallbethesoleandexclusivepropertyofthePartythatcreated,developed,oracquiredsuchIntellectualProperty.

b.ThePartiesagreethattheyshallnotusetheotherParty'sIntellectualPropertywithoutthepriorwrittenconsentoftheotherParty.

5.Confidentiality

a.ThePartiesagreethatduringtheTermofthisAgreementandforaperiodof[NumberofYears]thereafter,theyshallmaintaintheconfidentialityofallconfidentialinformation(the"ConfidentialInformation")disclosedtothembytheotherParty.

b.ThePartiesagreethattheyshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheirobligationsunderthisAgreement.

6.LimitationofLiability

a.InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisAgreement.

b.ThetotalaggregateliabilityofeitherPartytotheotherPartyforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedthetotalamountofFeespaidbytheotherPartytothefirst-mentionedPartyunderthisAgreementduringthepreceding[NumberofYears/Months].

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[Jurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,anddiscussions,whetherwrittenororal,oftheParties.

b.PartyAshallretainallrightstoanyIntellectualPropertydevelopedinconnectionwiththeServices.

c.PartyBandPartyCshallnotusePartyA'sIntellectualPropertywithoutthepriorwrittenconsentofPartyA.

5.PartyA'sRights

a.PartyAreservestherighttomonitortheperformanceofPartyBandPartyCtoensurecompliancewiththetermsofthisAgreement.

b.PartyAmayrequestchangestotheServicesorthescopeofworkperformedbyPartyCatanytime,subjecttoreasonablenoticeandanyadditionalFeesincurred.

c.PartyAshallhavetherighttoterminatePartyBorPartyCiftheyfailtomeettheagreed-uponstandardsorifthereisabreachofthisAgreement.

6.PartyBandPartyC'sObligations

a.PartyBandPartyCshallperformtheServiceswithduediligenceandinaccordancewiththehigheststandardsofprofessionalconduct.

b.PartyBandPartyCshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheirrespectiveobligations.

c.PartyBandPartyCshallprovidePartyAwithregularprogressreportsandupdatesonthestatusoftheServices.

7.PartyB'sandPartyC'sLiability

a.PartyBandPartyCshallbeliableforanydirectdamagesincurredbyPartyAasaresultoftheirbreachofthisAgreement.

b.PartyBandPartyCshallindemnifyandholdharmlessPartyAfromanyclaims,actions,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeirperformanceornon-performanceoftheServices.

8.Third-PartyInterventions

a.TheinvolvementofPartyCasathird-partyserviceproviderisintendedtoenhancethequalityandefficiencyoftheServices.

b.PartyA'sdecisiontoengagePartyCisbasedonitsevaluationofPartyC'sexpertiseandexperience.

c.PartyA'sobjectivesininvolvingPartyCincludereducingrisks,improvingservicedelivery,andachievingcostsavings.

9.LimitationsofLiability

a.InnoeventshallPartyAbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisAgreement.

b.ThetotalaggregateliabilityofPartyAtoPartyBandPartyCforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedthetotalamountofFeespaidbyPartyAtoPartyBunderthisAgreementduringthepreceding[NumberofYears/Months].

10.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[Jurisdiction].

11.EntireAgreement
