1.DescriptionofGoods

2.PriceandPaymentTerms

3.ShipmentandDelivery

5.InspectionandAcceptance

TheBuyershallhavetherighttoinspecttheGoodsuponreceiptattheportofdestination.TheGoodsshallbedeemedtobeinconformitywiththetermsofthisStandardFOBContractiftheymeetthequality,quantity,andspecificationssetforthinExhibitA.IftheGoodsarefoundtobenon-conforming,theBuyershallnotifytheSellerinwritingwithin[InspectionPeriod]daysafterreceiptoftheGoods.

6.Warranties

TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.TheSellershall,atitssolediscretion,repair,replace,orrefundthepurchasepriceofanydefectiveGoods.

7.ForceMajeure

NeitherPartyshallbeliableforanydelayorfailureintheperformanceofitsobligationsunderthisStandardFOBContractduetoanycausebeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,strikes,labordisputes,andgovernmentregulations.

8.GoverningLawandJurisdiction

ThisStandardFOBContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisStandardFOBContractshallberesolvedbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

9.EntireAgreement
