ANDWHEREAS,PartyB,beingtheagent,iswillingtoactastheexclusiveagentofPartyAforthemarketingandsaleofPartyA'sproductsand/orserviceswithintheterritoryandduringtheperiodspecifiedherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:
1.TermandTerritory
1.1ThetermofthisAgreementshallcommenceontheEffectiveDate(hereinafterreferredtoasthe"EffectiveDate")andshallcontinueforaperiodof[DurationofAgreement]fromtheEffectiveDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
1.2Theterritoryfortheexclusiveagencyshallbe[Territory],asdefinedintheattachedExhibitA.
2.ExclusiveAgency
2.1PartyBshallactastheexclusiveagentofPartyAforthemarketingandsaleofPartyA'sproductsand/orserviceswithintheterritoryandduringthetermofthisAgreement.
2.2PartyBshallnotdirectlyorindirectlyengageinanyactivitiesthatmayinterferewithorcompetewiththemarketingandsaleofPartyA'sproductsand/orserviceswithintheterritory.
3.ObligationsofPartyA
3.1PartyAshallprovidePartyBwithallnecessaryinformation,materials,andsamplesrelatedtoPartyA'sproductsand/orservices.
3.2PartyAshallprovidePartyBwithmarketingsupport,includingadvertising,promotionalmaterials,andtechnicalassistance,asreasonablyrequiredbyPartyB.
3.3PartyAshallensurethattheproductsand/orservicesofferedbyPartyAareincompliancewithallapplicablelawsandregulations.
4.ObligationsofPartyB
4.1PartyBshalluseitsbesteffortstopromoteandsellPartyA'sproductsand/orserviceswithintheterritory.
4.2PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisAgreement.
4.3PartyBshallpromptlyreporttoPartyAanyinformationordevelopmentsthatmayaffectthemarketingandsaleofPartyA'sproductsand/orservices.
5.Compensation
5.1PartyAshallpayPartyBacommissionof[CommissionRate]%onthenetsalesofPartyA'sproductsand/orserviceswithintheterritory.
5.2Thecommissionshallbecalculatedonamonthlybasisandpaidwithin[PaymentPeriod]aftertheendofeachmonth.
6.Confidentiality
6.1ThepartiesheretoagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtoeachotherinconnectionwiththisAgreement.
6.2Confidentialinformationshallinclude,butnotbelimitedto,technicaldata,businessplans,customerlists,andpricinginformation.
7.Termination
7.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationiseffectiveuponreceiptofthenotice.
7.2Intheeventoftermination,PartyBshallbeentitledtoreceiveanycommissionsearneduptothedateoftermination.
8.GoverningLawandDisputeResolution
8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
8.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Intheeventthatsuchnegotiationsfail,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
9.Miscellaneous
9.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal.
9.2AnyamendmentormodificationtothisAgreementshallbeinwritingandshallbeexecutedbybothparties.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasoftheEffectiveDate.

3.ObligationsofPartyA
3.1PartyAshallprovidePartyBwithallnecessaryinformation,materials,andsamplesrelatedtoPartyA'sproductsand/orservices.
3.2PartyAshallprovidePartyBwithmarketingsupport,includingadvertising,promotionalmaterials,andtechnicalassistance,asreasonablyrequiredbyPartyB.
3.3PartyAshallensurethattheproductsand/orservicesofferedbyPartyAareincompliancewithallapplicablelawsandregulations.
3.4PartyAshallhavetherighttoterminatethisAgreementupon[SpecificCircumstances],providingwrittennoticetoPartyBandPartyC.
4.ObligationsofPartyB
4.1PartyBshalluseitsbesteffortstopromoteandsellPartyA'sproductsand/orserviceswithintheterritory.
4.2PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisAgreement.
4.3PartyBshallpromptlyreporttoPartyAanyinformationordevelopmentsthatmayaffectthemarketingandsaleofPartyA'sproductsand/orservices.
4.4PartyBshallnotengageinanyactivitiesthatmayharmthereputationorinterestsofPartyA.
5.ObligationsofPartyC
5.1PartyCshallprovidesupporttoPartyBintheformof[SupportDescription],asoutlinedinExhibitB.
5.2PartyCshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisAgreement.
5.3PartyCshallnotengageinanyactivitiesthatmayharmthereputationorinterestsofPartyA.
6.Compensation
6.1PartyAshallpayPartyBacommissionof[CommissionRate]%onthenetsalesofPartyA'sproductsand/orserviceswithintheterritory.
6.2PartyAshallpayPartyCafeeof[FeeAmount]fortheservicesprovided,asoutlinedinExhibitC.
6.3Thecommissionandfeeshallbecalculatedonamonthlybasisandpaidwithin[PaymentPeriod]aftertheendofeachmonth.
7.Termination
7.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationiseffectiveuponreceiptofthenotice.
7.2Intheeventoftermination,PartyBandPartyCshallbeentitledtoreceiveanycommissionsandfeesearneduptothedateoftermination.
8.违约及限制条款
8.1PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutthepriorwrittenconsentofPartyA.
8.2PartyBshallnotengageinanyactivitiesthatmayharmthereputationorinterestsofPartyA.
8.3PartyCshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutthepriorwrittenconsentofPartyA.
8.4PartyCshallnotengageinanyactivitiesthatmayharmthereputationorinterestsofPartyA.
9.GoverningLawandDisputeResolution
9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Intheeventthatsuchnegotiationsfail,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
10.Miscellaneous
10.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal.
10.2AnyamendmentormodificationtothisAgreementshallbeinwritingandshallbeexecutedbyallparties.
Inconclusion,theinclusionofPartyCasathirdpartyinthisAgreementservestoenhancethemarketingeffortsofPartyAbyleveragingtheexpertiseandresourcesofbothPartyBandPartyC.PartyA'sobjectivesaretomaximizeitssalesandmarketpresencewithintheterritory,whileensuringtheprotectionofitsinterestsandreputation.Byprovidingcomprehensivesupportandsettingclearobligationsandrightsforallpartiesinvolved,thisAgreementaimstocreateamutuallybeneficialpartnershipthatwillcontributetothelong-termsuccessofPartyA.

4.1PartyBshalluseitsbesteffortstodistributePartyA'sproductswithintheterritoryandachievethesalestargetssetforthinExhibitB.
4.2PartyBshallmaintaininventorylevelsasagreeduponinExhibitCtoensuretimelydeliverytocustomers.
4.3PartyBshallprovidePartyCwithallnecessaryinformationandsupporttofacilitatethelogisticaloperations.
5.ObligationsofPartyC
5.1PartyCshallprovidelogisticalanddistributionsupporttoPartyB,includingwarehousing,transportation,andorderfulfillmentservices.
5.2PartyCshallensurethatthedistributionservicesmeetthequalityandtimelinessrequirementssetbyPartyB.
6.CompensationandBenefits
6.1PartyAshallpayPartyBadistributionfeeof[DistributionFeeAmount]perunitofPartyA'sproductssoldwithintheterritory.
