2.TheClientherebyrepresentsandwarrantsthat:

a.Itisalegallyorganizedandexistingentityunderthelawsof[Client'sCountry],withthenecessaryauthorizationandcapacitytoenterintothisContract;

b.Ithasallnecessaryrights,licenses,permissions,andauthorizationstoaccepttheservicesdescribedherein;

c.Itshallprovideallnecessaryinformationandresourcesrequiredfortheperformanceoftheservices.

CancellationofContract:

1.EitherpartymaycancelthisContractbygivingwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[number]dayspriortothescheduledperformancedate.

2.Intheeventofcancellation,thefollowingprovisionsshallapply:

a.TheContractorshallbeentitledtoreceivepaymentforanyservicesperformedpriortotheeffectivedateofcancellation;

b.TheClientshallberesponsibleforanycostsincurredbytheContractorinconnectionwiththepreparationfortheperformanceoftheservices,whichshallbedeductedfromthetotalcontractprice;

c.Anypre-paidamountsshallberefundedtotheClientuponcancellation.

Confidentiality:

1.BothpartiesagreetokeepallinformationandmaterialsreceivedfromtheotherpartyduringthetermofthisContractconfidential.

2.TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

Indemnification:

1.TheContractorshallindemnify,defend,andholdharmlesstheClient,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeContractor'sperformanceoftheservices.

2.TheClientshallindemnify,defend,andholdharmlesstheContractor,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeClient'suseoftheservices.

DisputeResolution:

1.AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughgoodfaithnegotiationsbetweentheparties.

2.Ifthepartiesareunabletoresolvethedisputethroughnegotiations,themattershallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

3.Thedecisionofthearbitratorshallbefinalandbindingupontheparties.

3.TheClienthastherighttoterminatethisContractintheeventofamaterialbreachbyeithertheContractorortheThirdParty,andtheClientshallbeentitledtorecoveranylossesincurredasaresultofsuchbreach.

CONTRACTOR'SANDTHIRDPARTY'SOBLIGATIONS:

1.TheContractorandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheirrespectiveservices.

2.TheContractorandtheThirdPartyshallprovidetheClientwithallnecessarydocumentation,reports,andinformationrequiredfortheClienttomonitortheprogressandqualityoftheservices.

3.TheContractorandtheThirdPartyshallpromptlynotifytheClientofanychangesinthescopeofwork,schedule,orcosts,andobtaintheClient'swrittenconsentbeforemakinganysuchchanges.

4.TheContractorandtheThirdPartyshallindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeirperformanceoftheservices.

CONTRACTOR'SANDTHIRDPARTY'SLIMITATIONSOFLIABILITY:

1.TheContractorandtheThirdPartyshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceoftheservices.

2.TheContractorandtheThirdParty'sliabilityforanybreachofthisContractshallbelimitedtotheamountofdamagesactuallysustainedbytheClient,andinnoeventshallsuchliabilityexceedthetotalcontractprice.

3.TheContractorandtheThirdPartyshallnotbeliableforanyfailuretoperformtheirobligationsduetocausesbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions.

DISPUTERESOLUTION:

1.AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughgoodfaithnegotiationsbetweentheClient,theContractor,andtheThirdParty.

2.Ifthepartiesareunabletoresolvethedisputethroughnegotiations,themattershallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

2.TheClienthastherighttoreceiveregularprogressreportsandupdatesonthestatusofthedevelopmentandintegrationwork.

3.TheClienthastherighttorequestchangestothesoftwareapplication'sspecificationsordesign,andtheContractorandtheThirdPartyshallprovideacostandtimeestimateforsuchchanges.

4.TheClienthastherighttoterminatetheservicesofeithertheContractorortheThirdPartyiftheyfailtomeettheagreed-uponstandardsorifthereisamaterialbreachofthisContract.
