OBLIGATIONS:

2.1TheAgentshallactasthePrincipal'sexclusiveagentforthepurposeofassistingintheprocessofregisteringthePrincipal'scompanyorentityforthepurposeofobtainingabusinesslicensein[Principal'sCountry].

2.2TheAgentshalluseitsbesteffortstoensurethatthePrincipal'scompanyorentityisregisteredandlicensedinatimelyandefficientmanner.

2.3TheAgentshallprovidethePrincipalwithallnecessaryinformation,documentation,andsupporttofacilitatetheregistrationandlicensingprocess.

2.4ThePrincipalshallprovidetheAgentwithallnecessaryinformation,documentation,andsupporttofacilitatetheregistrationandlicensingprocess.

2.5TheAgentshallnotengageinanyactivitythatmaycauseharmtothePrincipal'sreputationorlegalstanding.

2.6ThePrincipalshallnotengageinanyactivitythatmaycauseharmtotheAgent'sreputationorlegalstanding.

TERMANDTERMINATION:

3.1ThisAgreementshallbeeffectiveuponthedateofitsexecutionandshallremaininfullforceandeffectforaperiodof[TermDuration]fromtheEffectiveDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.2EitherpartymayterminatethisAgreementatanytimebyprovidingwrittennoticetotheotherparty,providedthatsuchterminationshallbeeffectiveuponthereceiptofsuchnoticebytheotherparty.

3.3UponterminationofthisAgreement,thepartiesshallfulfilltheirrespectiveobligationsuntilthecompletionofthecurrenttransactionorproject,asapplicable.

3.4UponterminationofthisAgreement,thepartiesshallreturnallconfidentialinformationandpropertytotheotherparty.

CONFIDENTIALITY:

4.1ThepartiesagreetokeepallconfidentialinformationreceivedfromtheotherpartyduringthetermofthisAgreementstrictlyconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

4.2Confidentialinformationshallinclude,butnotbelimitedto,businessplans,financialinformation,tradesecrets,andanyotherinformationthatismarkedasconfidentialorthatthereceivingpartyreasonablyshouldconsidertobeconfidential.

5.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

5.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothparties.

5.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].

5.4Thepartiesherebyirrevocablysubmittotheexclusivejurisdictionofthecourtsof[ApplicableJurisdiction]foranydisputearisingoutoforinconnectionwiththisAgreement.

LIABILITYANDLIMITATIONSOFLIABILITY:

6.1TheAgentandtheThirdPartyshallbeliableforanydamagesarisingfromtheirnegligenceorwillfulmisconductintheperformanceoftheirobligationsunderthisAgreement.

6.2ThePrincipalshallnotbeliableforanydamagesarisingfromtheactionsorinactionsoftheAgentortheThirdPartyunlesssuchdamagesresultfromthePrincipal'sownnegligenceorwillfulmisconduct.

6.3TheAgentandtheThirdPartyshallindemnifyandholdthePrincipalharmlessfromanythird-partyclaimsarisingfromtheirbreachofthisAgreement.

TERMINATIONANDCONSEQUENCES:
