2025【英文模板】英文电子产品销售合同范本2025EnglishElectronicProductSalesContractTemplateThisElectronicProductSalesContract("Agreement")ismadeandenteredintoasofthedayof,2025(the"EffectiveDate"),byandbetween:Seller:[FullLegalNameofSeller][Address][City,State,ZIPCode][EmailAddress][PhoneNumber]("Seller")andBuyer:[FullLegalNameofBuyer][Address][City,State,ZIPCode][EmailAddress][PhoneNumber]("Buyer")RECITALSWHEREAS,Sellerisacompanyengagedinthemanufacturinganddistributionofelectronicproducts;ANDWHEREAS,BuyerdesirestopurchasecertainelectronicproductsfromSeller;NOW,THEREFORE,thepartiesagreeasfollows:1.DESCRIPTIONOFGOODS1.1.SelleragreestosellandBuyeragreestopurchasetheelectronicproducts(the"Goods")asdescribedinExhibitAattachedhereto.1.2.TheGoodsshallconformtothespecificationssetforthinExhibitAandmeetallapplicablelawsandregulations.2.QUANTITYANDPRICING2.1.ThequantityofGoodstobepurchasedandsoldhereunderis[insertquantity](the"Quantity").2.2.ThepriceperunitfortheGoodsis[insertpriceperunit](the"UnitPrice").2.3.ThetotalpriceforallGoods(the"TotalPrice")is[inserttotalprice],whichistheproductoftheQuantityandtheUnitPrice.2.4.Unlessotherwiseagreedinwriting,allpaymentsshallbemadein[insertcurrency,e.g.,USD].3.PAYMENTTERMS3.1.BuyershallpaySellertheTotalPriceasfollows:(a)[insertpaymentterms,e.g.,50%deposituponsigningtheAgreement,andtheremaining50%upondeliveryoftheGoods];3.2.Allpaymentsshallbemadeby[insertpaymentmethod,e.g.,wiretransfertoSeller'sbankaccount]tothefollowingaccount:[BankName][AccountName][AccountNumber][SwiftCode]3.3.Anylatepaymentshallincuralatefeeof[insertlatefeepercentage,e.g.,1.5%]permonthorthemaximumrateallowedbylaw,whicheverisless.4.DELIVERY4.1.SellershalldelivertheGoodstoBuyerat[insertdeliveryaddress]onorbefore[insertdeliverydate](the"DeliveryDate").4.2.Deliveryshallbecompletedby[insertdeliverymethod,e.g.,courier,freightcarrier].4.3.RiskoflossordamagetotheGoodsshallpasstoBuyerupondeliverytothecarrier.4.4.IfBuyerisnotsatisfiedwiththeconditionoftheGoodsupondelivery,BuyershallnotifySellerinwritingwithin[inserttimeframe,e.g.,2businessdays].5.WARRANTY5.1.SellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipundernormaluseforaperiodof[insertwarrantyperiod,e.g.,12months]fromtheDeliveryDate.5.2.Sellershall,atitsoption,repairorreplaceanydefectiveGoodswithin[insertresponsetime,e.g.,10businessdays]ofreceivingnoticeofthedefect.5.3.ThiswarrantydoesnotapplytodefectscausedbyBuyer'simproperuse,misuse,oralterationoftheGoods.6.RETURNSANDREFUNDS6.1.BuyermayreturnGoodswithin[insertreturnperiod,e.g.,30days]oftheDeliveryDateiftheGoodsaredefectiveornotasdescribed.6.2.BuyershallcoverthecostofreturnshippingunlessthedefectisconfirmedtobeSeller'sfault.6.3.UponreceiptandapprovalofthereturnedGoods,SellershallissuearefundtoBuyerwithin[insertrefundprocessingtime,e.g.,15businessdays].7.TERMINATION7.1.EitherpartymayterminatethisAgreementupon[insertnoticeperiod,e.g.,15days]writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin[insertcureperiod,e.g.,10businessdays].7.2.Upontermination,BuyershallpaySellerforallGoodsdelivereduptothedateoftermination.7.3.TerminationofthisAgreementshallnotreleaseeitherpartyfromanyliabilityaccruedpriortotermination.8.CONFIDENTIALITY8.1.BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedduringthecourseofthisAgreement.8.2.Exceptasrequiredbylaw,neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.8.3.ThisSection8shallsurvivetheterminationofthisAgreement.9.GOVERNINGLAW9.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[insertstate],withoutregardtoitsconflictoflawprinciples.9.2.AnylegalactionarisingoutoforrelatingtothisAgreementshallbebroughtandenforcedinthecourtslocatedin[insertcityandstate].10.ENTIREAGREEMENT10.1.ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,representations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.10.2.ThisAgreementmaynotbeamendedormodifiedexceptbyawritteninstrumentsignedbybothparties.11.NOTICES11.1.Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyexpresscourier,totherespectiveaddressessetforthabove.11.2.EitherpartymaychangeitsaddressfornoticesbyprovidingwrittennoticetotheotherpartyinaccordancewiththisSection11.12MISCELLANEOUS12.1.AnywaiverofanyprovisionofthisAgreementshallbeeffectiveonlyifmadeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.12.2.ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.12.3.IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.12.4.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
