2025【英文合同】电子产品出口协议（附英文）2025ElectronicsExportAgreement(inEnglish)(英文电子产品出口协议)ThisElectronicsExportAgreement(the"Agreement")ismadeandenteredintoasofthedayof,2025,byandbetween:Seller:[NameofSeller][AddressofSeller][City,State,ZIPCode][EmailAddress][PhoneNumber]Buyer:[NameofBuyer][AddressofBuyer][City,State,ZIPCode][EmailAddress][PhoneNumber]Recitals(前言):WHEREAS,theSellerisengagedintheproduction/manufactureandsupplyofelectronicproducts;ANDWHEREAS,theBuyerdesirestopurchasesuchelectronicproductsfromtheSeller;NOW,THEREFORE,thepartiesagreeasfollows:1.Goods(货物)1.1.DescriptionofGoods(货物描述):TheSelleragreestosupplyandtheBuyeragreestopurchasethefollowingelectronicproducts(the"Goods"):[Detaileddescriptionofproducts,includingmodelnumbers,specifications,quantities,andotherrelevantdetails].1.2.OrderQuantity(订单数量):ThequantityofGoodsorderedbytheBuyershallbe[insertquantityorspecifyasperthepurchaseorder].1.3.Samples(样品):Ifrequired,theSellershallprovidesamplesoftheGoodstotheBuyerforapproval.AnychangestotheGoodsafterapprovalshallbesubjecttoBuyer'swrittenconsent.2.OrdersandDelivery(订单与交付)2.1.PlacingOrders(下单):TheBuyershallplaceordersfortheGoodsbysubmittingasignedpurchaseorder(the"Order")totheSeller.EachOrdershallspecifytherequiredquantity,deliverydate,andotherrelevantdetails.2.2.DeliveryTerms(交货条款):TheGoodsshallbedeliveredtothefollowingdestination:[Deliveryaddress,city,country].2.3.DeliverySchedule(交货时间表):TheSellershalldelivertheGoodswithin[insertdeliverytimeframe,e.g.,30days]fromthereceiptoftheOrderunlessotherwisespecifiedintheOrder.2.4.ForceMajeure(不可抗力):IftheSellerisunabletomeetthedeliveryscheduleduetoForceMajeureevents(asdefinedinSection12below),theSellershallnotifytheBuyerimmediatelyandprovidereasonableevidenceofsuchevents.3.PaymentTerms(支付条款)3.1.ModeofPayment(支付方式):TheBuyershallpayfortheGoodsinaccordancewiththefollowingterms:[Specifypaymentterms,e.g.,LetterofCredit,TelegraphicTransfer(T/T),etc.][Specifypaymentschedule,e.g.,30%deposituponsigningtheAgreement,70%beforeshipment].3.2.DueDate(付款期限):Allpaymentsshallbemadewithin[insertpaymenttimeframe,e.g.,10days]fromthedateoftheSeller'sinvoice.3.3.LatePayment(逾期付款):IftheBuyerfailstomakepaymentontime,theSellermaychargealatepaymentfeeof[insertpercentage,e.g.,1.5%]permonthontheoutstandingamount.4.QualityAssurance(质量保证)4.1.QualityStandards(质量标准):TheSellershalldelivertheGoodsinaccordancewiththequalitystandardsspecifiedintheAgreementandanyapplicablespecificationsprovidedbytheBuyer.4.2.InspectionandTesting(检验与测试):TheSellershallconductinternalinspectionsandteststoensurethattheGoodsmeettherequiredstandards.UponreceiptoftheGoods,theBuyermayconductadditionalinspections.4.3.QualityDiscrepancies(质量问题):IftheBuyerfindsdiscrepanciesinquality,theyshallnotifytheSellerinwritingwithin[inserttimeframe,e.g.,7days]ofreceiptoftheGoods.TheSellershalladdresssuchdiscrepancieswithin[inserttimeframe,e.g.,10days].5.PackingandShipment(包装与运输)5.1.PackingSpecifications(包装规格):TheSellershallpackagetheGoodsinaccordancewithindustrystandardsand/ortheBuyer'sspecificrequirements.ThepackagingshallensurethattheGoodsareprotectedduringtransit.5.2.ShipmentArrangements(运输安排):TheSellershallmakeallnecessaryarrangementsfortheshipmentoftheGoodstothedestinationspecifiedbytheBuyer.5.3.ShippingDocumentation(运输文件):TheSellershallprovidetheBuyerwithallnecessaryshippingdocumentation,includingbutnotlimitedtoaBillofLading,CommercialInvoice,PackingList,andCertificateofOrigin.6.Insurance(保险)TheSellershallarrangeforinsurancecoveragefortheGoodsduringtransit.TheBuyershallberesponsibleforobtaininginsurancefortheGoodsuponreceipt.7.Warranties(保修)7.1.Seller'sWarranty(卖方保修):TheSellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipandconformtothespecificationssetforthinthisAgreement.7.2.DurationofWarranty(保修期限):Thewarrantyshallbevalidforaperiodof[insertduration,e.g.,12months]fromthedateofdelivery.7.3.Exclusions(除外条款):Thiswarrantydoesnotcoverdamagecausedbyimproperuse,mishandling,oralterationoftheGoodsbytheBuyeroranythirdparty.8.Termination(终止)8.1.TerminationforBreach(违约终止):EitherpartymayterminatethisAgreementiftheotherpartybreachesanymaterialprovisionoftheAgreementandfailstocuresuchbreachwithin[inserttimeframe,e.g.,14days]afterreceivingwrittennoticeofthebreach.8.2.TerminationforConvenience(任意终止):EitherpartymayterminatethisAgreementforconvenienceupon[insertnoticeperiod,e.g.,30days']writtennoticetotheotherparty.9.Indemnification(赔偿)9.1.IndemnificationbySeller(卖方赔偿):TheSellershallindemnify,defend,andholdharmlesstheBuyer,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,losses,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbytheSelleroritsagents.9.2.IndemnificationbyBuyer(买方赔偿):TheBuyershallindemnify,defend,andholdharmlesstheSeller,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,losses,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbytheBuyeroritsagents.10.Confidentiality(保密)10.1.ConfidentialInformation(保密信息):BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedduringthetermofthisAgreement.10.2.Non-UseofConfidentialInformation(保密信息不得使用):NeitherpartyshallusetheconfidentialinformationoftheotherpartyforanypurposeotherthantheperformanceofthisAgreement.11.GoverningLaw(适用法律)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[insertgoverninglawjurisdiction,e.g.,theStateofCalifornia,USA].12.DisputeResolution(争议解决)12.1.Negotiation(协商):IntheeventofadisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughgoodfaithnegotiations.12.2.Arbitration(仲裁):Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbereferredtoarbitrationin[insertarbitrationlocation,e.g.,Singapore]inaccordancewiththerulesof[insertarbitrationinstitution,e.g.,theInternationalChamberofCommerce(ICC)].12.3.CourtJurisdiction(法院管辖):Alternatively,eitherpartymayseeklegalrecoursethroughthecourtsof[insertjurisdiction].13.Notices(通知)Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourierservice,totherespectiveaddressesofthepartiessetforthinthisAgreement.14.EntireAgreement(完整协议)ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,withrespecttosuchsubjectmatter.15.Amendment(修改)AnyamendmenttothisAgreementshallbeinwritingandsignedbybothparties.16.Severability(可分割性)Ifanyprov
