2025国际商务合同英语词汇2025InternationalBusinessContractParties:Thiscontract(hereinafterreferredtoasthe"Agreement")isenteredintoasofthedayof,2025,byandbetween:甲方(PartyA):Name:Address:ContactPerson:Email:Phone:乙方(PartyB):Name:Address:ContactPerson:Email:Phone:Recitals:WHEREAS,PartyAisengagedinthebusinessof;andWHEREAS,PartyBisengagedinthebusinessof;andWHEREAS,PartyAandPartyBwishtocollaborateinthematterof;NOW,THEREFORE,thepartiesagreeasfollows:1.定义(Definitions)ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothem:"Goods"meanstheproductsspecifiedinExhibitAattachedhereto."Services"meanstheservicesspecifiedinExhibitBattachedhereto."DeliveryDate"meansthedatebywhichtheGoodsandServicesaretobedelivered,asspecifiedinClause4.1."PaymentTerm"meansthetermsetforthinClause5.1forthepaymentofthepurchaseprice."ConfidentialInformation"meansanynon-public,proprietaryinformationordocumentationdisclosedbyonepartytotheother."ForceMajeure"meansanyeventbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,war,riot,governmentalactions,ornaturaldisasters.2.合作范围(ScopeofCooperation)2.1.Thepartiesagreetocollaborateinthefollowingmanner:PartyAshallsupplytheGoodsasperExhibitA,andPartyBshallprovidetheServicesasperExhibitB.2.2.TheGoodsandServicesshallbeofsatisfactoryquality,inaccordancewiththestandardssetforthintheapplicableindustry.2.3.BothpartiesagreetocomplywithallapplicablelawsandregulationsintheperformanceofthisAgreement.3.价格与支付(PriceandPayment)3.1.ThetotalpricefortheGoodsandServicesshallbe[USD](hereinafterreferredtoasthe"PurchasePrice").3.2.Paymentshallbemadeasfollows:Adepositof[USD]shallbepaidbyPartyBtoPartyAwithindaysofthesigningofthisAgreement.Theremainingamountof[USD]shallbepaidwithindaysafterdeliveryoftheGoodsandServices.3.3.Allpaymentsshallbemadebybanktransfertothefollowingaccount:BankName:AccountHolder:AccountNumber:3.4.PartyAshallissueaninvoiceforthePurchasePriceupondeliveryoftheGoodsandServices.4.交付(Delivery)4.1.TheGoodsshallbedeliveredtothefollowingaddress:Address:ContactPerson:Phone:4.2.PartyAshallbearthecostofdeliveryunlessotherwiseagreedinwriting.4.3.PartyBshallinspecttheGoodsupondeliveryandnotifyPartyAofanydiscrepancieswithindays.4.4.AnydelayindeliveryduetoForceMajeureshallbecommunicatedpromptlytoPartyB,andtheDeliveryDateshallbeextendedaccordingly.5.知识产权(IntellectualPropertyRights)5.1.PartyAwarrantsthatithasthefullrighttoselltheGoodsandServiceswithoutinfringinganythird-partyintellectualpropertyrights.5.2.AnyintellectualpropertyrightscreatedasaresultofthisAgreementshallbeassignedtoPartyA,unlessotherwiseagreedinwriting.5.3.PartyBagreesnottouseanytrademarks,logos,orotherintellectualpropertyofPartyAwithoutpriorwrittenconsent.6.保密条款(Confidentiality)6.1.PartyBagreestokeepallConfidentialInformationdisclosedbyPartyAstrictlyconfidential.6.2.ConfidentialInformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofPartyA.6.3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.7.保证与赔偿(WarrantiesandIndemnification)7.1.PartyAwarrantsthattheGoodsandServiceswillconformtothespecificationssetforthinthisAgreement.7.2.PartyAagreestoindemnifyandholdharmlessPartyBfromanyclaimsarisingfromanybreachofthewarrantiessetforthinthisAgreement.7.3.Anyclaimsunderthisclausemustbemadewithindaysofthediscoveryofthebreach.8.变更与终止(AmendmentsandTermination)8.1.AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.8.2.EitherpartymayterminatethisAgreementuponproviding[days]priorwrittennoticetotheotherparty.8.3.Terminationshallnotaffectanyrightsorobligationsthathaveaccruedpriortotermination.9.争议解决(DisputeResolution)9.1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendly协商(negotiation).9.2.Iffriendly协商(negotiation)fails,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe中国国际经济贸易仲裁委员会(ChinaInternationalEconomicandTradeArbitrationCommission)(CIETAC).9.3.Thearbitrationshallbeconductedin[City],andthelanguageofthearbitrationshallbe[English/Chinese].9.4.Theawardofthearbitrationshallbefinalandbindingonbothparties.10.其他条款(Miscellaneous)10.1.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsorunderstandings.10.2.IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.10.3.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.10.4.AnynoticesrequiredunderthisAgreementshallbeinwritingandshallbedeemedtohavebeenreceiveduponpersonaldeliveryor
