1.SubjectMatter

1.1DescriptionofGoodsorServices

TheSelleragreestosellandtheBuyeragreestobuythefollowinggoodsorservices(the"SubjectMatter"):

3.2TransferofRisk

TheriskoflossordamagetotheSubjectMattershallpasstotheBuyerupondeliverytothedeliveryaddressspecifiedinthisAgreement.

4.TitleandPropertyRights

4.1Title

TitletotheSubjectMattershallremainwiththeSelleruntilfullpaymentofthepricehasbeenreceivedbytheSeller.

4.2PropertyRights

TheSellerwarrantsthatithasthelegalrightandauthoritytoselltheSubjectMatterandthatthesalethereofwillnotinfringeupontheintellectualpropertyrightsoranyotherrightsofanythirdparty.

5.InspectionandAcceptance

5.1InspectionbyBuyer

TheBuyershallhavetherighttoinspecttheSubjectMatterupondelivery.TheBuyershallconducttheinspectionwithin[numberofdays]daysafterdelivery.IftheBuyerdiscoversanydefectsornonpliancewiththespecificationsduringtheinspection,itshallnotifytheSellerinwritingwithin[numberofdays]daysofsuchdiscovery.

5.2Acceptance

If,afterinspection,theBuyerdoesnotobjecttotheSubjectMatterwithinthespecifiedinspectionperiod,theSubjectMattershallbedeemedtohavebeenacceptedbytheBuyer.However,acceptanceshallnotrelievetheSellerofitsliabilityforanylatentdefectsordefectsthatarenotdiscoverablethroughreasonableinspection.

6.Warranties

6.1Seller'sWarranties

6.1.1TheSellerwarrantsthattheSubjectMattershallconformtothespecifications,qualitystandards,anddescriptionssetforthinthisAgreement.

6.1.2TheSellerfurtherwarrantsthattheSubjectMatterisfreefromanydefectsinmaterialsorworkmanshipandshallbefitfortheordinarypurposesforwhichsuchgoodsorservicesarenormallyused.

6.1.3TheSellerwarrantsthatithasthelegalrightandauthoritytograntthewarrantiesprovidedinthisAgreementandthattheSubjectMatterisnotsubjecttoanyliens,encumbrances,orthirdpartyclaims.

6.2DurationofWarranties

ThewarrantiesprovidedbytheSellershallbeeffectiveforaperiodof[numberofmonths/years]fromthedateofdelivery/acceptanceoftheSubjectMatter.

7.Seller'sObligations

7.1SupplyofSubjectMatter

TheSellershallsupplytheSubjectMatterinaccordancewiththetermsandconditionsofthisAgreement,includingbutnotlimitedtothedeliverydate,quantity,andqualityrequirements.

7.2Documentation

TheSellershallprovideallnecessarydocumentationrelatedtotheSubjectMatter,suchasinvoices,packinglists,certificatesoforigin,qualityinspectionreports,etc.,inatimelymanner.

7.3AftersalesService

TheSellershallprovideaftersalesservicefortheSubjectMatterinaccordancewithitsnormalbusinesspracticesandasrequiredbylaw.Thismayincluderepair,replacement,technicalsupport,etc.,duringthewarrantyperiod.

8.Buyer'sObligations

8.1Payment

TheBuyershallpaythepricefortheSubjectMatterinaccordancewiththepaymenttermssetforthinthisAgreement.

8.2Cooperation

TheBuyershallcooperatewiththeSellerinallmattersrelatedtothedeliveryandperformanceoftheAgreement,includingbutnotlimitedtoprovidingnecessaryinformation,accesstopremisesfordeliveryorinspection,etc.

9.Confidentiality

9.1ConfidentialInformation

EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty(the"ConfidentialInformation").ConfidentialInformationincludesbutisnotlimitedtobusinessplans,customerlists,technicaldata,andfinancialinformation.

9.2ObligationofConfidentiality

EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.ThisobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

10.IntellectualPropertyRights

10.1OwnershipofIntellectualProperty

Unlessotherwiseagreedinwriting,allintellectualpropertyrightsarisingoutoforinconnectionwiththeSubjectMattershallremainwiththepartythatownssuchrightspriortotheexecutionofthisAgreement.

10.2UseofIntellectualProperty

EachpartyshallhavetherighttousetheintellectualpropertyrightsoftheotherpartysolelyforthepurposeofperformingitsobligationsunderthisAgreementandshallnotusesuchrightsforanyotherpurposewithoutthepriorwrittenconsentoftheowner.

11.Termination

11.1TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.

11.2TerminationforBreach

11.2.1IfeitherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticethereoffromthenonbreachingparty,thenonbreachingpartymayterminatethisAgreementbywrittennoticetothebreachingparty.

11.2.2Intheeventofterminationforbreach,thebreachingpartyshallbeliabletothenonbreachingpartyforalldamagessufferedasaresultofthebreach,includingbutnotlimitedtodirectlosses,indirectlosses,andlostprofits.

11.3TerminationuponInsolvencyorBankruptcy

Ifeitherpartybesinsolvent,bankrupt,orissubjecttoanysimilarproceeding,theotherpartymayterminatethisAgreementimmediately.

12.ForceMajeure

12.1DefinitionofForceMajeure

"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,wars,riots,strikes,lockouts,governmentactions,andanyothersimilareventsthatpreventapartyfromperformingitsobligationsunderthisAgreement.

12.2EffectofForceMajeure

IfapartyispreventedfromperformingitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallnotbeliableforanybreachofthisAgreementcausedbysuchForceMajeureevent,providedthatthepartyaffectedbyForceMajeureshallnotifytheotherpartyassoonaspracticableandshalluseallreasonableeffortstoresumeperformanceofitsobligationsassoonastheForceMajeureeventhasceased.

13.Liability

13.1LimitedLiability

13.1.1Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,incidental,orconsequentialdamages,includingbutnotlimitedtolossofprofits,lossofbusiness,orlossofdata,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

13.1.2ThetotalliabilityofeitherpartytotheotherpartyunderthisAgreementshallnotexceedtheamountpaidorpayablebytheBuyerunderthisAgreement.

13.2ExceptionstoLimitedLiability

Thelimitationsofliabilitysetforthinthissectionshallnotapplytoliabilityfordeathorpersonalinjurycausedbythenegligenceofaparty,orforfraudorwillfulmisconduct.

14.DisputeResolution

14.1Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

14.2ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]days,thedisputeshallberesolvedasfollows:
