对赌协议合同模板英文版ThisShareholderAgreement(the"Agreement")ismadeandenteredintoasof[Date]byandamongthefollowingparties:PartyA:Name:[FullNameofPartyA]Address:[BusinessAddressofPartyA]ContactInformation:[PhoneNumber,Email,etc.ofPartyA]PartyB:Name:[FullNameofPartyB]Address:[BusinessAddressofPartyB]ContactInformation:[PhoneNumber,Email,etc.ofPartyB]I.Recitals1.PartyAistheexistingshareholderof[CompanyName](the"Company")andholds[x]%oftheCompany'sequityinterests.2.PartyBisinterestedinacquiringacertainpercentageofequityinterestsintheCompanyfromPartyAandiswillingtoenterintothisAgreementtosetoutthetermsandconditionsoftheacquisition.3.ThepartieswishtoestablishamechanismtoensuretheachievementofcertainbusinessperformancegoalsoftheCompanyaftertheacquisition,andthusagreetoincludeearnoutprovisionsinthisAgreement.II.AcquisitionofEquityInterests1.TransferofEquityInterestsPartyAagreestotransfer[x]%oftheequityinterestsintheCompanytoPartyBatthepriceof[PurchasePrice]perequityinterest.Thetotalconsiderationforthetransfershallbe[TotalConsideration].2.PaymentTermsPartyBshallpaytheconsiderationinthefollowinginstallments:InitialPayment:Within[x]daysaftertheexecutionofthisAgreement,PartyBshallpay[Percentage]ofthetotalconsideration,i.e.,[InitialPaymentAmount].EarnOutPayments(ifapplicable):TheearnoutpaymentsshallbedeterminedbasedontheachievementoftheperformancetargetsassetforthinSectionIVbelow.3.EquityTransferProceduresThepartiesshallcooperatetopleteallnecessaryproceduresforthetransferofequityinterestsinaccordancewiththelawsandregulationsofthePeople'sRepublicofChinaandthearticlesofassociationoftheCompany,includingbutnotlimitedtoobtainingtheapprovaloftheCompany'sboardofdirectors,shareholders'meetings,andrelevantgovernmentauthorities.III.RepresentationsandWarrantiesA.RepresentationsandWarrantiesofPartyA1.PartyAhasthelegalrightandauthoritytoenterintothisAgreementandtotransfertheequityinterestsintheCompany.2.TheequityintereststobetransferredbyPartyAarefreeandclearofanyliens,encumbrances,pledges,orotherrestrictions,andPartyAhasnotmadeanyprioragreementsorarrangementsthatwouldconflictwiththetransferoftheequityinterestsunderthisAgreement.3.PartyAhasprovidedPartyBwithalltrue,accurate,andpleteinformationregardingtheCompany'sfinancialcondition,businessoperations,assets,liabilities,andlegalstatus.TherearenomaterialadversefactsorcircumstancesthathavenotbeendisclosedtoPartyB.4.Allnecessaryapprovals,consents,andfilingsrequiredforPartyAtoenterintothisAgreementandpletetheequitytransferhavebeenobtainedorwillbeobtainedinatimelymanner.B.RepresentationsandWarrantiesofPartyB1.PartyBhasthelegalrightandfinancialabilitytoenterintothisAgreementandtopaytheconsiderationfortheacquisitionoftheequityinterests.2.PartyBhasmadeitsownindependentevaluationanddecisiontoenterintothisAgreementbasedonitsownjudgmentandunderstandingoftheCompany'ssituation.3.PartyBshallperformitsobligationsunderthisAgreementinaccordancewiththelawandingoodfaith.IV.EarnOutProvisionsA.PerformanceTargets1.Thepartiesagreethattheearnoutperiodshallbefrom[StartDateofEarnOutPeriod]to[EndDateofEarnOutPeriod].2.Theperformancetargetsfortheearnoutperiodshallbeasfollows:FinancialTargets:AnnualRevenueGrowth:TheCompany'sannualrevenueshallgrowbyatleast[x]%paredtothepreviousyearduringtheearnoutperiod.NetProfitMargin:TheCompany'snetprofitmarginshallreachatleast[x]%duringtheearnoutperiod.NonFinancialTargets:ProductDevelopment:TheCompanyshallsuccessfullylaunchatleast[x]newproductsorproductupgradesduringtheearnoutperiod.MarketExpansion:TheCompanyshallexpanditsmarketsharein[TargetMarketSegment]byatleast[x]percentagepointsduringtheearnoutperiod.B.EarnOutCalculation1.IftheCompanyachievesalloftheperformancetargetsduringtheearnoutperiod,PartyBshallpayanadditionalearnoutpaymenttoPartyA.Theearnoutpaymentamountshallbecalculatedbasedonthefollowingformula:EarnOutPaymentAmount=(ExcessPerformanceAmount×EarnOutPercentage)ExcessPerformanceAmount=(ActualPerformanceTargetPerformance)Theearnoutpercentageshallbe[x]%.2.The"ActualPerformance"shallbedeterminedbasedontheauditedfinancialstatementsandrelevantbusinessdataoftheCompanyfortheearnoutperiod.The"TargetPerformance"shallbetheperformancetargetssetforthinSectionIV.Aabove.C.PaymentofEarnOut1.PartyBshallconductanannualreviewoftheCompany'sperformanceagainsttheperformancetargets.IftheCompanyhasachievedtheperformancetargetsforaparticularyear,PartyBshallpaythecorrespondingearnoutpaymenttoPartyAwithin[x]daysafterthepletionoftheannualreview.2.IftheCompanyfailstoachievealloftheperformancetargetsduringtheearnoutperiod,butstillachievesacertainlevelofperformance,PartyBmaypayaprorataearnoutpaymentbasedontheactualachievementoftheperformancetargets.Thespecificcalculationmethodshallbedeterminedthroughnegotiationbetweentheparties.V.RightsandObligationsofthePartiesA.RightsofPartyA1.PartyAhastherighttoreceivetheconsiderationforthetransferofequityinterestsinaccordancewiththepaymenttermsofthisAgreement.2.PartyAhastherighttoparticipateinthedecisionmakingoftheCompanytotheextentpermittedbylawandthearticlesofassociationoftheCompany,butshallnotinterferewiththenormalbusinessoperationsoftheCompany.3.PartyAhastherighttoreceivetheearnoutpaymentfromPartyBiftheCompanyachievestheperformancetargetsduringtheearnoutperiod.B.RightsofPartyB1.PartyBhastherighttoacquire[x]%oftheequityinterestsintheCompanyfromPartyAinaccordancewiththisAgreement.2.PartyBhastherighttoparticipateinthemanagementanddecisionmakingoftheCompanytotheextentpermittedbylawandthearticlesofassociationoftheCompany,andshallhavetherighttoappoint[Number]directorstotheCompany'sboardofdirectors.3.PartyBhastherighttoreceivethefinancialandbusinessinformationoftheCompanyinaccordancewiththelawandtheCompany'sinternalregulations.C.ObligationsofPartyA1.PartyAshallcooperatewithPartyBtopleteallnecessaryproceduresforthetransferofequityinterests,includingbutnotlimitedtoprovidingrelevantdocuments,assistinginobtainingapprovals,andattendingmeetings.2.PartyAshallcontinuetoperformitsexistingobligationstotheCompanyduringthetransitionperiodtoensurethenormaloperationoftheCompany.3.PartyAshallnotdiscloseanyconfidentialinformationoftheCompanyobtainedduringthecourseofthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyB.D.ObligationsofPartyB1.PartyBshallpaytheconsiderationforthetransferofequityintereststoPartyAinaccordancewiththepaymenttermsofthisAgreement.2.PartyBshallplywithalllaws,regulations,andthearticlesofassociationoftheCompanyinitsparticipationinthemanagementanddecisionmakingoftheCompany.3.PartyBshalluseitsbesteffortstopromotethedevelopmentandgrowthoftheCompanyandtoachievetheperformancetargetsduringtheearnoutperiod.4.PartyBshallnotdiscloseanyconfidentialinformationoftheCompanyobtainedduringthecourseofthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyA.VI.Confidentiality1.Eachpartyacknowledgesthatduringthenegotiation,execution,andperformanceofthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,andtechnicalsecrets.2.Thepartiesshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[x]years.VII.NonCompeteandNonSolicitation1.DuringthetermofthisAgreementandforaperiodof[x]yearsaftertheterminationorexpirationofthisAgreement,PartyAshallnotengageinanybusinessactivitiesthatpetewiththeCompany'sbusinessinthesameorsimilarfieldsin[GeographicalScope].2.DuringthetermofthisAgreementandforaperiodof[x]yearsaftertheterminationorexpirationofthisAgreement,PartyBshallnotsolicitorhireanyemployeesorbusinesspartnersoftheCompany.VIII.TerminationandExpirationA.TerminationbyAgreementThepartiesmayterminatethisAgreementbywrittenagreementatanytime.B.TerminationforBreach1.IfeitherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[x]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisAgreement.2.Intheeventofterminationduetobreach,thebreachingpartyshallbeliableforanylossessufferedbythenonbreachingpartyasaresultofthebreach.C.ExpirationThisAgreementshallexpireon[ExpirationDate]unlessearlierterminatedinaccordancewiththeprovisionsofthisAgreement.Ix.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstrued
