ThisContractTerminationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAtype]organizedandexistingunderthelawsof[PartyAjurisdiction]withitsprincipalplaceofbusinessat[PartyAaddress](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBtype]organizedandexistingunderthelawsof[PartyBjurisdiction]withitsprincipalplaceofbusinessat[PartyBaddress](hereinafterreferredtoas"PartyB").

I.Recitals

1.PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")dated[originalcontractdate]inrelationto[descriptionofthesubjectmatterorservice].

2.AsofthedateofthisAgreement,bothpartiesdesiretoterminatetheOriginalContractandresolveallmattersarisingtherefrom.

II.SubjectMatterorServiceDescription

TheOriginalContractwasfortheprovisionof[detaileddescriptionofthegoods,services,orrightsandobligationscoveredbytheoriginalcontract].PartyAwasto[describePartyA'sobligationsundertheoriginalcontract],andPartyBwasto[describePartyB'sobligationsundertheoriginalcontract].

III.Termination

1.TheOriginalContractshallbeterminatedeffectiveasof[terminationdate].

2.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheterminationdate,exceptforthoserightsandobligationsthatbytheirnatureareintendedtosurvivetermination,suchasconfidentialityobligationsandindemnificationobligationsassetforthinthisAgreement.

IV.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.PaymentObligations

PartyAshallpaytoPartyBanyamountsthatweredueandpayableundertheOriginalContractasoftheterminationdate.PartyAshallmakesuchpaymentsinaccordancewiththepaymenttermsspecifiedintheOriginalContract,unlessotherwiseagreeduponinwritingbybothparties.

IfPartyAhasmadeanyprepaymentsundertheOriginalContractforgoodsorservicesthathavenotbeenfullyprovidedasoftheterminationdate,PartyBshallrefundtoPartyAtheunearnedportionofsuchprepaymentswithin[numberofdays]daysaftertheterminationdate.

2.ReturnofProperty

PartyAshallreturntoPartyBanyproperty,documents,orinformationbelongingtoPartyBthatPartyAhasinitspossessionorcontrolasaresultoftheOriginalContract.Suchpropertyshallbereturnedinthesameconditionasreceived,reasonablewearandtearexcepted,within[numberofdays]daysaftertheterminationdate.

3.Confidentiality

PartyAshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContract.PartyAshallnotdiscloseanyconfidentialinformationofPartyBthatithasobtainedduringthetermoftheOriginalContract.Confidentialinformationshallinclude,butnotbelimitedto,tradesecrets,customerlists,technicalinformation,andbusinessstrategies.

B.PartyB'sRightsandObligations

1.PerformanceofRemainingObligations

PartyBshallperformanyobligationsthatwereoutstandingasoftheterminationdateundertheOriginalContract.PartyBshallusereasonableeffortstopletesuchobligationsinatimelyandsatisfactorymanner.

IfPartyBhasreceivedanypaymentsfromPartyAundertheOriginalContractforgoodsorservicesthathavenotbeenfullyprovidedasoftheterminationdate,PartyBshalldeliverorprovidetheremaininggoodsorservicesinaccordancewiththetermsoftheOriginalContractwithin[numberofdays]daysaftertheterminationdate,unlessotherwiseagreeduponinwritingbybothparties.

2.ReturnofProperty

PartyBshallreturntoPartyAanyproperty,documents,orinformationbelongingtoPartyAthatPartyBhasinitspossessionorcontrolasaresultoftheOriginalContract.Suchpropertyshallbereturnedinthesameconditionasreceived,reasonablewearandtearexcepted,within[numberofdays]daysaftertheterminationdate.

3.Confidentiality

PartyBshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContract.PartyBshallnotdiscloseanyconfidentialinformationofPartyAthatithasobtainedduringthetermoftheOriginalContract.Confidentialinformationshallinclude,butnotbelimitedto,tradesecrets,customerlists,technicalinformation,andbusinessstrategies.

V.Indemnification

1.Eachpartyshallindemnify,defend,andholdharmlesstheotherparty,itsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:

AnybreachofthisAgreementbysuchparty;

AnybreachoftheOriginalContractbysuchpartypriortotheterminationdate;

Theperformanceornonperformanceoftheparties'obligationsundertheOriginalContract;or

Anyuseordisclosureoftheotherparty'sconfidentialinformationinviolationofthisAgreement.

2.Theindemnifyingpartyshallbenotifiedpromptlyofanyclaim,action,orproceedingforwhichindemnificationissoughthereunder,andshallhavetherighttoparticipateinthedefenseofsuchclaim,action,orproceedingatitsownexpense.Theindemnifiedpartyshallcooperatefullywiththeindemnifyingpartyinthedefenseofsuchclaim,action,orproceeding.

VI.NonCompetitionandNonSolicitation

1.NonCompetition

Foraperiodof[numberofmonths/years]fromtheterminationdate,PartyAcovenantsnottoengageinanybusinessactivitythatpetesdirectlywiththebusinessofPartyBasconductedduringthetermoftheOriginalContract.Thescopeofthenonpetitionobligationshallbelimitedto[describethegeographicalareaandthespecificbusinessactivitiescovered].

Foraperiodof[numberofmonths/years]fromtheterminationdate,PartyBcovenantsnottoengageinanybusinessactivitythatpetesdirectlywiththebusinessofPartyAasconductedduringthetermoftheOriginalContract.Thescopeofthenonpetitionobligationshallbelimitedto[describethegeographicalareaandthespecificbusinessactivitiescovered].

2.NonSolicitation

Foraperiodof[numberofmonths/years]fromtheterminationdate,PartyAcovenantsnottosolicitanyemployees,customers,orbusinesspartnersofPartyB.

Foraperiodof[numberofmonths/years]fromtheterminationdate,PartyBcovenantsnottosolicitanyemployees,customers,orbusinesspartnersofPartyA.

VII.GoverningLawandJurisdiction

1.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.Jurisdiction

AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[jurisdictionofthecourt].

VIII.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

IX.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

X.Waiver

NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

XI.Notices

1.Allnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeliveredpersonally,sentbyregisteredorcertifiedmail(returnreceiptrequested),orbyovernightcourierservicetothefollowingaddresses:

2.Anynoticeshallbedeemedtohavebeendulygiven:

Ifdeliveredpersonally,whenreceived;

Ifsentbyregisteredorcertifiedmail,onthedateofreceiptasshownonthereturnreceipt;or

Ifsentbyovernightcourierservice,onthenextbusinessdayafterthedateofdispatch.

XII.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractTerminationAgreementasofthedatefirstabovewritten.
