ThisContractTerminationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyA'sname],a[typeofentity]organizedandexistingunderthelawsof[country/state]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA"),and[PartyB'sname],a[typeofentity]organizedandexistingunderthelawsof[country/state]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").

I.Recitals

1.PartyAandPartyBenteredintoa[contractname]on[contractdate](the"OriginalContract")forthepurposeof[describethepurposeoftheoriginalcontract,e.g.,providing[servicename]orsupplying[productname]].

2.AsofthedateofthisAgreement,bothpartiesdesiretoterminatetheOriginalContractandsettlealltheirrightsandobligationsthereunderinaccordancewiththetermsandconditionssetforthherein.

II.DescriptionoftheSubjectMatter

ThesubjectmatteroftheOriginalContractwas[provideadetaileddescriptionoftheservice,product,orothersubjectmattercoveredbytheoriginalcontract,includingquantity,specifications,qualityrequirements,etc.].Forexample,ifitwasaservicecontract,itcouldstate:"PartyAwastoprovideconsultingservicestoPartyBforaperiodof[X]months,coveringvariousaspectssuchasmarketanalysis,strategicplanning,andfinancialforecasting.Theservicesweretobeperformedinaccordancewiththeprofessionalstandardsandbestpracticesintherelevantindustry,andPartyAwasrequiredtosubmitmonthlyreportstoPartyBsummarizingtheprogressandfindingsoftheconsultingwork."

III.TerminationoftheOriginalContract

1.Bymutualagreementoftheparties,theOriginalContractshallbeterminatedeffectiveasof[terminationdate].

2.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheterminationdate,exceptforthoserightsandobligationsthathavealreadyaccruedandareenforceableasofsuchdate.

IV.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.Rights

PartyAshallhavetherighttoreceivepaymentforanyservicesrenderedorproductsdeliveredpriortotheterminationdateinaccordancewiththetermsoftheOriginalContract.

PartyAshallbeentitledtoretainanyintellectualpropertyrightscreatedordevelopedbyitinthecourseofperformingtheOriginalContract,subjecttoanyapplicablelawsandagreements.

2.Obligations

PartyAshalldelivertoPartyBanyandallmaterials,documents,andinformationrelatedtotheOriginalContractthatareinitspossessionorcontrolasoftheterminationdate.

PartyAshallcooperatewithPartyBtotheextentnecessarytofacilitatetheorderlytransitionofanyongoingprojectsorservicesandtoensurethatPartyBisabletocontinueitsbusinessoperationswithoutdisruption.

PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithPartyA'sperformanceoftheOriginalContractpriortotheterminationdate.

B.PartyB'sRightsandObligations

1.Rights

PartyBshallhavetherighttoreceiveanyandallrefunds,credits,orotheramountsduetoitundertheOriginalContractasaresultofthetermination.

PartyBshallbeentitledtouseanyintellectualpropertyrightslicensedorprovidedtoitbyPartyAundertheOriginalContractforthepurposeofwindingupitsbusinessoperationsrelatedtotheOriginalContract,subjecttoanyapplicablelawsandagreements.

2.Obligations

PartyBshallpaytoPartyAanyamountsdueandpayableundertheOriginalContractasoftheterminationdate,includingbutnotlimitedtofeesforservicesrenderedorproductsdeliveredpriortotheterminationdate.

PartyBshallreturntoPartyAanyandallmaterials,documents,andinformationrelatedtotheOriginalContractthatareinitspossessionorcontrolasoftheterminationdate.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithPartyB'sperformanceoftheOriginalContractpriortotheterminationdate.

V.PaymentandSettlement

1.Within[X]daysaftertheexecutionofthisAgreement,PartyBshallpaytoPartyAthetotalamountof[paymentamount]infullsettlementofallamountsdueandpayableundertheOriginalContractasoftheterminationdate.

2.PartyAshallissueavalidinvoicetoPartyBuponreceiptofthepayment.

3.Intheeventofanydisputesregardingtheamountofpaymentorthesettlementofotherfinancialmatters,thepartiesshallnegotiateingoodfaithtoresolvesuchdisputes.Ifthedisputescannotberesolvedwithin[X]days,eitherpartymayreferthemattertoarbitrationorlitigationinaccordancewiththedisputeresolutionprovisionssetforthherein.

VI.Confidentiality

1.EachpartyacknowledgesthatduringthecourseoftheirbusinessrelationshipundertheOriginalContract,ithashadaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,customerlists,technicalknowhow,andfinancialinformation(collectively,"ConfidentialInformation").

2.EachpartyshallkeepconfidentialandshallnotdisclosetoanythirdpartyanyConfidentialInformationoftheotherparty,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[X]years.

VII.NonCompeteandNonSolicitation

1.DuringthetermofthisAgreementandforaperiodof[X]yearsaftertheterminationdate,PartyAshallnotengageinanybusinessactivitiesthatpetedirectlywithPartyB'sbusinessinthe[relevantindustryormarketsegment],andPartyBshallnotengageinanybusinessactivitiesthatpetedirectlywithPartyA'sbusinessinthe[relevantindustryormarketsegment].

2.DuringthetermofthisAgreementandforaperiodof[X]yearsaftertheterminationdate,PartyAshallnotsolicitorhireanyemployees,contractors,oragentsofPartyB,andPartyBshallnotsolicitorhireanyemployees,contractors,oragentsofPartyA.

VIII.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[courtname]locatedin[city,state],or,ifapplicable,toarbitrationinaccordancewiththerulesofthe[arbitrationinstitutionname].

IX.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

X.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunle
