终止合同协议书英文版

ThisTerminationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyA'sfulllegalname],a[typeofentity,e.g.,corporation]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA"),and[PartyB'sfulllegalname],a[typeofentity,e.g.,corporation]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").

I.Recitals

1.PartyAandPartyBenteredintoa[nameoftheoriginalcontract](the"OriginalContract")on[dateoftheoriginalcontract],pursuanttowhichPartyAagreedtoprovide[descriptionofthegoodsorservicesprovidedbyPartyAundertheOriginalContract]toPartyB,andPartyBagreedtopayforsuchgoodsorservicesinaccordancewiththetermsandconditionsoftheOriginalContract.

2.Dueto[reasonsfortermination,e.g.,changesinbusinesscircumstances,mutualagreement,etc.],thepartieshavemutuallyagreedtoterminatetheOriginalContractasofthedatehereof.

II.Termination

1.TheOriginalContractshallterminateeffectiveasof[terminationdate].

2.UpontheterminationoftheOriginalContract,allrightsandobligationsofthepartiesthereundershallcease,exceptforthoserightsandobligationswhichbytheirnatureareintendedtosurvivetermination,suchasconfidentialityobligations,indemnificationobligations,andpaymentobligationsforgoodsorservicesalreadyreceivedorprovidedpriortotheterminationdate.

III.ReturnofGoodsandServices

1.IfanygoodsorserviceshavebeenprovidedbyPartyAtoPartyBundertheOriginalContractandhavenotbeenfullyconsumedorutilizedasoftheterminationdate,PartyBshall,atitsoption,eitherreturnsuchunconsumedorunusedgoodstoPartyAwithin[numberofdays]daysaftertheterminationdate,orpayPartyAthefairmarketvaluethereof.

2.PartyAshallberesponsibleforthecostofretrievinganyreturnedgoods,unlessotherwiseagreedbytheparties.

3.IfPartyBhasmadeanyprepaymentstoPartyAundertheOriginalContract,PartyAshallrefundsuchprepaymentstoPartyBwithin[numberofdays]daysaftertheterminationdate,lessanyamountsduetoPartyAforgoodsorservicesalreadyprovidedpriortotheterminationdate.

IV.IntellectualPropertyRights

1.EachpartyacknowledgesthatallintellectualpropertyrightscreatedoracquiredinconnectionwiththeperformanceoftheOriginalContract,includingbutnotlimitedtopatents,trademarks,copyrights,tradesecrets,andknowhow,shallremaintheexclusivepropertyofthepartythatcreatedoracquiredsuchintellectualpropertyrights.

2.PartyBshallnotuse,disclose,ortransferanyintellectualpropertyrightsofPartyAwithoutthepriorwrittenconsentofPartyA.

3.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyclaims,damages,losses,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'suse,disclosure,ortransferofPartyA'sintellectualpropertyrightsinviolationofthisAgreement.

V.Confidentiality

1.EachpartyacknowledgesthatduringthecourseoftheirbusinessrelationshipundertheOriginalContract,theyhavehadaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,andtechnicaldata(collectively,the"ConfidentialInformation").

2.EachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.EachpartyshallusetheConfidentialInformationoftheotherpartyonlyforthepurposeofperformingitsobligationsundertheOriginalContractandshallnotusesuchConfidentialInformationforanyotherpurpose.

4.TheobligationsofconfidentialitysetforthinthisSectionshallsurvivetheterminationoftheOriginalContractforaperiodof[numberofyears]years.

VI.Indemnification

1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingbutnotlimitedtoattorneys'feesandcourtcosts)arisingoutoforinconnectionwithitsperformanceorbreachofthisAgreement,theOriginalContract,oranyotheragreementorunderstandingbetweenthepartiesrelatedtothesubjectmatterhereof.

2.Intheeventofaclaim,suit,orotherproceedingarisingoutoforinconnectionwiththisAgreement,theindemnifyingpartyshall,atitsownexpense,defendtheindemnifiedpartyagainstsuchclaim,suit,orotherproceedingandshallpayalljudgments,settlements,anddamagesawardedagainsttheindemnifiedparty.

3.Theindemnifiedpartyshallcooperatewiththeindemnifyingpartyinthedefenseofanyclaim,suit,orotherproceedingandshallprovidetheindemnifyingpartywithallreasonableassistanceandinformationasrequested.

VII.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthe[nameofthecourtortribunal]locatedin[locationofthecourtortribunal].

VIII.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Ix.Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

2.Inlieuofanyinvalid,illegal,orunenforceableprovision,thepartiesshallnegotiateingoodfaithtosubstituteavalidprovisionthatmostcloselyapproximatestheintentandeconomiceffectoftheinvalid,illegal,orunenforceableprovision.

x.Waiver

1.NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

2.Nofailureordelaybyeitherpartyinexercisinganyright,power,orprivilegehereundershalloperateasawaiverthereof,norshallanysingleorpartialexerciseofanyright,power,orprivilegeprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.

xI.Counterparts

1.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

2.Signaturestransmittedbyfacsimile,electronicmail,orotherelectronicmeansshallbedeemedtobeoriginalsignaturesforthepurposesofthisAgreement.

INWITNESSWHEREOF,thepartieshaveexecutedthisTerminationAgreementasofthedatefirstabovewritten.
