GeneralContractAgreement

ThisGeneralContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"Contractor"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"Employer").

1.ScopeofWork

TheContractorshallperformallwork,supplyallmaterials,equipment,andlabornecessarytocompletetheproject(the"Project")inaccordancewiththeplans,specifications,andrequirementsprovidedbytheEmployer,whichareattachedheretoasExhibitAandmadeaparthereof.ThescopeoftheProjectincludesbutisnotlimitedto[describeindetailtheworktobecarriedout].

2.ContractPrice

InconsiderationoftheContractor'sperformanceoftheworkandobligationshereunder,theEmployershallpaytheContractoratotalcontractpriceof[amountinfigures][currency](the"ContractPrice").TheContractPriceshallbepaidinthefollowingmanner:

3.ProjectSchedule

TheContractorshallcommenceworkontheProjecton[startdate]andshallcompleteallworkinaccordancewiththefollowingschedule:

-TheentireProjectshallbecompletedandreadyforacceptancebytheEmployernolaterthan[completiondate].

4.QualityofWork

TheContractorwarrantsthatallworkperformedandmaterialsandequipmentsuppliedunderthisAgreementshallbeofgoodquality,freefromdefects,andinstrictcompliancewithallapplicablelaws,regulations,industrystandards,andthespecificationssetforthinExhibitA.Intheeventofanydefectiveworkornon-conformingmaterials,theContractorshall,atitsownexpense,correcttheworkorreplacethematerialswithinareasonabletimeasdeterminedbytheEmployer.

5.Employer'sObligations

TheEmployershall:

-ProvidetheContractorwithaccesstotheprojectsiteinatimelymannerandinaconditionsuitableforthecommencementofwork.

-Furnishallnecessaryinformation,approvals,andauthorizationsrequiredfortheContractortoperformthework.

-MakepaymentstotheContractorinaccordancewiththetermsofthisAgreement.

6.RiskandInsurance

TheContractorshallberesponsibleforallrisksassociatedwiththeperformanceofthework,includingbutnotlimitedtodamagetoproperty,injurytopersons,andlossofequipment.TheContractorshallobtainandmaintaininfullforceandeffectduringthetermofthisAgreementallnecessaryinsurancepolicies,includingbutnotlimitedtogeneralliabilityinsurance,workers'compensationinsurance,andpropertyinsurance,withcoveragelimitsacceptabletotheEmployer.

7.Termination

EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthetermsofthisAgreementbytheotherparty.Intheeventoftermination,theContractorshallbeentitledtoreceivepaymentforallworkcompletedandacceptedbytheEmployeruptothedateoftermination,lessanyamountsalreadypaidandanyamountsduetotheEmployerfordamagesresultingfromtheContractor'sbreach.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[governingjurisdiction].
