CONTRACTAGREEMENT

I.RECITALS

WHEREAS,PartyAisengagedin[describePartyA'sbusiness],andPartyBisinterestedin[describePartyB'sinterest];

WHEREAS,thePartiesdesiretoenterintothisAgreementtodefinetheirrightsandobligationswithrespecttothematterssetforthherein.

II.SCOPEOFSERVICES

1.PartyAshallprovidethefollowingservicestoPartyB:

-[DescribeindetailtheservicesPartyAwillrender,includinganyspecifictasks,deliverables,andtimelines].

-PartyAshallperformtheservicesinaccordancewithindustrystandardsandbestpractices.

2.PartyBshallcooperatefullywithPartyA,provideallnecessaryinformationandaccess,andassistPartyAintheperformanceoftheservices.

III.PAYMENT

1.InconsiderationfortheservicesprovidedbyPartyA,PartyBshallpayPartyAthefollowingamounts:

-Atotalfeeof[amountincurrency].

-Paymentshallbemadeinthefollowinginstallments:

IV.TERMANDTERMINATION

1.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueuntil[enddate],unlessterminatedearlierinaccordancewiththeprovisionsherein.

2.EitherPartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty,whichbreachremainsuncuredafter[numberofdays]days'writtennoticespecifyingthebreach.

3.UponterminationofthisAgreement,PartyAshallceaseprovidingservices,andPartyBshallpayPartyAforallservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsherein.

V.CONFIDENTIALITY

1.EachPartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty.

2.ThereceivingPartyshallkeeptheconfidentialinformationinstrictconfidence,notdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,anduseitonlyforthepurposesofthisAgreement.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears].

VI.INTELLECTUALPROPERTY

1.AllintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesprovidedbyPartyAshallbelongtoPartyB,providedthatPartyBhasmadeallpaymentsduehereunder.

2.PartyAwarrantsthatallservicesprovidedshallnotinfringeupontheintellectualpropertyrightsofanythirdparty.

VII.WARRANTIESANDINDEMNITIES

1.EachPartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

2.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreementorthenegligenceorwillfulmisconductofPartyAintheperformanceoftheservices.

3.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreementorthenegligenceorwillfulmisconductofPartyBinrelationtoitsobligationshereunder.

VIII.GOVERNINGLAWANDDISPUTERESOLUTION

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheParties.Ifthenegotiationfails,thePartiesagreetosubmitthedisputetotheexclusivejurisdictionofthecourtsof[jurisdiction].

IX.GENERALPROVISIONS

1.ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.

2.NoamendmentormodificationofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.

3.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstit
