二、项目内容与分工

三、项目进度与交付

a.项目进度

①theprojectisexpectedtobecompletedwithinoneyearfromthestartdate

②specificmilestonesanddeadlineswillbeestablishedforeachphaseoftheresearch

③regularprogressreportswillbesubmittedtothe甲方

b.交付成果

c.交付时间

四、费用与支付

a.费用预算

①thetotalbudgetfortheprojectwillbeagreeduponbybothparties

②thebudgetwillcoverallexpensesrelatedtotheresearch,includingtravel,materials,andlabor

b.支付方式

①paymentwillbemadeininstallmentsasagreeduponinthebudget

c.争议解决

五、保密条款

a.保密义务

b.保密期限

①theconfidentialityobligationwillremainineffectforaperiodoffiveyearsfromthedateoftheprojectcompletion

②bothpartiesagreenottodiscloseoruseanyconfidentialinformationforanypurposeotherthantheproject

六、终止条款

a.项目终止条件

①eitherpartymayterminatetheprojectiftheotherpartyfailstofulfillitsobligationsunderthisagreement

②terminationmayalsooccuriftheprojectisdeemedtobenolongerfeasibleornecessary

b.终止程序

①upontermination,bothpartieswillensurethetimelycompletionofanyongoingworkandthedeliveryofalldeliverables

②anypaymentsmadepriortoterminationwillnotberefunded

七、其他条款

a.法律适用

①thisagreementshallbegovernedbythelawsofthejurisdictionwheretheprojectisconducted

②anydisputesarisingfromthisagreementshallberesolvedinaccordancewiththelawsofthatjurisdiction

b.不可抗力

①neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisagreementduetocausesbeyonditsreasonablecontrol

三、项目进度与交付

a.项目进度

b.交付成果

②数据收集、整理和分析结果。

③研究成果总结和推广方案。

c.交付时间
