2025国际贸易合同范本ContractNo.:DateofContract:PlaceofContract:ThisContractisMadeBetween:PartyA:(hereinafterreferredtoas"theBuyer")PartyB:(hereinafterreferredtoas"theSeller")兹经买卖双方友好协商，本着平等互利、诚实信用的原则，达成如下协议：1.ProductsandQuantities1.1TheSellershallsupplythefollowingproductstotheBuyer:ProductName:Specifications:Quantity:UnitsUnit:TotalAmount:(inwords)Currency:1.2Thequalityoftheproductsshallcomplywiththefollowingstandards:Nationalorinternationalstandards:Buyer'sspecialrequirements:2.PriceandPaymentTerms2.1Thetotalpriceoftheproductsis:(tobefilledinwords).2.2Allpricesarein(currency).2.3Paymentshallbemadeby(e.g.,TelegraphicTransfer,LetterofCredit,etc.).2.4TimeofPayment:%ofthetotalamountuponsigningthiscontract.%ofthetotalamountbeforeshipment.Theremaining%shallbepaidwithindaysaftertheBuyerreceivesthegoods.3.DeliveryandTransportation3.1Thedeliverydateis.3.2Thegoodsshallbedeliveredto(portofshipment)forshipment.3.3Thetransportationmodeis(e.g.,sea,air,road).3.4Thegoodsshallbeloadedonboardthevessel(vesselname),voyage,andtheSellershallprovideallnecessaryshippingdocumentspromptly.3.5TheSellerisresponsibleforinsuringthegoodsuntiltheyaredeliveredtotheBuyerortheirdesignatedagents.4.InspectionandAcceptance4.1TheBuyershallinspectthegoodsuponreceipt.4.2Anydiscrepanciesinquantity,quality,orspecificationsmustbenotifiedtotheSellerwithindaysafterthearrivalofthegoods.4.3IftheBuyerfindsthegoodstobeincompliancewiththecontractterms,thegoodsshallbeaccepted.4.4IftheBuyerfindsthegoodsnotincompliancewiththecontractterms,theSellershallmakenecessaryadjustmentsorreplacementswithindaysuponreceiptoftheBuyer'snotice.5.IntellectualProperty5.1TheBuyershallownallintellectualpropertyrightsrelatedtotheproducts,includingbutnotlimitedtotrademarks,patents,designs,andcopyrights.5.2TheSellershallnot,inanycircumstances,challengeorinfringeupontheBuyer'sintellectualpropertyrights.6.ForceMajeure6.1Neitherpartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthiscontractduetotheoccurrenceofaforcemajeureevent,includingnaturaldisasters,war,strikes,orgovernmentactions.6.2Upontheoccurrenceofaforcemajeureevent,theaffectedpartyshallnotifytheotherpartyinwritingimmediatelyandprovideadetailedexplanationwithindays.6.3Iftheforcemajeureeventcontinuesformorethandays,eitherpartymayterminatethiscontractbygivingwrittennoticetotheotherparty,andtheaffectedpartyshallreturnanypaymentsalreadymadeoradjustthescopeofthecontractaccordingly.7.LiabilityforBreachofContract7.1Ifeitherpartyfailstoperformitsobligationsunderthiscontract,itshallbeliableforthecorrespondingdamages.7.2IftheBuyerfailstomakepaymentontime,theSellershallbeentitledtoalatepaymentfeeofperdayuntiltheoverdueamountissettled.7.3IftheSellerfailstodeliverthegoodsaspertheagreedterms,theBuyershallbeentitledtoapenaltyofperdayforeachdelayedshipment.8.DisputeResolution8.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedamicablythrough友好协商.8.2Ifthedisputescannotberesolvedthroughfriendlynegotiation,theyshallbesubmittedtothearbitrationinstitutionlocatedatforarbitrationinaccordancewiththerulesthereof.8.3Thearbitrationawardshallbefinalandbindinguponbothparties.9.MiscellaneousProvisions9.1This合同的变更、修改或补充shallonlybemadeinwritingandsignedbybothparties.9.2This合同的生效shallbeuponthesignatureofbothparties.9.3Thiscontractiswritteninoriginalcopies,eachpartyshallholdonecopy,andtheremainingcopiesshallbeusedforothernecessarypurposes.9.4Ifanyprovisionofthiscontractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.Signedonb
