2025年医用呼吸机软件升级服务协议Parties供应商（以下简称“甲方”）:[供应商法定全称]法定代表人:[供应商法定代表人姓名]注册地址:[供应商注册地址]联系人:[供应商联系人姓名]联系方式:[供应商联系方式]客户（以下简称“乙方”）:[客户法定全称]法定代表人:[客户法定代表人姓名]注册地址:[客户注册地址]联系人:[客户联系人姓名]联系方式:[客户联系方式]Background鉴于甲方拥有、开发或销售[具体呼吸机品牌型号]医用呼吸机及相关软件，乙方为该呼吸机的合法采购和使用方；鉴于为了提升设备性能、确保设备符合相关法规标准、增强功能兼容性及安全性，乙方希望甲方在2025年为其指定的呼吸机提供软件升级服务；鉴于此，甲乙双方根据《中华人民共和国合同法》及相关法律法规，经友好协商，达成如下协议：ScopeofServices1.EquipmentScope:甲方同意为乙方以下呼吸机提供软件升级服务：[列出具体呼吸机型号]序列号/设备编号:[列出对应序列号或设备编号]所在地点/科室:[列出设备所在地点或科室]（下称“目标设备”）2.SoftwareScope:本次升级将目标设备当前的软件版本升级至甲方提供的版本号为V[版本号].X.Y的软件。具体升级内容包括但不限于[描述升级的具体软件模块，例如：呼吸机操作系统、患者监测模块、数据管理固件等]。3.UpgradeObjectives:本次升级旨在[说明升级的主要目的，例如：修复已知软件漏洞、提升数据传输稳定性、符合最新的医疗器械法规要求、增加新的治疗模式等]。4.ImplementationMethod:软件升级将通过[说明具体的升级方式，例如：远程在线升级或现场安装介质升级]的方式进行。5.ImplementationPeriod:升级服务预计在2025年[起始月份]至[结束月份]期间完成。具体每台目标设备的升级时间将另行协商确定。6.ImplementationLocation:升级操作将在目标设备所在的乙方指定地点（即乙方医疗机构内部）进行。RightsandObligationsofParties1.RightsandObligationsofSupplier(PartyA):a.Providetheagreedsoftwareupgradepackage(s),installationmedia,orremoteaccesscredentialsasrequiredfortheupgrade.b.Offernecessarytechnicalguidanceandsupportbefore,during,andaftertheupgradetoaddressanytechnicalissuesthatmayarise.c.Ensuretheprovidedsoftwareversionmeetsthepromisedfunctionsandperformanceandhasundergoneappropriatetesting.d.Complywithallapplicableregulationsconcerningmedicaldevicesandconfidentialityrequirements.e.Provide[mentionifapplicable]necessarytrainingregardingtheoperationofthenewsoftwareversionorchangesintroduced.2.RightsandObligationsofCustomer(PartyB):a.Cooperatewiththesupplierfortheupgradeasscheduled,providingnecessaryaccesstotheequipment,networkenvironment,andpersonnelcoordination.b.Providethesupplierwithallrequiredinformationaboutthecurrentstatusandconfigurationoftheequipmentpriortotheupgrade.c.Ensuretheupgradesitehasadequatephysicalconditionsandsecuritymeasures.d.Designatepersonnelqualifiedortrainedtoparticipateinorwitnesstheupgradeprocess.e.Performnecessarydatabackupforcriticalequipmentdatapriortotheupgrade(asagreed).f.Paytheservicefeesforthesoftwareupgradeasagreeduponinthiscontract.ServiceFeesandPayment1.FeeStructure:Thefeeforthesoftwareupgradeserviceshallbe[describethefeestructure,e.g.,afixedfeepertargetequipment,orafeebasedonthescopeofupgrade].Thetotalestimatedfeeis人民币[总金额]元（大写：人民币[大写金额]元整）。2.PaymentMethod:Paymentshallbemadeby[specifypaymentmethod,e.g.,banktransfer,check]tothesupplier'sdesignatedaccount.3.PaymentSchedule:Paymentshallbemadeasfollows:[detailthepaymentschedule,e.g.,50%uponsigningthiscontract,50%uponcompletionoftheupgradeservices].4.Taxes:Thefeespecifiedabove[is/doesnotinclude]value-addedtax(VAT)orotherapplicabletaxes.PartyBshallbearthecostofsuchtaxesiftheyareincluded.ComplianceandConfidentiality1.Compliance:Bothpartiesagreetocomplywithallapplicablenational,regional,andindustrylaws,regulations,standards,andspecificationsconcerningmedicaldevicesoftwareupgrades.2.IntellectualProperty:TheintellectualpropertyrightsoftheupgradedsoftwareremainthepropertyofSupplier(PartyA).PartyBobtainsanon-exclusive,limitedlicensetousetheupgradedsoftwareonthetargetequipmentforthepurposeofoperatingthemedicaldeviceasagreed.3.Confidentiality:Bothpartiesagreetokeepthetermsofthisagreement,thetechnicaldetailsoftheupgradedsoftware,andanycustomerdatainvolvedconfidential.Thisobligationshallsurvivetheterminationofthisagreementforaperiodof[specifyduration,e.g.,five(5)years]fromthedateoftermination.Eachpartyshallnotdisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworasnecessarytoenforcethisagreement.RiskandLiability1.RiskAllocation:PartyBisresponsibleforbackingupdatabeforetheupgrade,andrisksassociatedwithdatalossmaybebornebySupplier(PartyA)ifsuchlossiscausedbyadefectintheupgradedsoftware.Risksduringtheupgradeprocess,suchastemporaryequipmentdowntimeorperformancefluctuations,shallbebornebyPartyB.2.Disclaimer/LimitationofLiability:a.Supplier(PartyA)shallbe免责foranydamagescausedbyreasonsattributabletoPartyB,suchasfailuretobackupdataorviolationofoperatingproceduresbyPartyB.b.Neitherpartyshallbeliableforanydamagesresultingfromforcemajeureevents(suchasearthquake,fire,cyberattack,etc.).c.Supplier(PartyA)makesnowarrantiesbeyondthescopeoftheupgradedsoftware'sexistingcapabilitiesoritsintendedpurpose.3.Indemnification:[Optionalclause:Detailindemnificationresponsibilitiesifapplicable].ServiceLevelAgreement(SLA)[Optionalclause:Ifapplicable,detailspecificSLAmetricslikeresponsetimes,resolutiontimes,uptimeguaranteesrelatedtotheupgradeservice].TermandTermination1.Term:Thiscontractshallremainineffectforthedurationofthesoftwareupgradeservicesspecifiedinthisagreement,primarilycoveringtheperiodofupgradeactivitieswithin2025.Theagreementmayremainineffectforanadditionalperiodrelatedtopost-upgradesupportifspecified.2.Termination:Thisagreementmaybeterminatedbyeitherpartyupon[specifynoticeperiod,e.g.,thirty(30)days']writtennoticeiftheotherpartycommitsamaterialbreachofthisagreementandfailstocuresuchbreachwithinthenoticeperiod.Terminationshallbeeffectiveupontheendofthenoticeperiod.[Includeotherterminationconditionsasagreed].DisputeResolutionAnydisputearisingoutoforinconnectionwiththisagreementshallfirstbeattemptedtoberesolvedthroughfriendlynegotiationbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[specifyperiod,e.g.,thirty(30)days],thedisputeshallbesubmittedtothecompetentpeople'scourtlocatedin[specifycity]accordingtothelawsofthePeople'sRepublicofChina.ApplicableLawandNotices1.GoverningLaw:ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.2.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisagreementshallbeinwritingandshallbedeemeddeliveredwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totheaddressessetforthatthebeginningofthisagreementortosuchotheraddressaseitherpartymaydesignateinwriting.Miscellaneous1.EntireAgreement:Thisagreement,includinganyreferenceddocuments,constitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallpriororcontemporaneousagreements,negotiations,andunderstandings,whetherwrittenororal.2.AmendmentsandSupplements:Anyamendmentorsupplementtothisagreementmustbemadeinwritingandsignedbyauthorizedrepresentativesofbothpartie
