2026年国际货物租赁协议

ThisInternationalGoodsLeaseAgreement(“Agreement”)ismadeandenteredintoasof[InsertAgreementDate],byandbetween[Lessor’sFullLegalName](“Lessor”),havingitsprincipalplaceofbusinessat[Lessor’sAddress],and[Lessee’sFullLegalName](“Lessee”),havingitsprincipalplaceofbusinessat[Lessee’sAddress].

1.Parties

1.1LessoristheowneroftheGoodsandthelessorunderthisAgreement.

1.2LesseeisthepartyleasingtheGoodsunderthisAgreement.

1.3EachPartymaybereferredtoindividuallyasa“Party”andcollectivelyasthe“Parties”.

2.GoverningLawandJurisdiction

2.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyGoverningLaw,e.g.,theLawsoftheStateofNewYork].

2.2Exceptasotherwiseprovidedherein,anylegalactionorproceedingarisingoutoforrelatingtothisAgreementshallbeinstitutedexclusivelyinthefederalcourtsoftheUnitedStatesorthecourtsoftheStateof[SpecifyState,matchingGoverningLawState,e.g.,NewYork]locatedintheCountyof[SpecifyCounty],andthePartiesherebyirrevocablyconsenttothepersonaljurisdictionandvenuetherein.

2.3ThePartiesherebywaiveanyobjectiontotheexerciseofpersonaljurisdictionoverthemortovenueinthecourtsmentionedherein.

3.DefinitionofKeyTerms

3.1“Goods”meansandreferstothespecificitemsofpersonalpropertydescribedinSection4below.

3.2“LeaseTerm”meanstheperiodcommencingontheCommencementDateandendingontheExpirationDate.

3.3“Rent”meansthecompensationpayablebyLesseetoLessorfortheuseoftheGoodsduringtheLeaseTerm,asmoreparticularlydescribedinSection5.

3.4“CommencementDate”means[InsertDate,e.g.,thedateofdeliveryoftheGoodstoLesseeorthedatefollowingthecompletionofasuccessfulinspectionoftheGoodsbyLessee].

3.5“ExpirationDate”means[InsertDateordescription,e.g.,thedatewhichis[Number]yearsplus[Number]monthsaftertheCommencementDate].

3.6“Maintenance”meanstheupkeepandrepairoftheGoodstokeeptheminreasonablygoodworkingorder,includingbutnotlimitedtoroutinecleaning,lubrication,adjustments,andreplacementofpartssubjecttonormalwearandtear.

3.7“SalvageCondition”meanstheconditionoftheGoodsattheEndofLeaseTermasmutuallyagreeduponbythePartiesuponphysicalinspection,allowingfornormalwearandtearconsistentwiththeintendedusebutexcludinganydamagearisingfromnegligence,misuse,orfailuretoperformtheobligationsofLesseeunderthisAgreement.

4.DescriptionofGoods

4.1TheGoodssubjectofthisLeaseare[Detaileddescriptionincludingmake,model,serialnumbers,specifications,quantity,currentcondition,etc.].TheGoodsarebeingdelivered/arelocatedat[Locationofdeliveryorinitiallocation].

4.2TheGoodsarebeingleased“asis”condition.Lessormakesnorepresentationsorwarranties,expressorimplied,regardingthecondition,operability,orperformanceoftheGoodsexceptasmaybecontainedinthisAgreement.

5.LeaseTermandRent

5.1TheLeaseTermshallbe[Number]years[ormonths]commencingontheCommencementDateandendingontheExpirationDate.

5.2ThetotalrentfortheLeaseTermshallbe[Amount][Currency,e.g.,USD],payablein[Number]installmentsof[Amount][Currency]each.

5.3Eachinstallmentofrentshallbedueandpayableonthe[Day,e.g.,1st]dayofeachmonthcommencingonthedatefollowingtheCommencementDatefortheprecedingmonth.Paymentshallbemadeby[Method,e.g.,wiretransfer]totheLessoratitsaddresssetforthherein.

5.4Rentshallbeadjusted,ifany,inaccordancewiththeprovisionsofSection[Number,ifany,otherwiseomitthissectionorstatenoadjustment].

6.SecurityDeposit

6.1UponexecutionofthisAgreement,LesseeshallpaytoLessoranon-refundablesecuritydepositintheamountof[Amount][Currency],whichshallbeheldbyLessorduringtheLeaseTerm.

6.2Thedepositshallbeappliedtowardsthepaymentofanyoutstandingrent,damages,costs,orexpensesowedbyLesseetoLessoruponterminationordefaultunderthisAgreement.

7.OwnershipandTitle

7.1ThroughouttheentireLeaseTermanduntilthefullpaymentofallrentdueunderthisAgreementplusanyotheramountsowingbyLesseetoLessor,thetitleandownershipoftheGoodsshallremainabsolutelyandunconditionallyinLessor.

7.2NotitleinortotheGoodsshallpassfromLessortoLesseebyoperationoflaworotherwiseuntilLessorhasreceivedfullpaymentofallamountsdueunderthisAgreement.

8.DeliveryandAcceptanceofGoods

8.1LessorshalldelivertheGoodstoLesseeat[DeliveryLocation]onorabouttheCommencementDate.

8.2LesseeshallinspecttheGoodsupondelivery.Lessee’sacceptanceoftheGoodsshallbeevidencedbyitswrittensignatureonthedeliverydocumentprovidedbyLessororbyitsfailuretoobjectinwritingtotheGoodswithin[Number,e.g.,3]daysofdelivery.AcceptancebyLesseeshallconstituteanadmissionthattheGoodsareconformingtothedescriptionprovided.

9.UseofGoods

9.1LesseeshallusetheGoodssolelyfor[Describepermittedpurpose,e.g.,commercialpurposesrelatedtoitsbusinessoperations]andinamannerconsistentwithreasonablecommercialpractices.

9.2Lesseeshallnotmodify,alter,adapt,orattempttodeterminetheengineeringormanufacturingprocessesusedintheGoodswithoutthepriorwrittenconsentofLessor.

10.Lessee’sObligations

10.1LesseeshallpayallrentandotheramountsdueunderthisAgreementwhendue.

10.2LesseeshallmaintaintheGoodsinareasonablycleanandwell-maintainedconditionandshallperformorarrangefortheperformanceofallnecessaryMaintenanceasdescribedinSection3.7.

10.3LesseeshallprocureandmaintainforthedurationoftheLeaseTermcomprehensiveinsurancecoverageincluding,butnotlimitedto,propertyinsurancecoveringdamagebyfire,theft,vandalism,flood,windstorm,andaccidentalphysicallossordamage,withLessornamedasanadditionalinsuredoradditionalbeneficiaryintheamountofatleast[Percentage,e.g.,100%]oftheinsuranceproceeds.LesseeshallprovideLessorwithproofofsuchinsuranceuponrequest.

10.4LesseeshallusereasonablecaretoprotecttheGoodsfromallrisksoflossordamage.LesseeshallberesponsibleforalldamagestotheGoodscausedbynegligence,misuse,abuse,unauthorizedalterations,orfailuretocomplywithmanufacturer’sinstructionsorapplicablelawsandregulations.

10.5Lesseeshallcomplywithallapplicabletaxes,duties,licenses,andfeesrequiredtouseandpossesstheGoodsinthelocationswheretheyareused.

10.6LesseeshallnotassignitsrightsorobligationsunderthisAgreementwithoutLessor’spriorwrittenconsent.

10.7LesseeshallallowLessororitsrepresentativesreasonableaccesstotheGoodsatalltimesduringtheLeaseTermforthepurposeofinspection,maintenance,repair,orremovaloftheGoodsuponexpirationofthisAgreement.

10.8UponexpirationorterminationofthisAgreement,LesseeshallimmediatelyreturntheGoodstoLessorat[ReturnLocation]ortosuchotherlocationdesignatedbyLessorinwriting.

11.Lessor’sObligations

11.1LessorrepresentsandwarrantsthatithasgoodtitleandunencumberedownershipoftheGoodsfreeandclearofallliens,encumbrances,orclaimsexceptthosethatLessormaydiscloseinwritingtoLessee.

11.2LessorshalldelivertheGoodstoLesseeintheconditiondescribedinSection4,subjecttonormalwearandtearexistingatthetimeofdelivery.

11.3LessorshallprovideongoingMaintenanceservicesfortheGoods,including[DescribeLessor’smaintenanceresponsibilities,e.g.,scheduledpreventivemaintenance,partsreplacementunderwarranty,responsetofailurenotifications].Lessor’smaintenanceobligationsdonotincluderepairsresultingfromnormalwearandtear,negligence,misuse,oralterationsmadebyLessee.

12.MaintenanceandRepair

12.1LesseeshallberesponsibleforallmaintenanceandrepairstotheGoodsnotcoveredunderLessor’sobligationsinSection11ormanufacturer’swarranties,exceptfornecessaryrepairsarisingfromdefectsinmaterialsorworkmanshipunderwarranty,forwhichLessorshallberesponsible.AllsuchwarrantyclaimsmustbereportedtoLessorwithin[Number,e.g.,30]daysofdiscovery.

12.2Lesseeshallbesolelyresponsibleforthecostofallmaintenance,repairs,andpartsnotcoveredbyLessorormanufacturer’swarranties.

13.End-of-LeaseOptions

13.1UpontheexpirationorterminationofthisAgreement,Lesseeshallhavethefollowingoptionsavailable:

(a)ReturntheGoodstoLessorinSalvageCondition.

(b)PurchasetheGoodsfromLessorforthepurchasepriceof[SpecifyAmount][Currency].

(c)[Optional:IncludeRenewalOption:RenewtheleaseoftheGoodsforatermof[Number]months/yearsatarentof[Amount][Currency]per[Month/Year],withpaymentsdue[Schedule],subjecttoLessor’sapprovalofLessee’sfinancialstandingandthecontinuedsuitabilityoftheGoods.]

13.2LesseeshallnotifyLessorofitselectiontoexerciseoneoftheoptionssetforthinSection13atleast[Number,e.g.,60]dayspriortotheExpirationDate.

14.Inspections

14.1LesseeshallpermitLessororitsauthorizedrepresentativestomakereasonableinspectionsoftheGoodsatanytimeduringtheLeaseTermuponreasonablenoticetoLessee.

15.Indemnification

15.1Lesseeshallindemnify,defend,andholdharmlessLessorfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromanybreachofthisAgreementbyLesseeorfromanyclaimofthirdpartiesagainstLessorarisingfromLessee’suseorpossessionoftheGoods.

15.2Lessorshallindemnify,defend,andholdharmlessLesseefromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromanybreachofthisAgreementbyLessororfromanyclaimofthirdpartiesagainstLesseearisingfromLessor’sfailuretoprovidetheGoodsasagreed.

16.LimitationofLiability

16.1Lessor’stotalliabilityunderthisAgreement,whetherincontract,tort,orotherwise,shallbelimitedtothetotalamountofrentpaidorpayablebyLesseeunderthisAgreementduringthetwelve(12)monthspriortothedateoftheeventgivingrisetotheclaim.

16.2InnoeventshallLessorbeliableforanyindirect,consequential,special,incidental,orpunitivedamages.

16.3Lessee’stotalliabilityunderthisAgreementshallbelimitedtothetotalamountofrentpaidordueunderthisAgreement,plustheSecurityDeposit,plusanycostsofreconditioningtheGoodsasrequiredunderthisAgreement.

17.ForceMajeure

17.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaForceMajeureevent,whichisaneventbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,flood,fire,explosion,civilcommotion,insurrection,strikes,lockouts,governmentalactionsorregulations,oranyothersimilarevent.

17.2UpontheoccurrenceofaForceMajeureevent,theaffectedPartyshallpromptlynotifytheotherPartyinwriting,providingdetailsoftheeventanditsexpectedduration.ThePartiesshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureevent.

18.Notices

18.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbycertifiedorregisteredmail,returnreceiptrequested,postageprepaid,tothePartiesattheaddressessetforthbeloworatsuchotheraddressaseitherPartymaydesignateinwriting.

18.2Theaddressesfornoticesareasfollows:

19.EntireAgreement

19.1ThisAgreement,includingallexhibitsandattachmentsreferencedherein,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.

19.2Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.

20.Amendments

20.1AnyproposedamendmenttothisAgreementmustbeinwritingandsignedbyauthorizedrepresentativesofbothParties.

21.Assignment

21.1LesseemaynotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLessor.LessormaynotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLessee,exceptasmaybepermittedbylaworthisAgreement.

22.Termination

22.1ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,30]dayswrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,30]daysafterreceiptofwrittennotice.

22.2EitherPartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherPartybecomesinsolvent,filesforbankruptcy,orundergoesliquidationorreceivership.

23.Confidentiality

23.1ThePartiesacknowledgethattheymayacquireconfidentialinformationfromeachotherinconnectionwiththisAgreement.EachPartyagreestoholdsuchconfidentialinformationinstrictconfidenceandnottodis
