员工保密及竞业限制协议(中英文版)协议编号(AgreementNo.):________________________甲方(用人单位):________________________PartyA(Employer):________________________乙方(员工):________________________PartyB(Employee):________________________身份证号码(IDCardNo.):________________________鉴于乙方与甲方已建立或拟建立劳动关系,乙方在工作中将接触、知悉甲方核心商业秘密、技术信息及其他保密信息,且乙方离职后若从事竞争业务,可能严重损害甲方合法权益。为保护甲方商业秘密与经营利益,明确双方保密及竞业限制权利义务,依据《中华人民共和国民法典》《中华人民共和国劳动合同法》《中华人民共和国反不正当竞争法》等相关法律法规,甲乙双方本着平等自愿、诚实信用、公平合理的原则,经充分协商一致,订立本协议,以资共同信守。WhereasalaborrelationshiphasbeenestablishedoristobeestablishedbetweenPartyBandPartyA,PartyBwillhaveaccesstoandknowPartyA'scoretradesecrets,technicalinformationandotherconfidentialinformationinwork.IfPartyBengagesincompetitivebusinessafterresignation,itmayseriouslydamagePartyA'slegitimaterightsandinterests.ToprotectPartyA'stradesecretsandoperationalinterests,andclarifytherightsandobligationsofbothpartiesregardingconfidentialityandnon-competition,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theLaborContractLawofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,thetwopartiesenterintothisAgreementthroughfullnegotiationontheprinciplesofequality,voluntariness,goodfaithandfairnessforjointcompliance.第一条双方基本信息/BasicInformationofBothParties一、甲方/PartyA1.企业名称(EnterpriseName):________________________2.统一社会信用代码(UnifiedSocialCreditCode):________________________3.实际经营地址(ActualBusinessAddress):________________________4.法定代表人(LegalRepresentative):________________________5.联系电话(ContactPhone):________________________6.保密及竞业限制管理部门(ConfidentialityandNon-CompetitionManagementDepartment):________________________二、乙方/PartyB1.姓名(FullName):________________________2.身份证号码(IDCardNo.):________________________3.常用住址(PermanentResidentialAddress):________________________4.联系电话(ContactPhone):________________________5.所属部门(Department):________________________6.岗位名称(Position):________________________7.入职日期(DateofEmployment):____年____月____日8.月平均工资(AverageMonthlySalary):人民币__________元(离职前十二个月平均工资,用于核算竞业限制经济补偿)第二条保密信息的界定与范围/DefinitionandScopeofConfidentialInformation2.1本协议所称“保密信息”(ConfidentialInformation),指甲方所有或合法持有、尚未公开披露,且对甲方具有商业价值、能为甲方带来竞争优势,或甲方明确标注“保密”“机密”“内部资料”等字样的全部信息,包括但不限于甲方在经营管理、技术研发、市场运营、客户服务、财务管理等活动中形成、获取或持有的各类信息,以及乙方在职期间基于工作岗位接触、制作、整理、保管的与甲方相关的全部未公开信息。2.1Theterm"ConfidentialInformation"asusedinthisAgreementreferstoallinformationownedorlegallyheldbyPartyA,notyetpubliclydisclosed,whichhascommercialvalueforPartyA,canbringcompetitiveadvantagestoPartyA,ormarkedbyPartyAas"Confidential","Secret","InternalMaterial"andotherwords.Itincludesbutisnotlimitedtovariousinformationformed,obtainedorheldbyPartyAinactivitiessuchasoperationandmanagement,technologicalresearchanddevelopment,marketoperation,customerservice,financialmanagement,aswellasallnon-publicinformationrelatedtoPartyAthatPartyBcontacts,produces,collatesandkeepsbasedonthejobpositionduringemployment.2.2保密信息具体涵盖以下类别,无论其表现形式为书面、电子、口头、实物或其他形式:2.2TheConfidentialInformationspecificallycoversthefollowingcategories,regardlessoftheirformsofwritten,electronic,oral,physicalorotherforms:(一)技术类信息(TechnicalInformation):核心技术方案、技术架构、源代码、算法模型、产品设计图纸及技术参数、生产工艺流程、技术配方、实验数据及分析报告、技术研发路线图、未公开的专利技术及专利申请文件、技术改进方案、技术合作协议及相关资料、商业软件授权及操作权限等;(I)TechnicalInformation:Coretechnicalsolutions,technicalarchitecture,sourcecodes,algorithmmodels,productdesigndrawingsandtechnicalparameters,productionprocesses,technicalformulas,experimentaldataandanalysisreports,technicalR&Droadmaps,undisclosedpatentedtechnologiesandpatentapplicationdocuments,technicalimprovementplans,technicalcooperationagreementsandrelatedmaterials,commercialsoftwareauthorizationandoperationpermissions,etc.;(二)经营类信息(OperationalInformation):企业发展战略及规划、商业计划书、客户名单及完整档案(含联系方式、交易记录、信用状况、合作需求、合作期限等)、潜在客户资源、市场调研数据、市场拓展策略、定价策略及利润空间、广告投放方案、营销推广计划、品牌运营策略、供应商资源及核心合作条款、采购及销售渠道等;(II)OperationalInformation:Enterprisedevelopmentstrategyandplan,businessplan,customerlistsandcompletefiles(includingcontactinformation,transactionrecords,creditstatus,cooperationneeds,cooperationperiod,etc.),potentialcustomerresources,marketresearchdata,marketexpansionstrategies,pricingstrategiesandprofitmargins,advertisingplans,marketingpromotionplans,brandoperationstrategies,supplierresourcesandcorecooperationterms,procurementandsaleschannels,etc.;(三)财务类信息(FinancialInformation):年度/季度/月度财务报表、成本核算数据、盈利预测报告、财务预算及决算方案、资金流向及调度明细、税务筹划方案、投融资计划及可行性报告、核心资产清单及估值、应收账款及应付账款明细等;(III)FinancialInformation:Annual/quarterly/monthlyfinancialstatements,costaccountingdata,profitforecastreports,financialbudgetandfinalaccountsplans,capitalflowandschedulingdetails,taxplanningplans,investmentandfinancingplansandfeasibilityreports,coreassetlistsandvaluations,accountsreceivableandpayabledetails,etc.;(四)管理类信息(ManagementInformation):内部管理制度、组织架构、核心岗位设置、人力资源规划、人才储备名单、会议纪要(尤其是涉及重大决策、商业谈判的内容)、未公开重大经营决策、内部培训资料、核心工作流程及话术、保密管理制度及流程等;(IV)ManagementInformation:Internalmanagementsystems,organizationalstructure,corepostsettings,humanresourceplans,talentreservelists,meetingminutes(especiallythoseinvolvingmajordecisionsandbusinessnegotiations),undisclosedmajorbusinessdecisions,internaltrainingmaterials,coreworkprocessesandscripts,confidentialitymanagementsystemsandprocesses,etc.;(五)其他保密信息(OtherConfidentialInformation):甲方明确告知乙方需保密的其他信息,乙方基于工作岗位可合理推断为保密性质的未公开信息,以及甲乙双方在合作过程中知悉的对方未公开的商业信息。(V)OtherConfidentialInformation:OtherinformationthatPartyAexplicitlyinformsPartyBtokeepconfidential,non-publicinformationthatPartyBcanreasonablyinferasconfidentialbasedonthejobposition,andothernon-publiccommercialinformationofeachotherknownbybothpartiesinthecourseofcooperation.2.3下列信息不属于本协议项下保密信息,乙方无需承担保密义务:2.3ThefollowinginformationisnottheConfidentialInformationunderthisAgreement,andPartyBshallnotbeliableforconfidentiality:(一)在乙方接触前,已通过公开渠道(如官方发布、行业期刊、公开数据库等)合法公开,且乙方无任何过错的信息;(I)Informationthathasbeenlegallypublishedthroughpublicchannels(suchasofficialreleases,industryjournals,publicdatabases,etc.)beforePartyB'scontactandforwhichPartyBhasnofault;(二)乙方在未接触甲方任何保密信息的前提下,通过自身独立研究、学习、实践获得的信息,且能提供有效证据证明其合法来源;(II)InformationobtainedbyPartyBthroughindependentresearch,studyandpracticewithoutcontactinganyConfidentialInformationofPartyA,andeffectiveevidencecanbeprovidedtoproveitslegalsource;(三)乙方从第三方合法、善意获取的信息,且第三方对该信息无保密义务,乙方获取过程无恶意,亦未违反任何法律法规及约定;(III)InformationlegallyandingoodfaithobtainedbyPartyBfromathirdpartywhohasnoconfidentialityobligationfortheinformation,andPartyBhasnobadfaithintheacquisitionprocessandhasnotviolatedanylaws,regulationsoragreements;(四)依据司法机关、行政监管部门生效文书要求或法律法规强制性规定必须披露的信息,乙方应提前24小时书面通知甲方(紧急情况除外),并配合甲方采取合理措施减轻披露带来的不利影响。(IV)Informationthatmustbedisclosedinaccordancewiththerequirementsofeffectivedocumentsofjudicialorgansandadministrativesupervisiondepartmentsormandatoryprovisionsoflawsandregulations.PartyBshallnotifyPartyAinwriting24hoursinadvance(exceptinemergencycases)andcooperatewithPartyAtotakereasonablemeasurestomitigatetheadverseimpactcausedbythedisclosure.第三条乙方的保密义务/ConfidentialityObligationsofPartyB3.1在职期间,乙方应严格遵守甲方保密管理制度及本协议约定,秉持审慎、勤勉原则,对接触、知悉的全部保密信息履行保密义务,未经甲方保密及竞业限制管理部门或法定代表人书面明确同意,不得向任何第三方(包括乙方亲友、非相关岗位同事、其他单位或个人)以披露、泄露、传播、复制、摘抄、出租、出借、赠与、共享等任何形式泄露保密信息,亦不得将其用于与甲方工作无关的任何活动。3.1Duringemployment,PartyBshallstrictlyabidebyPartyA'sconfidentialitymanagementsystemandtheprovisionsofthisAgreement,andinaccordancewiththeprinciplesofprudenceanddiligence,performtheconfidentialityobligationforallConfidentialInformationcontactedandknown.WithouttheexplicitwrittenconsentofPartyA'sConfidentialityandNon-CompetitionManagementDepartmentorlegalrepresentative,PartyBshallnotdisclosetheConfidentialInformationtoanythirdparty(includingPartyB'srelativesandfriends,colleaguesinirrelevantpositions,otherunitsorindividuals)inanyformsuchasdisclosure,leakage,dissemination,copying,extraction,leasing,lending,donation,sharing,noruseitforanyactivitiesunrelatedtoPartyA'swork.3.2乙方应按甲方规定的范围和权限使用保密信息,不得擅自扩大接触范围、超越工作权限获取或使用保密信息。对电子保密信息,应采取加密存储、设置访问密码、定期备份等安全防护措施,不得擅自拷贝、传输至非工作设备(如私人电脑、手机等),不得通过非工作邮箱、社交软件等传输保密信息;对纸质保密信息,应妥善保管,存放于甲方指定的保密文件柜或保密区域,使用后及时归档,作废文件需按甲方规定流程销毁,不得随意丢弃、遗失或带出工作区域。3.2PartyBshallusetheConfidentialInformationwithinthescopeandauthorityspecifiedbyPartyA,andshallnotarbitrarilyexpandthescopeofcontactorobtainorusetheConfidentialInformationbeyondthejobauthority.ForelectronicConfidentialInformation,securityprotectionmeasuressuchasencryptedstorage,accesspasswordsetting,andregularbackupshallbeadopted.Itshallnotbearbitrarilycopiedortransmittedtonon-workequipment(suchaspersonalcomputers,mobilephones,etc.),nortransmittedthroughnon-workemail,socialsoftware,etc.;forpaperConfidentialInformation,itshallbeproperlykept,storedintheconfidentialfilecabinetorconfidentialareadesignatedbyPartyA,filedinatimelymannerafteruse,andobsoletedocumentsshallbedestroyedinaccordancewithPartyA'sspecifiedprocedures,andshallnotbearbitrarilydiscarded,lostortakenoutoftheworkarea.3.3乙方应积极配合甲方的保密管理工作,接受甲方组织的保密培训、考核、检查与监督,主动学习保密知识,提高保密意识。发现保密信息泄露风险、疑似泄露或已泄露时,应立即采取有效措施制止泄露行为、控制泄露范围,同时在24小时内书面或口头向甲方保密及竞业限制管理部门或直接上级报告,详细说明泄露情况、原因及已采取的补救措施,并全力配合甲方开展调查、追责及后续补救工作。3.3PartyBshallactivelycooperatewithPartyA'sconfidentialitymanagementwork,acceptconfidentialitytraining,assessment,inspectionandsupervisionorganizedbyPartyA,taketheinitiativetolearnconfidentialityknowledge,andimproveconfidentialityawareness.Whenfindingtheriskofdisclosure,suspecteddisclosureordisclosureofConfidentialInformation,PartyBshallimmediatelytakeeffectivemeasurestostopthedisclosureandcontrolthescopeofdisclosure,andreportinwritingororallytoPartyA'sConfidentialityandNon-CompetitionManagementDepartmentordirectsupervisorwithin24hours,detailingthedisclosuresituation,causesandremedialmeasurestaken,andfullycooperatewithPartyAininvestigation,accountabilityandsubsequentremedialwork.3.4乙方离职后,其保密义务并不因劳动关系终止而免除,仍需对在职期间接触、知悉的全部保密信息承担本协议约定的保密责任,直至该信息成为非保密信息为止。离职时,乙方不得携带任何保密信息及存储载体离开工作岗位,需按甲方要求完成保密信息及载体的返还、交接工作。3.4AfterPartyB'sresignation,itsconfidentialityobligationshallnotbeexemptedduetotheterminationofthelaborrelationship,anditshallstillbeliablefortheconfidentialityofallConfidentialInformationcontactedandknownduringemploymentinaccordancewiththisAgreementuntiltheinformationbecomesnon-confidentialinformation.Uponresignation,PartyBshallnottakeanyConfidentialInformationandstoragecarriersawayfromtheworkpost,andshallcompletethereturnandhandoverofConfidentialInformationandcarriersinaccordancewithPartyA'srequirements.第四条竞业限制约定/Non-CompetitionProvisions4.1竞业限制范围(ScopeofNon-Competition):乙方离职后,不得在与甲方经营同类业务且存在竞争关系的单位任职(包括但不限于全职、兼职、顾问、股东等任何形式),不得自行经营或与他人合作经营与甲方同类业务,亦不得为该等单位提供任何形式的服务或协助。4.1ScopeofNon-Competition:AfterPartyB'sresignation,itshallnotholdanyposition(includingbutnotlimitedtofull-time,part-time,consultant,shareholder,etc.)inanyunitthatoperatesthesametypeofbusinessasPartyAandhasacompetitiverelationshipwithPartyA,shallnotoperateindependentlyorcooperatewithotherstooperatethesametypeofbusinessasPartyA,norprovideanyformofserviceorassistancetosuchunits.4.2竞业限制地域(RegionofNon-Competition):本协议项下竞业限制地域为甲方实际经营所在地、乙方在职期间负责的业务区域,以及甲方未来三年计划拓展的业务区域,具体范围为:________________________。4.2RegionofNon-Competition:Theregionofnon-competitionunderthisAgreementreferstotheactualbusinesslocationofPartyA,thebusinessarearesponsiblebyPartyBduringemployment,andthebusinessareathatPartyAplanstoexpandinthenextthreeyears.Thespecificscopeis:________________________.4.3竞业限制期限(TermofNon-Competition):自乙方离职之日起计算,期限为两年。若法律法规对竞业限制期限有更严格规定的,从其规定。4.3TermofNon-Competition:CalculatedfromthedateofPartyB'sresignation,thetermistwoyears.Ifthelawsandregulationshavestricterprovisionsonthetermofnon-competition,suchprovisionsshallprevail.4.4竞业限制经济补偿(EconomicCompensationforNon-Competition):甲方应在乙方离职后,按每月人民币__________元(不低于乙方离职前十二个月平均工资的30%,且不低于劳动合同履行地最低工资标准)向乙方支付竞业限制经济补偿。补偿按月支付,支付时间为每月15日前,支付方式为银行转账至乙方指定账户。若双方未约定补偿标准,按乙方离职前十二个月平均工资的30%按月支付,低于当地最低工资标准的,按最低工资标准支付。4.4EconomicCompensationforNon-Competition:PartyAshallpayeconomiccompensationfornon-competitiontoPartyBatRMB__________permonthafterPartyB'sresignation(notlessthan30%ofPartyB'saveragemonthlysalaryinthetwelvemonthsbeforeresignation,andnotlessthantheminimumwagestandardoftheplacewherethelaborcontractisperformed).Thecompensationshallbepaidmonthlybeforethe15thofeachmonthbybanktransfertotheaccountdesignatedbyPartyB.Ifthetwopartiesdonotagreeonthecompensationstandard,itshallbepaidmonthlyat30%ofPartyB'saveragemonthlysalaryinthetwelvemonthsbeforeresignation;ifitislowerthanthelocalminimumwagestandard,itshallbepaidattheminimumwagestandard.4.5补偿支付终止(TerminationofCompensationPayment):乙方违反竞业限制约定的,甲方有权立即停止支付经济补偿,并追究乙方违约责任;竞业限制期限届满或甲方书面通知乙方解除竞业限制义务的,补偿支付终止。4.5TerminationofCompensationPayment:IfPartyBviolatesthenon-competitionagreement,PartyAhastherighttoimmediatelystoppayingtheeconomiccompensationandpursuePartyB'sliabilityforbreachofcontract;thecompensationpaymentshallterminatewhenthenon-competitiontermexpiresorPartyAnotifiesPartyBinwritingtoterminatethenon-competitionobligation.第五条保密信息的返还与销毁/ReturnandDestructionofConfidentialInformation5.1乙方离职(包括试用期离职)或甲方提出书面要求后7日内,应将其持有的全部保密信息原件、复印件、扫描件、电子文档、衍生成果及所有存储载体(包括但不限于U盘、硬盘、光盘、移动硬盘、笔记本、图纸、文件资料、录音录像资料等)一并返还给甲方保密及竞业限制管理部门指定负责人,不得留存任何形式的副本、备份、缓存数据、云端备份或残留数据。5.1Within7daysafterPartyB'sresignation(includingresignationduringprobationperiod)orPartyA'swrittenrequest,PartyBshallreturnalloriginals,copies,scannedcopies,electronicdocuments,derivativeachievementsandallstoragecarriers(includingbutnotlimitedtoUdisks,harddisks,CDs,mobileharddisks,notebooks,drawings,documents,audioandvideomaterials,etc.)oftheConfidentialInformationinitspossessiontothepersoninchargedesignatedbyPartyA'sConfidentialityandNon-CompetitionManagementDepartment,andshallnotretainanycopies,backups,cachedata,cloudbackupsorresidualdatainanyform.5.2对存储于乙方私人设备中的电子保密信息,乙方应在甲方保密及竞业限制管理部门工作人员监督下予以彻底删除、销毁,并出具书面确认函,详细说明返还/销毁的信息名称、数量、存储载体及方式,明确承诺无任何留存,对确认函内容的真实性、完整性承担全部法律责任。5.2ForelectronicConfidentialInformationstoredinPartyB'spersonalequipment,PartyBshallcompletelydeleteanddestroyitunderthesupervisionofthestaffofPartyA'sConfidentialityandNon-CompetitionManagementDepartment,andissueawrittenconfirmationletter,detailingthename,quantity,storagecarrierandmethodofthereturned/destroyedinformation,explicitlycommittingnoretentioninanyform,andbearingfulllegalliabilityforthetruthfulnessandcompletenessofthecontentoftheconfirmationletter.5.3甲方有权对乙方返还、销毁保密信息的情况进行核查、审计,乙方应予以全面配合,提供必要的协助和证明材料。5.3PartyAhastherighttoverifyandauditthereturnanddestructionofConfidentialInformationbyPartyB,andPartyBshallfullycooperateandprovidenecessaryassistanceandsupportingmaterials.第六条违约责任/LiabilityforBreachofContract6.1保密违约责任(LiabilityforBreachofConfidentiality):若乙方违反本协议第三条保密义务,应立即停止违约行为,采取有效措施消除影响、挽回损失,向甲方出具书面道歉函,并支付违约金人民币叁万元整(大写:叁万元整)。若违约金不足以弥补甲方全部损失(包括但不限于直接经济损失、间接经济损失、商誉损失、客户流失损失、维权费用等),乙方应就不足部分足额赔偿。6.1LiabilityforBreachofConfidentiality:IfPartyBviolatestheconfidentialityobligationinArticle3ofthisAgreement,itshallimmediatelyceasethebreach,takeeffectivemeasurestoeliminatetheimpactandrecoverlosses,issueawrittenapologylettertoPartyA,andpayliquidateddamagesofRMB30,000yuan(inwords:RMBThirtyThousandYuanOnly).IftheliquidateddamagesareinsufficienttocoveralllossesofPartyA(includingbutnotlimitedtodirecteconomiclosses,indirecteconomiclosses,goodwilllosses,customerlosslosses,rightsprotectioncosts,etc.),PartyBshallfullycompensatefortheshortfall.6.2竞业限制违约责任(LiabilityforBreachofNon-Competition):若乙方违反本协议第四条竞业限制约定,应立即停止违约行为,返还甲方已支付的全部竞业限制经济补偿,向甲方支付违约金人民币伍万元整(大写:伍万元整),同时赔偿甲方因此遭受的全部损失(包括但不限于经济损失、商誉损失、维权费用等)。若乙方违约行为情节严重,甲方有权要求乙方返还因违约行为获得的全部非法收益。6.2LiabilityforBreachofNon-Competition:IfPartyBviolatesthenon-competitionagreementinArticle4ofthisAgreement,itshallimmediatelyceasethebreach,returnalleconomiccompensationfornon-competitionpaidbyPartyA,payliquidateddamagesofRMB50,000yuan(inwords:RMBFiftyThousandYuanOnly)toPartyA,andcompensatePartyAforalllossescausedthereby(includingbutnotlimitedtoeconomiclosses,goodwilllosses,rightsprotectioncosts,etc.).IfPartyB'sbreachisserious,PartyAhastherighttorequirePartyBtoreturnallillegalgainsobtainedfromthebreach.6.3加重违约处理(AggravatedBreachHandling):若乙方故意泄露甲方核心商业秘密、多次违反本协议约定,或因违约行为导致甲方核心竞争力受损、遭受重大经济损失的,甲方有权单方解除与乙方的劳动合同(无需支付经济补偿金),没收乙方已获得的相关奖金福利,追究乙方全部赔偿责任,并保留向司法机关报案、追究乙方民事、行政乃至刑事责任的权利。6.3AggravatedBreachHandling:IfPartyBintentionallydisclosesPartyA'scoretradesecrets,repeatedlyviolatestheprovisionsofthisAgreement,orcausesdamagetoPartyA'scorecompetitivenessorsignificanteconomiclossesduetothebreach,PartyAhastherighttounilaterallyterminatethelaborcontractwithPartyB(withoutpayingeconomiccompensation),confiscatetherelevantbonusesandbenefitsobtainedbyPartyB,pursuePartyB'sfullcompensationliability,andreservetherighttoreporttojudicialorgansandpursuePartyB'scivil,administrativeandevencriminalliabilities.第七条争议解决/DisputeResolution7.1因本协议的签订、履行、解释、变更、终止及争议解决等事宜产生的任何纠纷,双方应首先通过友好协商解决;协商不成的,任何一方均有权向甲方所在地有管辖权的劳动争议仲裁委员会申请仲裁,对仲裁裁决不服的,可依法向甲方所在地人民法院提起诉讼。7.1Anydisputearisingfromthesigning,performance,interpretation,modification,terminationanddisputeresolutionofthisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenthetwoparties;ifnegotiationfails,eitherpartyhastherighttoapplyforarbitrationtothelabordisputearbitrationcommissionwithjurisdictionintheplacewherePartyAislocated,andifdissatisfiedwiththearbitrationaward,mayfilealawsuitwiththepeople'scourtintheplacewherePartyAislocatedinaccordancewiththelaw.7.2争议解决期间,除争议事项外,双方应继续履行本协议其他条款,不得因争议而中止或终止协议的履行。7.2Duringthedisputeresolutionperiod,bothpartiesshallcontinuetoperformotherclausesofthisAgreementexceptforthedisputedmatters,andshallnotsuspendorterminatetheperformanceoftheAgreementduetothedispute.第八条其他约定/OtherProvisions8.1本协议自双方签字盖章之日起生效,一式贰份,甲乙双方各执壹份,每份具有同等法律效力,与双方签订的劳动合同具有同等约束力,可作为追究违约责任的有效依据。8.1ThisAgreementshalltakeeffectonthedateofsignatureandsealbybothparties,induplicate,withPartyAandPartyBeachholdingonecopy,eachhavingthesamelegaleffectandthesamebindingforceasthelaborcontractsignedbybothparties,and
