第七条付款条件：签订合同后买方于7个银行日内开出以卖方为受益人的、经确认的、不可

撤销的、可分割、可转让的、不得分批装运的、无追索权的信用证。

第八条装船：从卖方收到买方信用证日期算起，45天内予以装船，若发生买方所订船舶未按

时到达装货，按本合同规定，卖方有权向买方索赔损毁/耽搁费，按总金额—%计算为限。因此,

买方需向卖方提供银行保证。

第九条保证金：卖方收到买方信用证的14个银行日内，向买方寄出%的保证金或银行

保函。若卖方不执行本合同，其保证金买方予以没收。

第十条应附的单据：卖方向买方提供：

1,全套清洁提货单；

2.一式四份经签字的商业发票；

3.原产地证明书；

4.装箱单；

5.为出口所需的其他主要单据。

第十一条装船通知：卖方在规定的装货时间至少14天前用电报方式将装船条件告知买方，

买方或其代理人将装货船估计到达装货港的时间告知卖方。

第十二条其他条款：质量、数量和重量的检验可于装货港一次进行，若要求提供所需的其他

证件，其办理手续费、领事签证费应由买方负担。

第十三条装船时间：

第十四条装货效率：每一个晴天工作日，除星期日、节假日外，每舱口进货为立

方（吨）。

第十五条延期费/慢装卸罚款：对于载重吨船来说，每天U.S.D.o

第十六条不可抗力：签约双方的任何一方由于台风、地震和双方同意的不可抗力事故而影响

合同执行时，则延迟合同的期限应相当于事故所影响的时间。

第十七条合同争议的解决：

(13)品质和数量的异议与索赔QualityandQuantity

DiscrepancyandClaim:货到目的口岸后，买方如发现货物品质

及/或数量与合同规定不符，除属于保险公司及/或船公司的责

任外，买方可以凭双方同意的检验机构出具的检验证明向卖方提

出异议。品质异议须于货到目的口岸之日起30天内提出，数量/

重量异议须于货到目的口岸之日起15天内提出。

(14)不可抗力Forcemajeure:

由于人力不可抗拒事故，而卖方交货迟延或不能交货时，责任

不在卖方。但卖方应立即将事故通知买方；并于事故发生后15天

内书面提交有关证明。如果事故持续超过10个星期，买方有权撤

销本合同。

(15)仲裁Arbitration:凡因执行本合同或与本合同有关事

项所发生的一切争执，应由双方通过友好方式协商解决。如果不

能取得协议时，则在中国国际经济贸易仲裁委员会上海分会根据

该仲裁机构的仲裁程序规则进行仲裁。仲裁决定是终局的，对双

方具有同等约束力。仲裁费用除非仲裁机构另有决定外，均由败

(15)装运条款:TERMSOFSHIPMENT:

甲、每次发货如毛重超过两公吨，卖方应于本合同第8条规定的装运期六十天前，将合同编号、商品名称、价值、

毛重以及货物在装货口岸备舀日期函/电告买方，以便买方订舱。如毛重不超过两公吨，则卖方应与装货口岸的

买方超前享受代理人直接联系装运事宜。

丙、青岛中国租船公司或其港口代理人于估计承运船到达装货口岸日期十天以前，将船名、预计装船日期、合同

编号初步通知卖方，以便卖方安排装运。事先指定的承运船如有变更，或其估计到达日期提前或延期时，买方或

其装运代理人应及时通知卖方，如果该船未能于买方或其装运代理人所通知的到达日期后三十天内到达装运口

岸，则从第三十一天起货物的仓租和火灾保险费用应由买方负担。

货物全部装船后，卖方应立即将合同编号、商品名称、毛重、发标金额、船名和开航日期电告买方。如由于

卖方未及时将装运通知电告买方，以致货物未及时保险而发生的一切损失应由卖方负担。如货物系属危险品，卖

方应将其性质及处理办法电告买方和到货口岸中国对外贸易运输公司。

卖方保证订货系用最上等的材料和头等工艺制成，全新，并完全符合本合同规定的质量和规格。卖方并保证本合

同订货在正确安装、正常使用和维修的情况下，自化物到达到货口岸之日起十二个月内运转良好。

a.(18)检验和索赔:INSPECTIONANDCLAIMS:

b.在交货以前，制造厂就订货的质量、规格、重量作出准确和全面的检验、并出具货物和本合同规定相符

的证明书，该证书为议付/托收货款而应上交银行的单据的组成部分，但不得为货物的质量、规格和重量

的最后依据。制造厂应将记载试验细节和结果的书面报告附在质量证明书内。

c.Themanufacturersshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofthegoods

asregardstheirquality^specificationsperformanceandquantity/weight#andissuecertificatescertifying

thatthegoddsareinconformitywiththestipulationsofthisContract.Thecertificatesshallfromanintegral

partofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshall

notbeconsideredasfinalinrespectofqualityspecifications,performanceandquatity/weight.Particulars

andresultsofthetestcarriedoubythemanufacturersmustbeshowninastatementtobeattachedtothe

saidQualityCertificate.

d.货物到达到货口岸后，买方应申请中国商品检验局(以下称商检局)就货物的质量、规格和重量进行初

步检验。如发现到货的规格或重量与合同不符，除应由保险公司或船公司负责者外，买方于货物在到货

口岸缺货后120天内凭商检局出具之检验证书有权拒收货物或向卖方索赔。

原因引起的缺陷包括内在缺陷或使用不良的原料，买方应申请商检局检验，并有权根据商检证向卖方索

赔。
