2.Definition,an.Interpretations

ForthepurposeofthisContract,thefollowingterms

shallhavethemeaningssetforthbelow:

“Affiliate"shallmeananyentityorpersondirectlyor

indirectlycontrolling,controlledby,orundercommon

controlwithaParty,whetherthroughownershipofshares,

contractualarrangements,orotherwise.

“BusinessDay〃shallmeananydayotherthanaSaturday,

Sunday,or1pgalhoiidayinthpjnrisdictionwhprpthe

relevantPartyislocated.

^ConfidentialInformation〃shallmeananynon-public,

proprietary,orconfidentialinformationdisclosedbyone

Partytotheother,includingbutnotlimitedto,business

plans,financialdata,tradesecrets,andtechnical

information.

“ForceMajeure"shallmeananyeventbeyondthe

reasonablecontroloftheaffectedParty,includingbutnot

limitedto,actsofGod,war,strikes,orgovernmental

actions.

^IntellectualProperty''shallmeanallpatents,

trademarks,copyrights,tradesecrets,andotherintellectual

propertyrights,whetherregisteredorunregistered.

3.Ter.an.Termination

3.1ThetermofthisContractshallcommenceon

andcontinueuntil(the"Term"),unless

terminatedearlierinaccordancewiththeprovisionsofthis

Contract.

3.2EitherPartymayterminatethisContractwith

immediateeffectbywrittennoticetotheotherPartyifthe

otherPartybreachesanymaterialtermorconditionofthis

Contractandfailstoremedysuchbreachwithin

daysofreceivingwrittennoticethereof.

3.3ThisContractmayalsobeterminatedbymutual

agrppmpnt.ofthePartiAS.

4.Right,an.Obligations

4.1PartyA、shallprovide(the"Service")

toPartyBinaccordancewiththespecificationsoutlinedin

ScheduleA、

4.2PartyBshallpayPartyAthesumof

(the"Fee")asconsiderationfortheService,inaccordance

withthepaymenttermssetforthinSection5ofthis

Contract.

4.3PartyAshallusereasonablecareandskillin

performingtheService,andPartyBshallprovideall

necessaryassistanceandresourcestofacilitatethe

performanceoftheService.

5.Paymen.Terms

5.1PartyBshallpaytheFeeinaccordancewiththe

followingschedule:

upondeliveryofeachmilestoneas

5.2Al1paymentsshallbemadeinand

shal1befreeandclearofanydeductionsorwithholdings,

exceptasrequiredbyapplicablelaw.

5.3IfPartyBfailstomakeanypaymentwhendue,Party

Amaychargealatepaymentfeeofpermonth,

accruedfromthedatethepaymentwasdueuntilthedateof

paympnt.

6.Intellectua.Propert.Rights

6.1A>1IntellectualPropertyrightsintheService,

includingbutnotlimitedto,anyreports,designs,orother

deliverablesprovidedbyPartyA、shallremainthesole

propertyofPartyA、

practicableandshalltakeallreasonablestepstominimize

theimpactoftheevent.

8.3IftheForceMajeureeventcontinuesforacontinuous

periodofdays,eitherPar二ymayterminate

thisContractbywrittennoticetotheotherParty.

9.Liabilit.an.Indemnification

9.1NeitherPartyshallbeliabletotheotherPartyfor

anyindirect,incidental,orconsequentialdamagesarising

outoforinconnectionwiththisContract.

9.2PartyBagreestoindemnifyandholdharmlessPartyA

againstanyclaims,damages,orexpensesarisingoutofthe

useoftheServicebyPartyBoritsAffiliatesinbreachof

thisContract.

9.3Thetotalaggregateliabi1ityofeachPartyunder

thisContractshallnotexceedthetotalFeespaidbyPartyB

toPartyAunderthisContract.

10.Disput.Resolution

10.1Anydisputesarisingoutoforinconnectionwith

thisContractsha11rpsolvpdthroughfriendlynpgot.iations.

10.2IfthePartiesfailtoresolvethedisputewithin_

days,eitherPartymayreferthematterto

formediation.

10.3Ifmediationfails,thePartiesagreetosubmitthe

disputetoforarbitrationinaccordancewith

therulesof.

10.4ThearbitrationshallbeconductedintheEnglish

language,andtheawardshallbefinalandbindingonboth

Parties.

11.Governin.La.an.Jurisdiction

11.1ThisContractshallbegovernedbyandconstruedin

accordancewiththelawsof.

11.2ThePartiesagreetosubmittotheexclusive

jurisdictionofthecourtsofintheeventof

anylegalproceedingsarisingoutoforinconnectionwith

thisContract.

12.Miscellaneous

12.1ThisContractconstitutestheentireagreement

betweenthePartiesandsupersedesal1prioror

contemporaneousunderstandings,agreements,or

representations,whetheroralorwritten.

12.2AnyamendmentsormodificationstothisContract

shal1onlybevalidifmadeinwritingandsignedbyboth

Parties.

12.3Thpfai1urpnfpithprPartytopnforcpanyprovision

ofthisContractshallnotbeconstruedasawaiverofsuch

provisionoroftherighttoenforceitatalatertime.

12.4IfanyprovisionofthisContractisfoundtobe

invalidorunenforceable,theremainingprovisionsshall

remaininfullforceandeffect.

12.5ThisContractmaybeexecutedincounterparts,each

ofwhichshallbedeemedanoriginal,butallofwhichshall

constitutethesameinstrument.
