Whereas:

I、甲方系一家拥有完全民事行为能力的公司，具有合法经营的资格及权利;

PartyAisacompanywithfulllegalcapacityandqualifiedforlegaloperation;

2、乙方是一家合法设立的公司，具有提供质押融资服务的资格及能力：

PartyBisalegallyestablishedcompanywiththequalificationandcapabilityof

providingpledgefinancingservices;

3、甲方拥有包括但不限于专利权、商标权、著作权等各种知识产权;

PartyAownsvariousintellectualpropertyrightsincludingbutnotlimitedtopatents,

trademarks,copyrights,etc.;

4、甲方有对其所拥有的知识产权进行质押的意向;

PartyAintendstopledgeitsownedintellectualpropertyrights;

5、乙方同意向甲方提供知识产权质押融资服务;

PartyBagreestoprovideintellectualpropertypledgefinancingservicestoPartyA;

有鉴于此，双方经友好协商，达成如下协议:

Therefore,afterfriendlynegotiation,thetwopartieshavereachedthefollowing

agreement:

第一条质押权的设立

Article1EstablishmentofPledgeRights

1.1、甲方按照本协-义约定的方式将其名下的知识产权质押给乙方，以担保其

向乙方为期（期限）贷款发放的约定数额;

termsofthisagreement,asaguaranteefbrtheagreedamountofloantobeprovidedby

1.2、知识产权质押的范围包括但不限于专利权、商标权、著作权等；

trademarks,copyrights,etc.;

1.3、质押行为自双方签署本协议之日起生效；

Thepledgeshalltakeeffectasofthedateofsigningofthisagreementbyboth

parties;

1.4、甲方须将其名下的相关知识产权证书等质押凭证交予乙方保管：

PartyAshalldelivertherelevantintellectualpropertycertificatesandotherpledge

documentstoPartyBforsafekeeping;

1.5、如有必要，甲乙双方应配合进行知识产权的评估工作，以确定其价值；

Ifnecessary,thepartiesAandBshallcooperateintheevaluationofintellectual

propertytodetermineitsvalue;

1.6、如在质押期间甲方提出赎Pl质押物的要求，必须在书面形式下提前(提

前期限)通知乙方，并校照双方约定的条件和程序进行赎回；

IfPartyArequestsredemptionofthepledgedpropertyduringthepledgeperiod,it

mustnotifyPartyBinwritinginadvanceof(advanceperiod),andredeemaccordingto

theconditionsandproceduresagreeduponbybothparties;

第二条贷款发放与还款

Article2LoanDisbursementandRepayment

2.1、乙方同意向甲方发放贷款金额为（金额）元;

PartyBagreestoprovidealoanamountof(amount)toPartyA;

2.2、贷款利率为(利率)%,自资金到账之日起开始计息；

Theloaninterestrateis(interestrate)%,andintereststartsaccruingfromthedatethe

2.4、甲方应按时足额支付贷款利息和本金，逾期支付的，应按日支付逾期违

2.5、如贷款到期仍未清偿，乙方有权处置其名下的质押知识产权；

Iftheloanisnotrepaidatmaturity,PartyBhastherighttodisposeofthepledged

intellectualpropertyrightsheldbyPartyA;

第三条保密条款

Article3Confidentiality

3.1、本协议项下的相关信息及资料为双方的商业秘密，未经对方书面同意不

得向第三方透露；

Theinformationanddocumentsrelatedtothisagreementarcconsideredconfidential

businesssecretsofbothpartiesandshallnotbedisclosedtoanythirdpartywithout

writtenconsentoftheotherparty;

3.2、双方应妥善保管及使用对方提供的机密信息，以确保不被泄露;

Bothpartiesshallproperlykeepandusetheconfidentialinformationprovidedbythe

otherpartytopreventleakage;

3.3、对违反保密义务的一方应承担相应的法律责任；

Thepartywhoviolatestheconfidentialityobligationsshallbearcorrespondinglegal

responsibilities;

第四条违约与争议解决

Article4BreachandDisputeResolution

4.1、如一方违反本为议的约定，应支付对方违约金，违约方还应承担由此引

起的一切法律责任；

Ifeitherpartyviolatestheprovisionsofthisagreement,itshallpaytheotherpartya

penalty,andthebreachingpartyshallbearalllegalresponsibilitiesarisingtherefrom;

4.2、任何争议均应通过友好协商解决，如协商不成，可提交仲裁委员会仲裁;

Anydisputeshallberesolvedthroughfriendlyconsultation,andifnoagreementis

reached,itmaybesubmittedtoarbitrationbytheArbitrationCommission;

4.3、仲裁裁决是终局的，对双方当事人具有法律约束力：

Thearbitrationawardisfinalandbindingonbothparties;

第五条其他

Article5Miscellaneous

5.1、本协议自双方签署之H起生效，至履行完毕终止，本协议一式两份，双

方各持一份，具有同等法律效力：

Thisagreementshalltakeeffectasofthedateofsignaturebybothpartiesandshall

terminateuponcompletionofperformance.Thisagreementismadeinduplicate,with

eachpartyholdingonecopy,bothcopieshavingequallegaleffect;

5.2、本协议的修改及补充均须经双方书面同意，并附后签字盖章;

Anyamendmentorsupplementtothisagreementmustbeagreeduponinwritingby

bothpartiesandsignedandsealedthereafter;

5.3、本协议所涉及的未尽事宜，由双方协商解决；

Anymattersnotcoveredbythisagreementshallberesolvedthroughconsultation

betweentheparties;
